BROKER AGREEMENT

BACKGROUND:

This Broker Agreement (hereinafter the “Agreement”) is made on August 1, 2019 (the
“Effective Date”), by and between the following Provider of the following office space:

Elite Empire Leasing and Management Inc.

5th Floor, Uptown Mall, Tower 1, Uptown Mall, BGC, Taguig City.

And the following Broker:

Ms. Irish Feng

CityFlex Avida, BGC North

The individuals may be known together collectively as “Parties”. All references to the
broker and provider in this agreement shall include, if relevant, the Parties’ parent
companies, affiliates, and subsidiaries.

WHEREAS, Occupier desires to rent an office space;

WHEREAS; Broker has contacts with the following industry: Elite Empire, and desires to
act as an intermediary finder of rental office space for Occupier;
NOW, THEREFORE, in consideration of the premise and the mutual promises and
covenants contained herein, the Parties agree as follows:
i) TERM AND TERMINATION.
The term of this Agreement shall commence on the Effective Date and shall continue in
full force and effect for a period of 1 year from the date of this Agreement, unless earlier
terminated by either party at least 30 days’ prior written notice.
 ii) EXCLUSIVITY.
For the term of this Agreement, Broker shall have exclusive right to introduce
prospective clients to the Provider who are not already known to the Provider.

iii) FEES AND PAYMENT.

The Broker’s fee shall be a fee of PHP23,436.00 or 10% of PHP 234,360.00 of the
monthly rental fee of Mr. Winston Rubio Cuerda monthly.

iv) NON-CIRCUMVENTION.
During the term of this Agreement, Provider will not attempt to do business with, or
otherwise solicit any clients found or otherwise referred by Broker, to Provider for the
purpose of circumventing, the result of which shall be to prevent the Broker from
realizing or recognizing a commission or Broker’s fee. If such circumvention shall occur,
the Broker shall be entitled to any commissions due pursuant to this Agreement or
Broker’s fee relating to such transaction.

v) GOVERNING LAW.
This agreement shall be governed by the laws of Philippines without giving effect to
principles of conflicts of law.
