SECRETARY'S CERTIFICATE

I, JEROME CUI, of legal age, Filipino, with office address at Unit 1003 Annapolis Wilshire
Plaza, 11 Annapolis St. Greenhills, San Juan City, after having been duly sworn in accordance with law
do hereby depose and state that:
1. I am the Board Secretary of Detectnet Security Agency Corp. (Detectnet for brevity), a
cooperative duly organized and existing under the laws of the Philippines.
2. At duly constituted meeting of the Board of Directors held on June 26, 2019, where a quorum
existed and acting throughout, the following resolutions were passed and approved:
RESOLVED, that ARCHIE L. ALFONSO be authorized to prepare, sign, verify, execute and
deliver any and all documents, pleadings, position papers, affidavits, necessary for the filing of Position
Paper, Reply, Rejoinder and any other pleading before the National Labor Relations Commission, Court
of Appeals or the Supreme Court, if necessary.
RESOLVED FURTHER, that the above be authorized to appear for and in behalf of Detectnet to
be its true and lawful attorneys-in-fact for and in its stead to represent it in all of the proceedings in the
National Labor Relations Commission, Court of Appeals or the Supreme Court, if necessary, in particular
to consider and agree to the following:
a) Simplification of the issues;
b) The necessity or desirability of amendments to the pleadings;
c) The possibility of obtaining stipulations or admissions of facts and of documents to avoid
unnecessary proof;
d) The limitation of the number of witnesses;
e) The advisability of a preliminary reference of issues to a commissioner;
f) The propriety of rendering judgment on the pleadings, or summary judgment, or of dismissing
the action should a valid ground therefore be found to exist;
g) The advisability or necessity of suspending the proceedings; and
h) Such other matter as may aid in the prompt disposition of the case.

and for this purpose, to do, perform and consider all such matters as may be brought up during any stage
of the proceedings thereof, under applicable laws and regulations such as to enter into stipulation of facts,
simplification of issues and other acts related to the case under such terms and conditions as said
attorney(s)/counsel(s) shall deem proper or necessary;
3. The foregoing resolutions have not been amended are still valid based on the records of the
Corporation in my possession.
