DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

That this DEED is entered into and executed by EMMANUEL A. CADUYAC, of legal
age, Filipino, married, and a resident of Dumaguete City, Negros Oriental, hereinafter called the
vendor, in favor of LLOYD D. GRAFE, also of legal age, Filipino, single and a resident of
barangay Tubtubon, Sibulan, Negros Oriental, herein after called the VENDEE;

WITNESSETH:

That Emmanuel A. Caduyac is the registered owner of a certain motorcycle, which is more
particularly described as follows:

That for and in consideration of the sum of FIFTEEN THOUSAND PESOS (Php
15,000.00), Philippine Currency, in hand paid by the vendee, and receipt in full is hereby
acknowledged by the herein vendor to his entire satisfactions and that by virtue of these presents
the vendor does hereby SELL, TRANSFER, and CONVEY, by way of Absolute Sale, all the
vendor’s rights, interests and participations over the above-described motor cycle, in favor of the
vendee, his heirs and assigns, free from all liens and encumbrances.

That the vendor warrant his ownership over the said Motor cycle and will defend the
rights of the vendee against any adverse claim whatsoever.
