LETTER OF APPOINTMENT

Dear Mr. Kumar Gaurav,

With reference to your application and subsequent discussions, we are pleased to offer you an appointment in
our Company (Rexware Plastics & Packaging Industries Pvt. Ltd.)on the following terms and conditions:

1. DESIGNATION : Assistant Manager


2. COMPENSATION : As per Annexure–1
3. EMPLOYMENT TYPE : PERMANENT

Your compensation and benefits are subject to changes as per Company’s policies on performance, salary
reviews and such other valid reasons as recognized in law, as the Company may determine from time to time.

All information regarding your remuneration and terms of employment are strictly personal and confidential
between you and the Company, and you shall not divulge the content(s) to any employee of the company.

4. PLACE OF WORK

You will be posted at Bhumi World Industrial Park, Bhiwandi, Thane.However, your services are transferable
to any place in the country or abroad or to any of the associate/ sister concern or its subsidiary, whether existing
or acquired later on, at the sole discretion of the management.

5. REPORTING/JOINING

Your Appointment shall be effective from your date of joining the organization. Please note that the validity of this
offer of employment depends on your confirmed joining on or before Jul. 1st,2017

In the event of failure of the above, this letter of Appointment stands withdrawn, unless otherwise agreed by
management in writing.

6. PROBATION

You will be on probation for a period of Six (6) months. The probation period can be extended further if your
performance / conduct is not satisfactory, at the sole discretion of the management. You will continue to be on
probation until confirmed in writing.

7. FULL TIME EMPLOYMENT

You shall, during your employment with the Company, devote whole time and attention to the Company’s
business entrusted to you and you shall not engage yourself directly or indirectly in any business or service,
other than company’s business and service, unless with prior written permission of the Company.

8. CONFLICT OF INTEREST

You shall disclose fully to the Company all your business interests which are similar to or in conflict with the
business or activities of the Company, and all circumstances in respect thereof. Failure to do so would be
treated as an act of indiscipline.

9. NON DISCLOSURE

You shall not divulge, communicate or pass on any information in any form, related to any aspect of the
Company (including and not limited to – technical know – how, trade secrets, confidential and proprietary
information, etc.) to anyone outside the Company.

You agree that, during your employment and after your employment ends, whatever the reason of such
termination, you will not use, reproduce, or disclose any of the Confidential Information, except in the normal
course of your job for the Company, or unless an authorized officer of the Company gives you written
permission in advance. You agree to return any Confidential Information (and all copies) in your possession
on cessation of your employment with the Company.

10. COMPANY’S COPYRIGHT

All works such as development, modifications, improvisations in the form of programs, policies, studies,
reports, manuals, products etc., carried out for the Company, with your involvement shall be the property of
the company. The copyright for such works shall be with the Company and you will not hav e any claims on the
same.

11. NON-SOLICITATION OF EMPLOYEES OF THE COMPANY

You agree that during your employment and after your employment with the Company ends, whatever the
reason of such termination, you will not, directly or indirectly, aid, solicit or induce any employees, directors or
officers of the Company to leave the Company for employment or other relationship with any entity that is
involved in any aspect of the business of the Company.

12. COMPANY POLICIES

Your leaves and other benefits shall be governed by the Company Policies (as amended from time to time)

You agree that as part of your job responsibilities, you will follow the guidelines, standards, rules, policies and
practices of the Company are prevailing from time to time. You agree that the Company may change any of
the Company’s guidelines, standards; rules, policies and practices from time to time, and that such changes
will apply to your job responsibilities and be binding on you after the effective date of the change. Such
changes may affect or result in a modification of the terms and conditions governing your employment which
are set out in this or elsewhere, and you shall be bound by such changes as long as they are permitted by law.

For the avoidance of doubt, nothing in this agreement shall affect or be construed to prejudice or override any
of the Company’s obligations imposed by law, and the terms of this Appointment Letter shall be read subject to
such legal obligations.

13. ABANDONMENT

Absence from work for a continuous period of ten days or when overstayed for a period of ten days after expiry
of sanction leave, shall make you lose your lien on the job and you shall be liable to be discharged after giving
an opportunity of hearing.

14. TERMINATION

This employment can be terminated by either side, by giving fifteen days’ notice during the probation period
and after confirmation by giving one month’s notice. Prior to leaving the Company, you will ensure that all your
ongoing activities are successfully completed and properly handed over to the satisfaction of your manager/in-
charge/superior. In the event, notice of termination is initiated by you, the Company may, at its sole discretion,
relieve you from such date as it may deem fit even before the expiration of the notice period, without obligation
to pay you any amount or compensation for the un-expired period of the notice period.

The company may also terminate your employment without notice and without payment in lieu of notice period in
the event of misconduct. Without prejudice to the generality of the scope of the term ‘misconduct’ the following
events shall amount to misconduct:

1. Committing any act of indiscipline


2. Found in breach of your obligations under individual Confidentiality and Access Undertaking
3. Noncompliance with any of the terms &the conditions of your employment or instructions/regulations issued
by the company from time to time.

15. SERVICE AGREEMENT

In case you are provided any special training by the company then it would be mandatory for you to sign a
Service Agreement with the company for a period of 2 years from the date of joining. The Service Agreement will
constitute in detail the terms and conditions laid down therein. The Service Agreement will be final and
supersede clause 13 above.

16. VERIFICATION

Your employment will be further subject to the verification of your credentials, testimonials and other particulars
provided by you at the time of your recruitment. In case, at any stage, it is found that any information is false or
misleading or any material information is suppressed. Then, notwithstanding the fact that you have joined the
duty upon selection you will lose lien on your employment and be liable to be discharged forthwith.

Please sign the duplicate copy of this letter, and Annexure 1, as a token of acceptance.
