This document contains proprietary and confidential information. All data submitted to your
Company is provided reliance upon its consent not to use or disclose any information contained
herein except in the agreement of its business dealings with LMBM Logistics Philippines Inc.
The recipient of this document agrees to inform present and future employees of your
Company who view or have access to its content of its confidential nature.

The recipient agrees to instruct each employee that they must not disclose any information
concerning this document to others except to the extent that such matter is generally known
to, and are available for use by, the public. The recipient also agrees not to duplicate or
distribute or permit others to duplicate or distribute any materials contained herein without
LMBM Logistics Philippines Inc. written consent.

TERMS AND CONDITIONS

When using LMBM services, you as Shipper agree to the following Terms and Conditions which shall
apply from the time LMBM accepts the shipment unless otherwise agreed in writing by an
authorized officer of LMBM.
Shipment means all parcels and cargo that travel under one waybill and which may be carried by
any means LMBM chooses, including air, land or any other carrier. A waybill shall include any label
produced by LMBM automated systems and shall incorporate these Terms and Conditions.

Every Shipment is transported on a limited liability basis as provided herein. If Shipper requires
greater protection, then insurance may be arranged at an additional cost. (Please see below for
further information).

Shipper agrees that its shipment should be acceptable for transportation and is deemed
unacceptable if:-

It is classified as hazardous material, dangerous goods, prohibited or restricted articles by any


applicable government department or other relevant organization;

It contains counterfeit goods, animals, bullion, currency, banderols/tax stickers,


flammable and non-flammable liquids, batteries, bearer form negotiable instruments, precious
metals and stones; real or imitation firearms, parts thereof, weapons, explosives and
ammunition; human remains, pornography or illegal narcotics/drugs);

It contains any other item which LMBM at its sole discretion, decides cannot be carried
safely or legally;

With maximum declared value that exceeds its actual value.

LMBM can arrange insurance for Shipper covering the actual cash value in respect of loss or
physical damage to the shipment, provided that Shipper agrees to pay the applicable premium.

Its packaging is defective or inadequate.

Shipper agrees that in the absence of the Consignee, the shipment maybe given to any person
at the given address who is of sufficient age and discretion.

Shipper must provide accurate delivery address information of the consignee to LMBM for
delivery.

Shipper shall indemnify and hold LMBM harmless for any loss or damage arising out of Shipper’s
failure to comply with any applicable laws or regulations or for the Shipper’s breach of the
following warranties and representations:-

All information provided by Shipper or its representative is complete and accurate;

The shipment was prepared in secured premises by the Shipper, its agents, or employees;
Shipper employed reliable staff to prepare the shipment;

Shipper protected the shipment against unauthorized interference or tampering during


preparation, storage and transportation to LMBM;
The shipment is properly marked and addressed and packed to ensure safe
transportation with care in handling;

LMBM shall make 2-3 delivery attempts for NCR shipments and 2 attempts for Provincial.
LMBM may charge the Shipper an additional fee in excess of the allowed attempts. For
unsuccessful attempts LMBM will update the system and notify both consignee and the shipper
prior delivery.

For problematic shipments, LMBM will notify the Shipper for disposition if the shipment will be
returned or to be disposed. If the Shipper opted to dispose the shipment no additional charge
shall be applied.

LMBM does not guarantee actual delivery time frame as schedule based on route and
destination.

LMBM will pick up the shipments from the Shipper of the same day if the booking was made
before 2:00 PM, otherwise it will be picked up the following day.

For Cash on Delivery remittance, LMBM will deposit the collected amount to the Shipper’s
bank account within 5-7 business days for NCR shipments and 7-10 business days for Provincial
from the date of the collection. After the deposit was made LMBM will send an email to Shipper
with the attached deposit slip and the breakdown which shows the list that has been collected.

LMBM shall not be liable for loss, damage or delay arising from or connected with acts of God
or force of nature, including but not limited to worker’s strike, civil unrest, war, natural
catastrophes and government intervention.

LMBM’s liability is strictly limited to direct loss and damage to the shipment if without proper
packaging and declaration of value, and does not include liability for lost profits, income,
interest or future business.

If the Shipper opted to change the delivery address of the consignee, corresponding
freight shall be applied, provided that NO additional shipping fee will be applied if the new
address is within the initial vicinity (same town or city) of the original delivery address.

LMBM will provide customer support to answer any queries, follow ups and coordinate with both
Shipper and Consignee for special handling and delivery instructions.

Any dispute, controversy, claim or difference of any kind whatsoever which shall arise between the
parties in connection with, or arising out of this agreement shall be governed by laws of the Republic
of the Philippines and shall be subject to the jurisdiction of the proper courts of Muntinlupa city to
the exclusion of any other court

4. Payment Terms
Payments shall be made payable on cash, check or cash and check addressed to LMBM
Logistics Philippines Inc. only.
Billing Statement shall be submitted to the client after processing of shipments and
payment must be completed within Fifteen (15) working days upon receipt of the billing
statement.

5. Operations

Your Company
Shall provide LMBM Logistics Philippines Inc. the correct and complete name and
addresses of the Shipper (online Seller) and the Consignee (softcopy) by uploading it to
our client Portal. User name and password shall be provided to you upon signing this
agreement.

LMBM Logistics Philippines Inc. shall provide timely pick-up to the shipper.
Observe proper handling of shipment (fragile)
Make sure that all information is accurate
Must ensure timely delivery of shipment to the consignee.
Submit status report of every shipment
