COPYRIGHT & NON-DISCLOSURE TERMS AND CONDITIONS FOR THE REPRESENTATIONAL

USE OF NIGERPET STRUCTURES LIMITED (NPS) EXCLUSIVE DESIGN & ENGINEERING DATA
FOR THE ENGINEERING SURVEY AND DESIGN OF SELECTED EROSION SITES IN ONDO
STATE

This Memorandum of Understanding (MOU)/Agreement is entered into by:

1. NIGERPET STRUCTURES LIMITED (DESIGNER) OF

PLOT G.32 EWET HOUSING ESTATE, UYO,
AKWA IBOM STATE. - FIRST PARTY

2. RIMURPHY ENGINEERING & CONSTRUCTION

LIMITED OF PLOT CD.32 GBAZANGO EXTENSION,
KUBWA, ABUJA - SECOND PARTY

The purpose of the agreement is to provide a contract structure to satisfy conditions of

World Bank policy and process for contracts in Ondo State administered and supervised by
the State Nigerian Erosion and Watershed Management Project (Ondo State NEWMAP).

1. The agreement covers the entire engineering and design works undertaken by
Nigerpet Structures Limited and includes but is not limited to:

a) Survey and Site Measurements.

b) Geo-Technical and Site Investigation.
c) Environmental Impact Assessment (EIA)
d) Data Gathering & Control – Rainfall Intensity etc.
e) Design & Engineering drawings, calculations.

2. Nigerpet Structures Limited retains exclusive title and copyright for Engineering
Survey and Design of Selected Erosion Sites in Ondo State.

3. RIMURPHY Engineering & Construction Limited role is representation only. All

reproduction and submittal of documents, correspondences to Ondo NEWMAP will
be prepared by Nigerpet Structures Limited and submitted via RIMURPHY
Engineering & Construction Limited to the Client.

4. RIMURPHY Engineering & Construction Limited are strictly prohibited to claim any
tittle, credits, copy or disclose Nigerpet Structures Limited engineering and design
data or correspondences to others.

5. RIMURPHY Engineering & Construction Limited agrees to take instruction from

Nigerpet Structures Limited on any and all issues relative to World Bank
environmental design contracts with Ondo NEWMAP.

6. All drawings, documents, data, correspondence will be produced by Nigerpet
Structures Limited at our Head Office, Plot G.32 , Ewet Housing Estate, Uyo, Akwa
Ibom State. RIMURPHY Engineering & Construction Limited agrees not to correspond
or communicate directly or indirectly with Ondo NEWMAP. All communications with
Ondo NEWMAP will be through Nigerpet Structures Limited.

7. RIMURPHY Engineering & Construction Limited agrees to allow Nigerpet Structures

Limited use of their seal/stamp and headed paper. Use of these items will be
witnessed by RIMURPHY Engineering & Construction Limited as all submittals and
correspondences to Client will be produced by Nigerpet Structures Limited and
endorsed by RIMURPHY Engineering & Construction Limited in Nigerpet Structures
Limited head office.

For the services of RIMURPHY Engineering & Construction Limited, five percent (5%) (less
VAT & COT) of the design fee awarded by the Client will be paid to RIMURPHY Engineering
& Construction Limited on back to back basis with payments from the Client.

For the financial control and administration of projects with Ondo NEWMAP, Nigerpet
Structures Limited and RIMURPHY Engineering & Construction Limited will enter into a
separate agreement in respect of advance interim and final payments from the Client for
design & engineering services. This will require establishing a project bank account with
joint signatures of Nigerpet Structures Limited and RIMURPHY Engineering & Construction
Limited accounts details to be registered with Ondo NEWMAP for the purpose of receipt
and dispensaries of all payments.
