MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement made and entered into, at Manila, Philippines this _____ day of _______, by and between the YWCA
of the Philippines, Inc. represented by LILIA AROMIN - FARIÑAS, in her capacity as National President, of legal
age, Filipino, and with postal address at YWCA Building, 880 United Nations Avenue, Ermita, Manila, Philippines
1000, hereinafter referred to as the FIRST PARTY. and __________________________________ represented by
___________________________, of legal age and with postal address at
_____________________________________________________ hereinafter referred to as the SECOND PARTY.

WITNESSETH THAT

For and in consideration of the agreed donation of _____________________________ for the use of Board Room of
the YWCA of the Philippines building, located at 880 United Nations Avenue, Ermita, Manila, on
_____________________ under the following terms and conditions:

1. The Second Party agreed to pay the YWCA of the Philippines, Inc. for the use of the Boardroom the amount of
Php 2, 000.00 for the first two (2) hours and Php250.00 for the succeeding hour use of boardroom only. Additional
payment of Php350.00 for the use of pantry inclusive of one (1) gallon of water;

2. We required a non-refundable Php1, 000.00, reservation fee for the use of the venue. The deposit will be
deducted from the total cost of the event. It is agreed that if the second party cancels the event for whatever
reason, the deposits and any payments made will be forfeited in favor of the YWCA of the Philippines, Inc.;

3. Another Php1, 000.00 of the cash bond should be paid at least one (1) day before date of event. No personal
cheque will be accepted five (5) days prior to your event. The Php1, 000.00 cash bond fee will be refunded within
2 days after the inspection of the venue facilities. Any damage to the venue facilities caused by the second party,
guest or the employees of the caterer shall be paid out of the bond;

4. The Second Party shall pay Php________ for the use of Sound System or Php__________ for the electricity
charge;

5. Second Party hereby agree to use the premises solely for the purpose stipulated, to wit, as Office and Sunday
Service with no right to sublet or assign the same unless with express written permission of YWCA;

6. The Second Party shall keep and maintain the premises in good condition. The only adhesive material allowed
on the walls/pillars is drafting tape, which will not damage surfaces. No masking tape, duct tape, electrical tape,
transparent tape, or double stick tape is allowed. All other decoration must be free standing. Nails and staples
are not permitted;

7. Smoking and beverages containing alcohol are strictly not allowed in all the facilities of YWCA of the Philippines,
a penalty of Php_____________ will be collected for the failure of compliance hereof;

8. The Second Party shall not install any electrical device or equipment, other than office speakers machine or air
conditions nor connect or allow to connect additional electrical and water connections or cause the use of the
same by other parties without the knowledge and approval of the YWCA and the licensing authorities concerned;

9. The Second Party shall not at any time bring combustible materials inside the leased premises and/or use the
cooking equipment;

10. The Second Party agrees to properly dispose of all food, trash, and garbage at the end of the designated rental
time
 11. The YWCA guarantees the peaceful and adequate enjoyment of the leased premises by the Second Party for
the entire duration of contract;

12. The YWCA guarantees the peaceful and adequate enjoyment of the leased premises by the Second Party

13. A security personnel/staff will be present during the entire of the event but is not allowed to leave the YWCA
premises at all times;

14. The YWCA of the Philippines reserves the right to inspect and control any event being held. Liability for
damage to the premises will be the responsibility of the contracting party and will be charged back to them
accordingly. The YWCA of the Philippines is not liable for any bodily injury occurring or during use of the
facilities. The YWCA of the Philippines is not liable for any damage to guests’ property while within the
facilities. The YWCA of the Philippines is not responsible for gifts, envelops, checks, cash or any other items
left unattended at any time. The YWCA of the Philippines is not responsible for the delay or cancellation of an
event due to acts of nature, war (whether declared or undeclared), terrorist activities, incidence of violence,
public health issues, fire severe weather conditions or event participant behavior.

I understand and Agree to YWCA of the Philippines’ Guidelines and Rules and Regulations set forth in this
contract. I further agree that I will be held responsible for any damages sustained by the YWCA of the
Philippines, its partners and assigned, directly or indirectly resulting from this event. I understand that YWCA
of the Philippines reserves the right to make changes or amendments to this contract with prior notice at least
five (5) days before the changes of amendment to this contract. I am aware that if the cost of damages exceeds
the Php1,000.00 cash bond that I earlier deposited, that I will be responsible for the payment of the additional
cost of repair and or replacement of the damaged property of YWCA of the Philippines’.

IN WITNESS WHEREOF, the parties have hereunto signed these presents of the date and the place first above
mentioned.

Numbers indicated below their names, and they represented to me that they executed the foregoing Contract of Lease
consisting of two (2) pages, including the acknowledgement, signed by them and their witness and they acknowledged
to me that the same is their free act and voluntary deed.
