ARTICLES OF INCORPORATION
OF
PHILIPPINE SCIENCE HIGH SCHOOL
ACCREDITING ASSOCIATION

The undersigned incorporators, all of legal age, have voluntarily agreed to form a
stock corporation under the laws of the Republic of the Philippines and certify the
following:

First: That the name of said corporation shall be “Philippine Science High School
Accrediting Association, Inc.”;

Second: That the purpose or purposes for which such corporation is incorporated
are as follows:

1. Establish a non-stock, non-profit corporation towards developing a quality

standard for all existing science high schools and those that may be established
hereinafter in the Philippines;
2. Provide counsel and assistance to established and developing science high
schools and their respective programs;
3. Assist science high schools in their quest for regional and international
recognition of their academic program; and
4. Network with national and international organization involved in quality
assurance of education;

Third: That the principal office of the corporation is located in the City/Municipality
of Paranaque, Province of (N/A), Philippines;

Fourth: That the corporation shall have a perpetual existence from the date of
issuance of the certificate of incorporation;

FIFTH: That the names, nationalities and residences of the incorporators are as

Ninth: That Jason P. Sabug has been elected by the members as Treasurer of the
Corporation to act as such until his successor is duly elected and qualified in accordance
with the by-laws, and that as such Treasurer, authority has been given to receive in the
name and for the benefit of the corporation, all the subscriptions, contributions or
donations paid or given by the subscribers or members, who certifies the information set
forth in the seventh and eighth clauses above, and that the paid-ip portion of the
subscription in cash and/or property for the benefit and credit of the corporation as been
duly received.

Tenth: That the incorporators and directors undertake to change the name of the
corporation as herein provided, or as amended thereafter, immediately upon receipt of

notice or directive from the Securities and Exchange Commission that another
corporation, partnership or person has acquired a prior right to the use of that name or
that the name has been declared as misleading, deceptive, confusingly similar to a
registered name or contrary to public morals, good custom or public policy.

Eleventh: That no transfer of stock or interest which will reduce the ownership of
Filipino Citizens to less than the required percentage of the capital stock as provided by
existing laws shall be allowed or permitted to be recorded in the proper books of the
corporation and this restriction shall be indicated in all the stock certificates issued by the
corporation.

IN WITNESS WHEREOF, we have hereunto signed these Articles of Incorporation, this

10th day of August 2019, in the City of Paranaque, National Capital Region, Republic of
