AGREEMENT

This agreement is made at Faridabad on 14/09/2019

Between

M/s Share Global Foodhub Pvt Ltd (hereinafter called of the first part which
expression shall include his heirs, successor legal representatives and assignee)
And
M/S Daksh Facility Private Limited, A-2465, First Floor Green Field Colony,
NHPC Chowk faridabad (hereinafter called the party of second part, which
expression shall include his heirs, successors representatives and assignee)

WHEREAS the party of first part is in need having services of the House
keepers/Horticulture in our various premises at, M/s Share Global Foodhub Pvt
Ltd and at such other place from time to time as per requirement(s). AND
WHEREAS the party of the second part has offered to provide such
Housekeeping and Horticulture services on contract basis and agreed to assume
complete and full responsibility of the Housekeeping / Horticulture services and
allied matters relating to M/s Share Global Foodhub Pvt Ltd after such other
places as the party of the first part decide from time to time.

NOW THEREFORE THIS AGREEMENT WITNESSTH AS FOLLOWS

A. Requirement of personnel:
In order to take proper and adequate care of the aforesaid work and make
arrangement, the party of the second part shall deploy person with then 3
Month’s experience in its line and otherwise suitable for the job. However
the estimated requirements of manpower to be provided by the party of
the second part shall be as per

B. Rate of Payment.

a) Dress and caps will be provided to employees of the contractor by
the second party.
b) Minimum wages increase as per Govt norms will be paid by the 1st
party.
c) 1st party will make payment of vendor’s bill before 7th of every
month and thereafter 2nd party will make payment of wages to it’s
employees.
d) Food to employees will be provided by 1st party
e) 1st party will provide one month’s PDC cheques of equal to total
amount as per agreed rates

C. Period.
This agreement shall be valid for the period of One year commencing from
16/09/2019 to 15/09/2020 and may be renewed for a further period with
mutual consent with the same terms and conditions.

D. Replacement of personnel

If, in the opinion of the party of the first part, any employee/personnel of
the party of the second part is found to have committed any misconduct or
acted in a manner. Subversive of discipline the party of the second party
shall remove such a person and replace the same immediately on hearing
from the party of the party, if required, with a suitable hand. The decision

of the party of the first part in respect of unsuitability of workmen


personnel shall be final and binding on the party of second part. The party
of the second part shall be liable to make good to the party of first part.
For any loss caused by their activities without prejudice to the right of the
party of the first part to terminate the agreement with any liability on the
part of the party of the first part.

E Assignment and / or sub letting:


The agreement shall not be transferable or assigned to any one by the
party of the second part without the written consent of the first part.
Personnel employed shall be at the sole responsibility and liability of the
party of the second part and all expenses in connection with their
employment shall be borne of the party of second part.

F Part of the second part as employer.

The party of the second part being the employer of the House-keeping /
Horticulture / personal deputed / engaged by it under this agreement
shall be exclusively responsible for payment of wages and allowances /
benefits to its whatsoever in this respect. However, party of the first part
shall not be liable in any manner being present at all times at the time the
wages are disbursed by party of the second part.

G Compliance of legal provisions:

The party of the second part will be solely responsible for compliance of
all the laws/enactment/orders, regulation, including statutory obligation as
the case may be of the Government of India, state or ant statutory or
non-statutory body / Authority. Party of the second part against all
liabilities in this respect.

H The SECOND PARTY shall be responsible all legal compliance

I The party of the second part shall comply with all instructions issued by the
party of the first part from time and any system applied and record kept
thereof. Shall be duly approved by the party of the second part in writing.

J The party of the second part shall maintain absolute secrecy with regard
to all matters relating to the working of the first part and also of the other
matters that may come to their knowledge by virtue of this Agreement in the
event of any breach of this provisions, the party of the first part shall be
entitle to terminate the entire agreement forth without assigning any reason
whatsoever.
K The SECOND PARTY shall be provided with full particulars of the workers
assigned for duty at the premises / property of the first party in advance.

L The SECOND PARTY shall ensure that particulars of the workers are
registered with the local police station and police verification to that effect
has been obtained Before deputing and assigning workers for duty and copy
of such verification should submitted to the first party.

M. The SECOND PARTY shall provide each worker with an identity card.

N. The SECOND PARTY agrees to comply with the provisions of the


workman’s
compensations Act, The Employees state Insurance Act. The Employees
provident fund and miscellaneous provision Act to make deduction as per
E.S.I. provident fund Act form the payments made to the worker and deposit
the contribution with its own code No. with the authorities as per law in force
from time to time. Evidence of the same shall be submitted with the bill. In
case any claims is raised by the workers employed by the SECOND PARTY
only the SECOND PARTY shall be liable for the same and the first party
shall have no liability in any manner whatsoever

O The FIRST PARTY shall have right to surrender or ask for withdrawal of
the housekeepers/ Gardener forthwith and the second party shall provide a
substitute immediately irrespective of the action contemplated against the
errant housekeepers.

P The staff of the SECOND PARTY shall in no circumstance be given


direct/indirect employment to officer/staff or family members, relatives of the
FIRST PARTY till after one year of the present Agreement.

Q Both the parties agree that the SECOND PARTY shall be at liberty to take
up any other assignment of any other firm company etc. on his own
responsibility and in case any provision of the contract labour (regulation
and abolition), Act 1970 or any time becomes applicable to SECOND
PARTY, It shall notify to government and will obtain the license and the
incidents of any violation on it’s part of the contract labour (regulation and
abolition), Act 1970 or any other law in force from time to time in relation to
the housekeeper deputed for housekeeping duty.

R The SECOND PARTY shall ensure that keepers posted for housekeeping
duty shall
rotated every three months during the period of the agreement including the
renewal or extension, if any
S Termination.
(1) In the event the performance of the contractor is found to be
unsatisfactory or in any manner undesirable, the FIRST PARTY
shall have liberty to terminate the contract within 30 Days prior
notice in writing.
(2) Parties of the Agreement shall be empowered to terminate the
agreement by 30 Days’ notice from each side.
(3) In case of loss of confidence, The FIRST PARTY shall have liberty
to terminate the agreement within 30 days prior notice.

T The SECOND PARTY shall be liable for action for criminal breach of
trust
case of violation of the condition set forth herein.

U Arbitration.

Any dispute arising out of this agreement, effect or interpretation of any


clause thereof or any matter having connection shall be referred for
decision to the First party or his nominee whose decision shall be final and
binding.

V All disputes arising out of this contract will be subjected to the jurisdiction
of courts
in Gautam Budh Nagar.

Annexure “A”

Scope of Work

1. Normal Cleaning

2. House Keeping contract will include all covered as well as open areas of

the Base kitchen

3. Housekeeping workers so deputed will be used for cleaning, moping

dusting, disposal of garbage, washroom cleaning, removal of cobwebs,

drain cleaning, removal of blockages from ETP/SWEAGE chambers &

allied task

4. Areas can be increased or taken away from the contractor at the

discretion of the Company subject to performance

5. The staff deployed will be trained in House Keeping / management

services, bear good conduct and physically fit for the work.

6. All the workers will wear the uniform in clean condition while attending to

their duties and carry their photo identity cards and displayed prominently

for which

7. Contractor will provide summer/ winter, uniform shoe, etc to their

employees as per specification of the The company.
