NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the 41st Annual General Meeting of the Western India Regional Council (WIRC) of the
Institute of Company Secretaries of India (ICSI) will be held on Monday, 31st July 2017 at 05.00 pm at ICSI-WIRC
premises, 5th Floor, 56 & 57 Jolly Maker Chambers No.II, Nariman Point, Mumbai 400021, to transact the
following business:

1. To receive, consider and adopt the Audited Balance Sheet as at 31st March 2017, the Income & Expenditure
account for the year ended on that date, Report of the Regional Council and Auditors’ thereon.

2. To appoint M/s. P.R. Agarwal & Awasthi, Chartered Accountants, Mumbai as Statutory Auditors for the year
2017-18 and fix their remuneration.

3. To transact such other business as may be brought before the meeting with the permission of the Chair.

Note(s):

1. The members are requested to send their queries on financial accounts and / or functioning of WIRC through
email at kailash.kaushik@icsi.edu or by any other mode, atleast three days in advance, so that answers
may be made available at the meeting.

2. Members are requested to update the changes in their address (es), email IDs, contact details and other
particulars at wiro@icsi.edu for enabling WIRC to disseminate information about activities and programs.

3. In order to promote the Green Initiative, the ICSI vide its letter dated 21.10.2011 has directed all its Regional
Councils to send the Annual Report to the members through electronic mode. Accordingly, WIRC is sending
Annual Report for the year 2016-17 through e-mail. Members may also view/download Annual Report from
the child portal of ICSI-WIRC (www.icsi.edu/wiro). Hard copies of the Annual Report will be available at the
venue of the AGM i.e. ICSI-WIRC premises, 5th Floor, 56 & 57Jolly Maker Chambers No.II, Nariman Point,
Mumbai 400021 on Monday, 31st July 2017 for inspection.

4. Members interested to receive the printed version of Annual Report should send their request by email
atleast 4 days prior to the date of the AGM by email at wiro@icsi.edu. The printed version of the Annual
Report shall be dispatched on receipt of such request.

Dear Members,

The Western India Regional Council of The Institute of Company Secretaries of India (ICSI-WIRC/
Regional Council) is pleased to present its 41st Annual Report and Audited Annual Accounts for
the year ended 31st March 2017.

The audited annual financial statements forms part of this report.

Status of Members :

The total number of members in the Western Region (including defaulters) as on 31st March, 2017
stood increased to 16,989 as against 14,865 as on 31st March, 2016.

Status of Students Registration :

The number of registered students in the Western Region as on 31st March, 2017 was 1,10,739.

Observations of the Regional Council to Auditor’s adverse remarks:

Regional Council while approving the accounts as recommended by the Regional Finance Committee
and Regional Executive Committee of ICSI-WIRC in its meetings dated 7th July 2017 and 14th July
2017 noted various serious adverse remarks and observations of Statutory Auditors and also the
opinion of Auditor that the said accounts are giving true & fair view.

The ICSI-WIRC is facing acute shortage of manpower in general and non–availability of any qualified
accounting staff since October 2016 in particular, despite constant and persistent efforts by way of
follow-up with ICSI-HQ and hiring services on contractual basis.

Further, Internal Auditor M/s. R. Jaitlia & Co., Chartered Accountants, Mumbai resigned vide email
dated 29th December 2016 with effect from 1st July 2016. Thereupon, M/s M/s. T.R. Chadha & Co.,
Chartered Accountants were appointed as the new Internal Auditor with effect from 2nd May 2017. In
view of above, Internal Auditor could not submit their report in time to be made available to the
Regional Council and the Statutory Auditors. Further, it may please be noted that Internal Auditor be
communicated that Internal Audit Report will be made available as soon as possible.

ICSI-WIRC in consultation with ICSI-H.O., decided to go ahead in accepting Statutory Auditor’s report,
pending Internal Auditor’s report, considering strict compliance to timeline of approving financial
statements and placing before the members at the Annual General Meeting for adoption.

Other comments of Statutory Auditors are self-explanatory and suitable corrective actions are being
taken.

Activities and New Initiatives:

WIRC is one of the four Regional Councils which organizes Professional Development and continuing
education programs for the members, Oral Coaching Classes and Training & Development programs
for the students.

In keeping with the tradition of the ICSI-WIRC for the acquisition and dissemination of useful
information and updating of professional knowledge on subjects of interest to the profession of
Company Secretaries, number of meetings, talks, lectures, seminars, study circle meetings,
Knowledge Centres and other professional development programmes were organized by ICSI-WIRC
during the year under review.

Some of the initiatives and achievements for 2016-2017 are highlighted, in the Annexure A to this
report.

The Chapters of ICSI-WIRC also organized such programmes.

a. ICSI-WIRO Library Facility


Library facility is available at the WIRC office at Mumbai.
Library facilities are also available at various chapters of ICSI-WIRC.

b. Profession recognition, brand building and awareness programs
ICSI-WIRC took various brand building and awareness initiatives such as:
• Brand building measures through branded program folders, students’ folders, media
coverage, etc.
• Career Awareness programs organized in remote locations.
• Investor Awareness Programme organized under the aegis of MCA.
• Study Centres opened at various Colleges and Universities of the Region.

c. Campus Placement

Campus Placement was undertaken to provide good scope for students and members to prosper
in Career and for Companies to attract suitable talents.

ICSI-WIRC organized a Campus Drive on 18th & 19th May 2017 under the aegis of ICSI, H.O.

d. Special Programs
 In Mumbai about 4 nos. of Investor awareness programs were organized.
 Annual Regional Conference 2016 was organized by ICSI-WIRC on 25 & 26 June, 2016 at
Hotel Sayaji, Indore. About 195 participants attended the Conference.
e. Special Drive for CSBF

WIRC for every member’s benevolence undertook a lot of awareness campaign for CSBF,
comprising of distributing brochure, display of special CSBF banner / standees, telephonic calls
and emailing brochure. A unique scheme of contributing Re.1 per day i.e. Rs.365/- p.a. was
launched by WIRC as an appeal to the members of the Region.

f. IT initiatives
• Web-portal revamped to be the best-in-class with various value-added features.
• Online registration and payment of fees for programs conducted by the ICSI-WIRC.
• MSOPs and Student registration made online.

Programme Membership Scheme of ICSI-WIRC

Programme Membership Scheme of ICSI-WIRC (PMS) continued with the feature of validity from 1st
April 2016 to 31st March 2017 for the benefit of members, corporates and students to enable them to
swiftly register for the programme and also to take the benefit of concessional fees.

There are total 22 PMS members comprising of Individual – 11 and Corporate – 11.

Details of the PMS is given at Annexure B.

Chapters:

At present, there are Seventeen Chapters serving the members and students of the Institute in the
Western Region. These Chapters are located at Ahmedabad, Aurangabad, Bhayander, Bhopal,
Dombivli, Goa, Indore, Kolhapur, Nagpur, Nasik, Navi Mumbai, Pune, Raipur, Rajkot, Surat, Thane
and Vadodara. The details of the Chapters inclusive of contact address and office bearers are
available on the website of ICSI (www.icsi.edu). The Dombivli Chapter is now under the control and
supervision of ICSI-WIRC. However, the Managing Committee is constituted for the Dombivli Chapter
and it is expected to start functioning soon.

Chapters also regularly conduct programmes, seminars, talks, study circle meetings for the benefit of
the members and students.

Student Services:

(a) Class Room Teaching Centres:

WIRC continues to provide the facilities of Oral Teaching Centers in Mumbai at Nariman Point:

Besides above, Coaching Centers are conducted by other Chapters across Western Region.

(b) Awards / Prizes:

Students from the Western Region have won number of awards/prizes for their meritorious
performance in the Institute’s examinations held in June 2016. The list of students is given in
‘Annexure C’.

(c) Management Skills Orientation Programme, Student Induction Programme and Executive
Development Programme:

ICSI-WIRC conducted 12 Management Skills Orientation Programme (MSOP) during 2016-2017


under review to facilitate the Final passed students in fulfilling their training requirements and
getting their membership from the institute. Ahmedabad, Thane, Indore and Pune chapters also
conducted MSOPs during the year. Moreover, ICSI-WIRC conducted Six (06) Executive
Development Program (EDP), One (01) Professional Development Program (PDP), Seven
(07) 2 Days Induction Program, Seven (07) 3 Days E-Governance Program and Seven (07) 5
days Skill Development Academic Program for Students as per CS Regulations. Chapters also
conducted these programmes

(d) Career Awareness :

During 2016-2017, about 15 Career Awareness programmes were organized in various colleges,
schools and other institutions by WIRO and Chapters also organized these programmes. ICSI-
WIRO participated in 2 Career Fairs / Exhibitions and its Chapters also participated in the Career
fairs in order to popularize Company Secretaries profession as a Career choice.

Group Insurance Scheme:

ICSI-WIRC with a welfare motive towards its members in the western region, like yesteryears has
carried forward group insurance scheme. The policy has been taken from LIC. Salient features of this
scheme are as under.
(a) Rs.10 lakhs term cover per individual member.
(b) The cover is global.
(c) Premium payable Rs.2,800/- per annum plus GST.
(d) A member hailing from Western Region is eligible to become member of the scheme.
(e) No health check but only a simple declaration of good health at the time of joining.
(f) Age limit – 60 years.

Currently there are 210 members, who have enrolled in the scheme. Members are earnestly
requested to avail of this scheme and get benefitted out of this.

The policy can be availed by members from 4th October 2017 till 30th September 2018 by
remitting payment by tendering cheque in favour of “WIRC of ICSI” payable at Mumbai.

REGIONAL COUNCIL AND EXECUTIVE COMMITTEE MEETINGS:

The Regional Council had 4 (four) Meetings during the year 2016-2017 on 29.05.2016, 15.10.2016,
27.12.2016 and 28.01.2017. During the year, 11 (eleven) Executive Committee Meetings were held on
23.04.2016, 22.05.2016, 10.06.2016, 05.08.2016, 14.08.2016, 25.09.2016, 21.01.2017, 09.02.2017,
26.02.2017, 19.03.2017 and 26.03.2017. The attendance of Regional Council Members in the above
mentioned meetings of Regional Council / Executive Committee, 2016-17 is as under:

Auditors:

M/s. Sarda Soni Associates, Chartered Accountants, Mumbai, the Statutory Auditors retires at the
forthcoming Annual General Meeting. The Statutory Auditors require to be rotated on completion of
five years as per the Guidance Note 21 of the Guidelines (F&A) of the ICSI. The Regional Council in
its meeting held on 14th July 2017 recommended the appointment of M/s P.R. Agarwal & Awasthi,
Chartered Accountants as the Statutory Auditors of ICSI-WIRC for the year 2017-18 at a
remuneration of Rs.75,000/- + GST + Out of pocket expenses.

The consent of members by way of resolution is sought at the Annual General Meeting.

ACKNOWLEDGEMENTS

The Regional Council places on record its appreciation and sense of gratitude to the officers of the
Central / State Governments and Bank / Financial Institutions, particularly the Ministry of Corporate
Affairs, RBI, SEBI, NSE, BSE, Regional Director and Registrars of Companies in West India, CBEC,
VAT, Services Tax Departments, Labour Commissioners, Trade Marks Registry and all other
Government departments for their continued guidance / support patronage and participation in the
professional development activities of the Regional Council during the year. We also express our
sincere gratitude to the faculty members, speakers and sponsors of the various programs organized
by Regional Council during 2016-2017.

The Regional Council also places its gratitude to the President, Vice President, Central Council
members, Past Presidents, Secretary and other officials of the ICSI, Past Chairmen of WIRC, the
office bearers and members of the Managing Committees of the Chapters of WIRC, the faculty
members of the Oral Coaching Classes, PDPs, EDPs, Academic Programs and MSOPs, the
members and students from Western Region who have immensely contributed to the success of
WIRC activities.

The Regional Council also places on record its deep appreciation to the officials and staff of WIRO
at all levels for the contribution made by them for implementing the decisions of the Regional Council.

ICSI-WIRC Program Membership Scheme (PMS) 2017-18

The Western India Regional Council (WIRC) of the Institute of Company Secretaries (ICSI) organizes
number of high quality professional development programs on contemporary issues and on topics of
emerging importance. In order to facilitate the members to register for the program and get benefits, ICSI-
WIRC is pleased to announce its Program Membership Scheme. The details of the Scheme are as follows;

Credit Hours: Credit Hours would be granted to member(s) attending program as per the guidelines of the
ICSI, wherever so announced by ICSI-WIRC.

Validity: The Membership is valid for the period from April 01, 2017 to March 31, 2018.

Annual Fees: 1. Corporate Members of PMS: Rs.15,000/- plus Goods and Services Tax (8 Programs in

Terms and conditions
1. PMS is valid from April 01, 2017 to March 31, 2018. During the period, PMS member is entitled to
attend half day programs/ seminars/ felicitations arranged by WIRC Self Sponsored Senior Citizen
members (Age – above 60 years) will get one (1) additional program.

2. PMS members are not entitled for free entry for Joint Programs/ National Level Programs/ Regional
Conferences / PCS Conference/ Residential Programs / Workshops / Student Programs/ Foundation
day / Picnic or any other programs not specified in the brochure of the program. However, WIRC may,
at its sole discretion, from time to time, announce the discount on fees for PMS members for such
programs.

3. PMS members will be required to register for a program in advance till the date given in the circular.
Failing to register till stipulated date will attract additional fees / Spot registration fees as may be
decided from time to time by WIRC at its sole discretion.

4. PMS member do not have right to attend programs of WIRC and entry to the program is subject to
availability of seats.

5. WIRO reserves the right to cancel/ terminate/ change/ modify the terms and conditions of the PMS,
without prior notice.

6. Corporate Member of PMS need to nominate one individual for Knowledge Centre Scheme, if opted
for it and name of such nominee cannot be changed.

7. PMS member opting for Knowledge Centre Scheme, need to intimate place of One Knowledge Centre
which individual PMS member / nominee of Corporate PMS member will attend.

8. Fees of PMS once paid are not refundable.

9. If online registration is done for the PMS, then it is deemed to have consented to these terms and
conditions by the Individual / Corporate member of PMS of ICSI-WIRC.

Report on the Financial Statements

We have audited the accompanying Financial Statements of WESTERN INDIA


REGIONAL COUNCIL OF THE INSTITUTE OF COUNCIL SECRETARIES
OF INDIA, which comprise the Balance Sheet as at March 31, 2017 and the
Statement of Income and Expenditure Account for the year then ended and a
summary of Significant Accounting Policies and other explanatory information.

Management's Responsibility for the Financial Statements

Institute Management is responsible for the preparation of these financial statements


in accordance with the Company Secretaries Act, 1980 (the Act) that give a true and
fair view of the financial position and financial performance in accordance with the
Accounting principles generally accepted in India. This responsibility includes the
maintenance of adequate accounting records in accordance with the provisions of the
Act for safeguarding the assets of the Council and for preventing frauds and other
irregularities: selection and application of appropriate accounting policies; making
judgments and estimates that are reasonable and prudent; and design, implementation
and maintenance of adequate internal financial controls, that were operating
effectively for ensuring the accuracy and completeness of the accounting records
relevant to the preparation and presentation of the financial statements that give a true
and fair view and are free from material misstatement, whether due to fraud or error.

Auditor's Responsibility

Our responsibility is to express an opinion on these Financial Statements based on our


audit. We conducted our audit in accordance with the Standards on Auditing issued by
the Institute of Chartered Accountants of India. Those Standards require that we
comply with ethical requirements and plan and perform the audit to obtain reasonable
assurance about whether the Financial Statements are free from material
misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts
and disclosures in the financial statements. The procedures selected depend on the
auditor's judgment, including the assessment of the risks of material misstatement of
the Financial Statements, whether due to fraud or error. In making those risk
assessments, the auditor considers internal control relevant to the Council's
preparation and fair presentation of the Financial Statements in order to design audit
procedures that are appropriate in the circumstances. An audit also includes
evaluating the appropriateness of Accounting Policies used and the reasonableness of
the accounting estimates made by management, as well as evaluating the overall
presentation of the Financial Statements.

ACCOUNTING POLICIES AND NOTES TO ACCOUNTS

(A) ACCOUNTING POLICIES

1. Basis of Preparation of Financial Statements •

The Financial Statements are drawn up on historical cost basis and have been prepared in accordance
with applicable Accounting Standards issued by the Institute of Chartered Accountants of India and
are on accrual basis unless otherwise stated.

2. Uses of Estimates
The preparation of Financial Statements requires some estimates which affect the reported amounts
of assets and liabilities on the date of Financial Statements and the reported amotint of revenues and
expenses during the year. Difference between the actual result and estimates are recognized in the
period in which results are known/ materialized.

3. Revenue Recognition

a. Fees received from Members are accounted for on cash basis. However, fees received in advance are
carried over as a liability.

b. Fee from students is recognized on cash basis.

c. Examination fee is recognized on the basis of conduct of examination.

d. Revenue from sale of publications is recognized at the time of preparing the sale bill, ie. when the
property in goods as well as the significant risks and rewards of the property get transferred to buyer.

e. Receipt of money for specific sponsored Programmes is' recognised on a systematic basis in the
Income & Expenditure Account over the periods necessary to match tlem with the related costs which
they are intended to compensate. Unspent balance of such receipts, if any, is carried to next year.

4. Investments
a. Long term Investments are carried at cost and diminution in value, other than temporary, is provided
for.

b. Current investments are carried at lower of cost or fair valu

a. Fixed Assets excluding Land are stated at historical cost less depreciation.

6. Impairment of Assets
The carrying amounts of assets are reviewed at each Balance Sheet date if there is an indication of
impairment based on internal / external factors. The impairment loss is recognized wherever the
carrying amount of an asset exceeds its recoverable amount. The recoverable amount is higher of asset's
net selling price or value in use.. In assessing the value in use, the estimated future cash flows are
discounted to their present value at the weighted cost of capital.

7. Inventories
Inventories of Consumables, Publications, Study Materials,ttc. are valued at lower of cost or net
realizable value. The cost is determined on FIFO basis.

ABOUT WIRC OF ICSI

Western India Regional Council (WIRC) is one of the four Regional Councils of the Institute of
Company Secretaries of India (ICSI). It assumes importance as it is based in the financial capital
of India, i.e. Mumbai.
ICSI-WIRC comprises five states, viz. States of Chattisgarh, Goa, Gujarat, Madhya Pradesh and
Maharashtra, and two union territories, viz Daman & Diu and Dadar & Nagar Haveli. ICSI-WIRC
has 17 Chapter offices situated across the Western Region which are located at Ahmedabad,
Aurangabad, Bhayander, Bhopal, Dombivli, Goa, Indore, Kolhapur, Nagpur, Nasik, Navi
Mumbai, Pune, Raipur, Rajkot, Surat, Thane and Vadodara.
 Arranges and provides oral coaching and training enabling students to qualify as Company
Secretaries.
 Has the facility of library and reading rooms for the use of the members and registered
students.
 Recommends books useful for candidates intending to appear for Foundation, Executive
and Professional Examinations of the Institute.
 Awards prizes to students securing the highest marks in the Region in various
Examinations conducted by the Institute.
 Explores training facilities for the students and assists in securing suitable employment for
qualified Company Secretaries.
 Makes representations to the ICSI in connection with matters of professional interest and
offers suggestions for raising the standard and status of the profession.
 Organizes Study Sessions for the benefit of registered students and members within the
Region.
 Brings out Monthly Newsletter and Publications for the benefit of Members.
 Provides facilities for contact amongst members and registered students of the Institute in
the Western Region by meetings, arrangements of talks and lectures and for acquiring and
dissemination of useful information in connection with the profession of Company
Secretaries.
 Organizes workshop studies, symposia, talks, seminars and other meetings on topics of
current interest to Company Secretaries.
 Convening Regional Conference / State Conferences for members & Practicing Company
Secretaries annually in different parts of the Region.
 Recommends formation of Chapters in areas of importance in the Region where sufficient
members and registered students are available and evince interest in such formation.
 Carries out research work on topics suggested by the ICSI.
