We, the sovereign Filipino people, imploring the aid of Almighty God, in order to build a just

and humane society, and establish a Government that shall embody our ideals and aspirations,

promote the common good, conserve and develop our patrimony, and secure to ourselves and our

posterity, the blessings of independence and democracy under the rule of law and a regime of

truth, justice, freedom, love, equality, and peace, do ordain and promulgate this Constitution.

Philippine business over the years has increasingly felt the need for a Code of Ethics to guide it

in the conduct of its business. This need has been expressed often by its leaders during

conventions and forums where discussions centered around problems and issues affecting

business and industry.

The Code of Business Conduct and Ethics guides what we say and do, in order that the right

decisions be taken in the performance of our respective roles and responsibilities across various

functions in the Business, the Code provides an overview of key practices and behaviors that

define the conduct to which we hold ourselves accountable for and the behavior that is expected

of all Employees at all levels in the organization. Code of Business Conduct and Ethics is not

simply a declaration of principles, but is also a vital part of our risk management strategy.

A code of ethics is a guide of principles designed to help professionals conduct business honestly

and with integrity. A code of ethics document may outline the mission and values of the business

or organization, how professionals are supposed to approach problems, the ethical principles

based on the organization's core values and the standards to which the professional is held. A

code of ethics, also referred to as an "ethical code," may encompass areas such as business

ethics, a code of professional practice and an employee code of conduct.

This code of ethics has been formulated impelled by the belief that man has a dignity that must

be respected, and that all the resources of the earth have been created for this growth and

development. Trust in business relationships has to be earned, and the first step is to treat others

with integrity, honesty and fairness. This will enhance personal and corporate reputations.

This code seeks to express systematically and coherently the principles of business practices

accepted and professed by Philippine business at its best, and seeks to apply these to current and

changing needs.
It is hope that this code will serve as a general stimulus to renew and develop or amend existing

standards and that individual entities will expand and adopt it to the specific needs of their own

organizations.

Although it provides standards, the Code does not provide a set of rules. Reasonable differences

of opinion can and do exist with respect to interpretation, and specific application must take into

account the context of a given behavior. Adoption of a code of ethics cannot guarantee ethical

behavior or resolution of all disputes. Rather, it sets forth standards to which professionals aspire

and against which their actions can be judged (both by themselves and others). Ethical behavior

should result from a personal commitment to engage in ethical practice and an attempt to act

always in a manner that assures integrity.

It is the general Code intended to be influential rather than coercive. It is hoped that individuals

will consciously adopt and embrace it as a statement of principles and, having done so, will be

unwilling to incur the sanction of adverse public opinion through failure to live up to the code.

Finally, it is a code for all peoples, formulates on the premise that the modern manager must be a

strategist for human development, and that rationale of business is to build an enterprise oriented

to the development of man.

The Code being circulated to members of the business community, civic and professional

associations, schools of business, officials in Government, academicians and to international

organizations.

It is our hope that in the years to come, this Code of Ethics will play a major role in creating the right ethical

attitudes essential for business to effectively promote total human development for our people.
