Re: Bylaws for the Alabama Democratic Party

Dear Ms. Miller and Mr. Roosevelt:

The undersigned are all members of the State Democratic Executive Committee of
Alabama (“SDEC”). We are concerned that as we pass mid-September, our state party
has not met any of the requirements given it in mid-February.

The first requirement was to amend the Alabama Democratic Party bylaws to be
compliant with the Charter and Bylaws of the DNC. We understand that the Party
Chair, along with other officers and their counsel have submitted some number of
drafts that have not met the thresholds for inclusion and transparency.

We believe the attached amendments to the SDEC Bylaws will be acceptable to the
RBC as reforming the Party’s Bylaws. We ask that they be approved by the RBC at its
Friday, September 20 meeting. As individual SDEC members are expressing
sponsorship of this process, the Bylaw changes are a compilation of the draft set of
bylaws the DNC team sent to Alabama in May, specific suggestions from various
hearings, suggestions by individual SDEC / DNC members, comments from ADP
Leadership Counsel, and an attempt to address the portions of earlier drafts that
troubled members substantially.

In Alabama, reports grow daily in the press of continued inaction of the SDEC and our
ability to be adequately recognized. We are concerned about the ability of hundreds of
thousands of Alabama Democrats to participate in the selection of our Party's nominee
for President.

Submission to ADP:

For consistency with the current Bylaws of the SDEC (Article XI – Section 2), these
amendments to the Bylaws are being submitted to Ms. Worley as stipulated. She is to
“acknowledge receipt” in writing of the proposed amendments and “forthwith mail
copies to all members of the Sate Committee.”

Timeline:

If these Bylaws are acceptable to the RBC, we will urge the Chairwoman to call for a
vote as expeditiously as possible – preferably by mail as is allowed under the current
Bylaws that require the mailing of amendments - or by calling a meeting of the SDEC,
to be convened no later than Saturday October 5, 2019. We will also request a called
meeting no later than October 19, 2019, for the purposes of electing diversity At-Large
members and holding new elections for Chair and First Vice Chair.

In the event that Ms. Worley does not proceed as described above, we expect a
majority of the SDEC to call for two meetings to be convened no later than October 12
and no later than October 26, 2019 for the respective purposes.

DNC Supervision Requested:

Given the findings and determinations of the Credentials Committee in its Report and
Resolution, both dated February 14, 2019, and in the Report of the Hearing Examiner,
dated February 13, 2019, in connection with the two challenges to the August 2018
elections of Chairwoman Nancy Worley and First Vice Chairman Randy Kelley,
regarding the manner in which the August 2018 SDEC meetings were conducted, we
request the RBC to designate representatives of the DNC to supervise the processes in
connection with the adoption of amended Bylaws and the subsequent, associated,
elections though the conclusion and final determinations of such elections.

We appreciate your consideration of these proposed amendments and hope for your
indication that they are well-suited to meeting the first, crucial step in the reform of the
Alabama Democratic Party.
