DEED OF RELEASE, WAIVER AND QUITCLAIM

KNOW ALL MEN BY THESE PRESENTS:

I, JOHANNA ROMO BUTASLAC of legal age, Filipino and a resident of

SUN-OK, SAN JOSE CATMON, CEBU after having sworn in accordance with law
hereby depose and state;

I was an employee of Metropolitan Bank & Trust Company (hereafter the

“Bank”) from November 16, 2018 to December 10, 2018, a Corporation
duly registered and existing in accordance with Philippine laws, with offices at
Metrobank Plaza, Sen. Gil J. Puyat Avenue, Makati City.

I hereby acknowledge receipt of the GROSS AMOUNT of PESOS: SEVEN

THOUSAND NINE HUNDRED FORTY NINE & 47/100 ONLY
(P7,949.47)/ the NET AMOUNT of PESOS: FIVE THOUSAND SEVEN
HUNDRED EIGHTY SIX & 18/100 ONLY (P5,786.18) representing my
separation pay, inclusive of such amount/s to which I am entitled to under existing
laws, bank policy and/or the Bank’s Retirement Plan, by virtue of my employment
with the Bank.

In consideration of the above payment ---

1. I acknowledge that I have received all amounts that are now due me
or, in the future, may be due me from the Bank. I also acknowledge that during
the entire period of my employment with the Bank, I received and was paid all
compensations, benefits and privileges to which I was entitled under the law, and if
I hereafter be found in any manner to have been entitled to any amount, the above
consideration is a full and complete satisfaction of any and all such undisclosed
claims.

2. I release, remise and forever discharge the Bank, its

affiliates/subsidiaries, successors-in-interest, stockholders, officers, directors,
agents or employees from any action, sum of money, damages, claims and
demands whatsoever, which in law or in equity I ever had, now have, or which I,
my successors and assigns hereafter may have by reason of any matter, cause or
thing whatsoever, up to the time of these presents, the intention hereof being
completely and absolutely to release the Bank as well as its successors-in-interest,
stockholders, officers, directors, agents or employees from all liabilities arising
wholly, partially or directly from my employment with the Bank.

 3. I also manifest that the foregoing agreement/settlement with the Bank
shall not be taken by me, my heirs or assigns as a confession and/or admission of
liability on the part of the Bank, as well as its successors-in-interest, stockholders,
officers, directors, agents or employees for any matter, cause, demand or claim
that I may have against any or all of them.

4. I will not at any time and in any manner whatsoever, directly or

indirectly, disclose to any person or entity any information of any kind relating to
the business of the Bank or any other information concerning the business of the
Bank, its manner of operations, its plans, processes or data of any kind.

5. I warrant that I will not institute any action (administrative, labor, civil
or criminal) against the Bank, as well as its successors-in-interest, stockholders,
officers, directors, agents or employees, by reason of my past employment with
and/or separation from the Bank.

6. I hereby finally attest that I fully understand this Deed of Release,

Waiver and Quitclaim as well as the legal implications thereof and that I hereby
express my complete agreement and conformity thereto.
