Know all men by these presents, We VA TECH WABAG LIMITED, a- Company

registered under the Companies Act, 1956 and having its Registered Office at
“WABAG HOUSE” No.17, 200 Feet Radial Road, S.Kolathur, Chennai 600 117, do
hereby irrevocably constitute, nominate, appoint and authorise Mr Soumitra Chandra
son of Late Shri Haripada Chandra and presently residing at Flat No. 051404, Tower
No. 5, Upohar Complex, 2025 Chakgaria, Kolkata-700094, who is presently employed
with us and holding the position of Regional Manager (Kolkata), as our true and
lawful attorney (hereinafter referred to as the “Attorney”) to do in our name and on
our behalf, all such acts, deeds and things as are necessary or required in connection
with or incidental to submission of our Bid for “Design, Construction, Commissioning,
Trial Run for 3 months and Operation and Maintenance for a period of 12 months after
completion of trial run of a Water Supply System comprising of a 5MGD (20 working
hrs in day) Water Treatment Plant along with Raw Water Drawl System, Raw Water
Rising Main, Clear Water Reservoir, Clear Water Pump House including Pumping
arrangement and other ancillary units at Export Promotion Industrial Park (EPIP) at
Durgapur, West Bengal on TURNKEY Basis”. (NIT NO: ADDA/DGP/ED/N-31/13-14
dated 17/12/20013), proposed or being developed by the Executive Engineer, Asansol
Durgapur Development Authority, Government of West Bengal (the “Employer”)
including but not limited to signing and submission of all applications, bids and other
documents and writings, participate in Applications and other conferences and
providing information/ responses to the Employer, representing us in all matters
before the Employer, signing and execution of all contracts including the Contract
Agreement/ Agreement Form and undertakings consequent to acceptance of our bid,
and generally dealing with the Employer in all matters in connection with or relating
to or arising out of our bid for the said Project and/ or upon award thereof to us and/or
till the entering into of the Contract Agreement/ Agreement with the Employer.

AND we hereby agree to ratify and confirm and do hereby ratify and confirm all acts,
deeds and things done or caused to be done by our said Attorney pursuant to and in
exercise of the powers conferred by this Power of Attorney and that all acts, deeds and
things done by our said Attorney in exercise of the powers hereby conferred shall and
shall always be deemed to have been done by us.

Subject to earlier revocation, this Power of Attorney shall remain valid till
31.10.2014 or till such date the said Attorney Mr. Soumitra Chandra ceases to be
employee of the Company, whichever is earlier.
