Whereas, the LESSOR is the owner of the AIR CONDITIONERS installed and commissioned

on lease from 15th July, 2019 to 15th January, 2020 and whereas the LESSEE is desirous of
leasing the AIR CONDITIONERS on rent and getting it installed in the premises for Trust’s use
at T - 23/6, T Block, DLF Phase - 3, Gurugram - 122010.

GENERAL CONDITIONS OF AIR CONDITIONERS RENTAL AGREEMENT (LEASE)

The conditions of lease here below stated, together with the Agreement set forth, constitute a
contract between the parties therein named which contract is hereafter referred to as “this
Agreement”.

● OWNERSHIP: The LESSOR at all times retain ownership of AC installed for use at T -
23/6, T Block, DLF Phase - 3, Gurugram - 122010.

● RENTAL DURATION: That the LESSOR hereby installs the Air Conditioners at T - 23/6,
T Block, DLF Phase - 3, Gurugram - 122010 from 15th July, 2019 to 15th January, 2020
for a period of 6 months. and this Agreement may also extend for a further period after
expiration of this term, by the mutual understanding and consent of both the parties.

● PAYMENT: The LESSEE shall pay the complete amount in three installments of rental
according to the number of Air Conditioners rented as per the APPENDIX-A.

● TRANSPORTATION & INSTALLATION: The transportation, installation and

commissioning of the Air Conditioners would be the complete responsibility of the
LESSOR and complete costs/expenses incurred for the transportation, installation,
commissioning would be spent or paid by the LESSOR. LESSOR shall bear the costs of
gas pipes, drain pipes, fixing the Air Conditioners on the walls or windows and handover
the Air Conditioners in working condition along with the accessories like remotes, etc.

● POWER POINTS: LESSEE shall provide suitable power points for all the Air
Conditioners to be installed in the premises.

● USAGE AND CARE: The LESSEE has the right to use the Air conditioners in the
premises installed for the entire duration of the Lease period without interruption. The
LESSEE agrees to protect all Air Conditioners from weather by suitable covering; to
 provide competent operators where required and to return the Air Conditioners in as
good condition as received. LESSOR shall have access to the Air Conditioners at all
times for inspection. The LESSEE shall report immediately to LESSOR any malfunction
or failure of the Air Conditioners, if and when it occurs.

● LOCATION OF USE: The Air Conditioners shall be kept and maintained during the term
of this agreement at the location indicated in the Appendix-A and the LESSEE agrees
not to move the Air Conditioners within the location or remove the Air Conditioners from
the location without the prior consent of LESSOR.

● REPAIRS, MAINTENANCE AND OPERATION: If the Air Conditioners becomes

damaged or requires repair of any kind during the term of this agreement, the LESSEE
hereby authorizes LESSOR to make such repairs. The expense of all repairs made
during the Rental Period, including labor, material, parts and other items shall be paid by
LESSOR. LESSEE shall not remove, alter, disfigure or cover up any numbering,
lettering, or insignia displayed upon the Air Conditioners, and shall see that the Air
Conditioners is not subjected to careless, unusually or needlessly rough usage.
LESSOR shall at his own expense maintain the Air Conditioners and its appurtenances
in good repair and operative condition, and LESSEE shall return the Air Conditioners it in
such condition to LESSOR, ordinary wear and tear resulting from proper use thereof
alone expected. LESSEE shall intimate the LESSOR whenever there is a fault and need
of maintenance of the Air Conditioners in terms of compressor malfunctioning or gas
leak or PCB repair or FAN Motor malfunctioning, capacitor or any issue related the non-
functioning of the Air Conditioners. LESSOR agree to maintain the Air Conditioners at his
own cost and solve the issues reported by the LESSEE within 12 working hours of
reporting the issue to the LESSOR. In the case of compressor issues, LESSOR would
agree to solve the problem within 48 hours. In case of damage so serious that it would
not be practicable to repair the Air Conditioners, the LESSOR agrees to replace the Air
Conditioner.

● RETURN OF AIR CONDITIONERS: The LESSEE agrees to terminate the agreement if

the functioning and maintenance of the Air Conditioners are unsatisfactory and the
LESSOR is entitled to take back all the Air Conditioners installed soon after the end of
the lease period. If the LESSEE is satisfied with the performance of the Air Conditioners,
the same lease can be extended to the next consecutive year by paying a Post Dated
Cheque dated 1st March or 50% advance payment at the end of November month to the
LESSOR, amount equivalent to the number of Air Conditioners to be retained as per the
prices mentioned in the Invoice/quotation/Work Order. The usage of the Air Conditioners
for every year is from 1st March to 30th November.
 ● NO SUBLETTINGOR ASSIGNMENT: No Air Conditioners shall be sublet by LESSEE,
nor shall he assign or transfer any interest in this Agreement without written consent of
LESSOR.

● ENTIRE AGREEMENT. This instrument constitutes the entire agreement between

LESSOR and LESSEE; and it shall not be amended, altered or changed except by a
written agreement signed by the parties hereto.

The lease agreement shall be governed and construed in accordance with the laws of India.
Jurisdiction over and any and all disputes between the Parties in respect of any matters
contained in this Lease Agreement shall lie solely and exclusively with the courts in
GURUGRAM, Haryana.
