1 PRIMERO: PARTES DEL CONTRATO FIRST: CONTRACT PARTIES

Las partes del presente contrato son:
P R O P I E TA R I O D E L P R O Y E C T O :
Empresa dedicada a la ejecución de
proyectos privados.
GESTOR COMERCIAL DE NEGOCIO: Es
una empresa experta en la búsqueda de
inversionistas, financistas, comercialización
y venta de proyectos privados y productos
que el PROPIETARIO DEL PROYECTO
necesita para la obtención de inversión,
financiamiento, compra-venta de proyectos
privados y productos con contenido
metálico y no metálicos.
The parties to this contract are:
PROJECT OWNER: Company dedicated to
the execution of private projects.
BUSINESS MANAGER: It is an expert
company in the search for investors,
financiers, marketing and sale of private
projects and products that the PROJECT
OWNER needs to obtain investment,
financing, purchase-sale of private projects
and products with metallic content and not
metallic.

2. SEGUNDO: OBJETO DEL CONTRATO: SECOND: OBJECT OF THE CONTRACT:

2.1 Por medio del presente contrato, el
PROPIETARIO DEL PROYECTO contrata
al GESTOR COMERCIAL DE NEGOCIO
para la prestación de servicios de asesoría
comercial e intermediación y la elaboración
de propuestas, con el fin de realizar
contratos para financiamiento o inversión
de proyectos privados donde el GESTOR
COMERCIAL DE NEGOCIO recomendará
al PROPIETARIO DEL PROYECTO
participe para la celebración de contrato
con terceros, a los terceros los
denominaremos INVERSIONISTAS /
FINANCISTAS / CLIENTES.
2.2 Queda expresamente establecido el carác-
ter estrictamente personal (intuito perso-
nae) que tiene el presente contrato para su
ejecución exclusiva por parte del GESTOR
COMERCIAL DE NEGOCIO, quien tendrá
a su cargo y bajo su propia responsabilidad
el desarrollo de los servicios que se deta-
llan en el presente contrato.
Through this contract, the PROJECT OWNER
hires the BUSINESS MANAGER for the
provision of commercial advisory and
intermediation services and the preparation of
proposals, in order to make contracts for
financing or investment of private projects
where the BUSINESS MANAGER will
recommend the PROJECT OWNER to
participate in the conclusion of a contract with
third parties, we will call the third parties
INVESTORS / FINANCIAL / CLIENTS.
It is expressly established the strictly personal
character (intuito personae) that this contract
has for its exclusive execution by the
BUSINESS MANAGER, who will be in charge
and under his own responsibility the
development of the services detailed in this
contract.

2.3 Atendiendo a ello, el GESTOR COMER-
CIAL DE NEGOCIO se comprometen a
realizar sus servicios con la máxima dili-
gencia exigible de acuerdo a las circuns-
tancias.
In response to this, the BUSINESS MANAGER
undertake to perform their services with the
maximum diligence required according to the
circumstances.

3. T E R C E R O : P R E S T A C I O N D E L THIRD: SERVICE PROVISION:

3.1 El GESTOR COMERCIAL DE NEGOCIO
prestará los servicios objeto del presente
contrato de manera autónoma, utilizando
para ello sus propios recursos, por lo que
cumplirán con el servicio de asesoría
comercial, sin la participación
necesariamente del PROPIETARIO DEL
PROYECTO.
The BUSINESS MANAGER will provide the
services object of this contract autonomously,
using its own resources, so they will comply
with the commercial advisory service, without
necessarily the participation of the PROJECT
OWNER.

3.2 Atendiendo a las características del

que los servicios de éste serán prestados

3.4 En caso que PROPIETARIO DEL PRO-
YECTO incurra en incumplimiento de
cualquiera de las obligaciones que asume
en virtud del presente contrato, deberá
abonar al GESTOR COMERCIAL DE
NEGOCIO la correspondiente indemniza-
ción por daños y perjuicios que tal incum-
plimiento le haya causado, de conformi-
dad con lo dispuesto por el artículo 1321°
del Código Civil, debiendo además reem-
bolsar al GESTOR COMERCIAL DE
NEGOCIO los gastos y costas que ésta
hubiera tenido que afrontar como conse-
cuencia de la falta de cumplimiento por
parte del PROPIETARIO DEL PROYEC-
TO de los contratos celebrados con los

CLIENTES.
In the event that the PROJECT OWNER incurs
in breach of any of the obligations assumed
under this contract, he must pay the
BUSINESS MANAGER the corresponding
compensation for damages caused by such
breach, in accordance with the provisions of
the Article 1321 of the Civil Code, and must
also reimburse the BUSINESS MANAGER for
the expenses and costs that it would have had
to face as a result of the lack of compliance by
the PROJECT OWNER of the contracts
concluded with the INVESTORS /
FINANCIAL / CLIENTS.

4 CUARTO: NATURALEZA DEL QUARTER: NATURE OF THE CONTRACT:

5. Q U I N T O : O B L I G A C I O N E S D E L FIFTH: OBLIGATIONS OF THE BUSINESS

de financiamiento o inversión de proyec-
tos del INVERSIONISTAS/FINANCIS-
TAS/CLIENTES.

by the PROJECT OWNER to specify financing
operations or project investment of the
INVESTORS / FINANCIAL / CLIENTS.

GESTOR COMERCIAL DE NEGOCIO

6 SEXTO: RETRIBUCION SIXTH: REMUNERATION

6.1 Como contraprestación del servicio que
el GESTOR COMERCIAL DE NEGOCIO
brinde de acuerdo al presente contrato, el
PROPIETARIO DEL PROYECTO se obliga
a pagar una retribución, la cual será
determinada de la siguiente forma: (i) el
PROPIETARIO DEL PROYECTO realizará
transferencia equivalente al tres por ciento
[3%] libre de impuesto, del monto total del
contrato entre el PROPIETARIO DEL
PROYECTO y los INVERSIONISTAS/
F I N A N C I S TA S / C L I E N T E , ( i i ) d i c h a
transferencia se realizará en un solo pago
a la cuenta bancaria designada por el
GESTOR COMERCIAL DE NEGOCIO en
Anexo II del presente contrato, (iii) siendo
esta en un tiempo no mayor de 24 horas,
salvo coincida en día festivo, debiéndose
realizar en día laborable inmediato, (iv)
posteriormente notificar al correo
electrónico indicado en anexo II,
adjuntando imagen de transacción
realizada.
6.2 Las partes acuerdan expresamente que el
primer pago será efectuado al GESTOR
COMERCIAL DE NEGOCIO
indefectiblemente, inmediatamente
después de la primera transferencia

PROPIETARIO DEL PROYECTO.
In consideration of the service that The BU-
SINESS MANAGER provides accordance
with this contract, PROJECT OWNER under-
takes to pay a remuneration, which will be
determined as follows: (i) The PROJECT
OWNER will transfer equivalent to three per-
cent [3%] tax-free, of the total amount of the
contract between the PROJECT OWNER
and the INVESTORS / FINANCIAL /
CLIENTS, (ii) such transfer will be made in a
single payment to the bank account designa-
ted by the BUSINESS MANAGER in Annex II
of this contract, ( iii) this being in a time no
longer than 24 hours, unless it coincides on a
holiday, and must be carried out on an imme-
diate working day, (iv) subsequently notify the
email indicated in Annex II, attaching the
image of the transaction made.
The parties expressly agree that the first
payment will be made to the BUSINESS
MANAGER unfailingly, immediately after the
first transfer received by the INVESTORS /
FINANCIAL / CLIENTS to the PROJECT
OWNER.

6.3 Las partes acuerdan, si se diera el caso de
pagos sucesivos al GESTOR COMERCIAL
DE NEGOCIO, estos serán efectuados
indefectiblemente el mismo día que el
PROPIETARIO DEL PROYECTO reciba
los beneficios o pagos por el
financiamiento conforme el contrato de
inversión/financiamiento, suscrito entre el
PROPIETARIO DEL PROYECTO y los
I N V E R S I O N I S TA S / F I N A N C I S TA S /
CLIENTES
The parties agree, if the case of successive
payments to the BUSINESS MANAGER oc-
curs, these will be made unfailingly on the
same day that the PROJECT OWNER recei-
ves the benefits or payments for the financing
under the investment / financing contract,
signed between the PROJECT OWNER and
INVESTORS / FINANCIAL / CLIENTS

6.4 Las partes acuerdan expresamente que el
contrato entre PROPIETARIO DEL PRO-
YECTO y los INVERSIONISTAS / FINAN-
CISTAS / CLIENTES, se anexará al pre-
sente contrato, Anexo I y II.
The parties expressly agree that the contract
between PROJECT OWNER and INVES-
TORS / FINANCIAL / CLIENTS, will be an-
nexed to this contract, Annex I and II.

6.5 Los montos determinados en la transac-
ción, conforme a las cláusulas 6.1, 6.2 y
6.3, serán depositados por el PROPIETA-
RIO DEL PROYECTO en la cuenta del
GESTOR COMERCIAL DE NEGOCIO, tal
como se detalla en el Anexo I, el GESTOR
COMERCIAL DE NEGOCIO deberá pre-
sentar el comprobante de pago correspon-
diente, en el plazo de quince (15) días há-
biles después de haber recibido el pago.

in accordance with clauses 6.1, 6.2 and 6.3,
will be deposited by the PROJECT OWNER
in the account of the BUSINESS MANAGER,
as detailed in Annex I, the BUSINESS MA-
NAGER must present the Proof of payment,
within fifteen (15) business days after receipt
of payment.

6.6 La retribución pactada cubre el costo ínte-
gro del servicio objeto del presente contra-
to, pero conforme a lo estipulado en la
Cláusula N° 5.6 anterior, no incluye los
gastos en los que el GESTOR COMER-
CIAL DE NEGOCIO incurra directa o indi-
rectamente o que sean necesarios para la
prestación del servicio, la cual será reem-
bolsada por PROPIETARIO DEL PRO-
YECTO a la presentación de la liquidación
por parte del GESTOR COMERCIAL DE
NEGOCIO.
6.7 Dicha contraprestación es neta de cual-
quier retención de impuestos locales por lo
que de estar a afecta a algún tributo, tasa
impuesto o contribución en el Perú, el mon-
to de la contraprestación será incrementa-
da de tal forma que el monto neto a percibir
por parte de GESTOR COMERCIAL DE
NEGOCIO será el porcentaje pactado en la
presente cláusula.

9.2 Queda entendido que toda información
entregada por el GESTOR COMERCIAL
DE NEGOCIO al PROPIETARIO DEL
PROYECTO u obtenida por él en la eje-
cución del presente contrato, será de
propiedad exclusiva del GESTOR CO-
MERCIAL DE NEGOCIO, estando por
ende el PROPIETARIO DEL PROYEC-
TO impedido de reproducirla, venderla o
suministrarla a cualquier persona natural
o jurídica, debiendo única y exclusiva-
mente utilizar dicha información para el
cumplimiento de los fines de contrata-
ción. La vigencia de la confidencialidad
será de cinco años posteriores a la
fecha de vencimiento de este contrato.
LAS PARTES designarán la naturaleza
de propiedad de su información como
"confidencial” o de alguna otra manera
adecuada, por lo que las otras partes
son conscientes de que su recepción se
rige por los términos de este Contrato.
En el caso de las revelaciones verbales,
cada PARTE informará con prontitud a
la otra PARTE si dicha divulgación es
confidencial. Además, todos los materia-

the BUSINESS MANAGER to the PROJECT
OWNER or obtained by him in the execution of
this contract, will be the exclusive property of the
BUSINESS MANAGER, being therefore the
PROJECT OWNER prevented from reproducing
it, selling it or provide it to any natural or legal
person, and must use this information only for
the fulfillment of the contracting purposes. The
validity of the confidentiality will be five years
after the expiration date of this contract.
THE PARTIES shall designate the proprietary
nature of their information as "confidential" or in
some other appropriate manner, so that the ot-

gencia razonable para evitar la divulga-
ción de la propiedad de información a un
tercero, a menos que sea autorizado por
escrito o por mail por la otra PARTE,
recibiendo el consentimiento expreso de
la otra, momento en el cual recién ob-
tendrá la autorización para su divulga-
ción. La difusión interna de la propiedad
de información se limitará a aquellos
empleados cuyas funciones justifica su
necesidad de conocer dicha información
y sólo sobre la base de un entendimien-
to claro de estos empleados de su obli-
gación de mantener el status de secreto

restringir dicha información exclusiva-
mente para el uso otorgado a la otra
PARTE en virtud del presente Contrato.

time they will only obtain the authorization for

this Agreement, for any purpose except for the
evaluation of the possibility of entering a busi-
ness, or some other form of commercial agree-

any of THE PARTIES, the other must return all
the information provided, provided that it is in
writing or by email indicated in the background

10. DECIMO: RESOLUCIÓN DE CONTRATO TENTH: CONTRACT RESOLUTION

10.1 El GESTOR COMERCIAL DE NEGOCIO The BUSINESS MANAGER may terminate

bución pactada por los servicios prestados
