CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this ____ day of _________, 20__ by and
between:

JUAN DELA CRUZ of legal age, Filipino, single, with residence and postal address
at _________________________, Pasay City, Philippines, hereinafter referred to as
the SELLER;

-AND-

_________________________, of legal age, Filipino, married to, ___________________with


residence and postal address at _________________________, Muntinlupa City, Philippines,
hereinafter referred to as the BUYER.

WITNESSETH;

WHEREAS, the SELLER is the absolute and registered owner of the following
properties, issued by the Registry of Deeds of Pasay City, hereby described as follows:

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the
above-described properties under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of the following
properties listed below in Philippine Currency:

and of the covenants herein after set forth the SELLER agrees to sell and the BUYER
agree to buy the aforesaid properties subject to the following terms and conditions:

1. The total consideration shall be the total contract price of the properties listed
above, payable through CASH as follows:

1.1 Earnest money deposit of the properties shall be payable upon execution of this
Contract to Sell and shall be considered part of the total Contract price and shall be
paid on October 05, 2019, hereby described as follows:

1.2 The remaining balance of the properties shall be paid on December 05, 2019,
hereby described as follows:
1.3 In case the BUYER could not fulfill any of their obligation stated in this Contract To
Sell, such as failure of payment of the remaining balance, the earnest money shall be
forfeited in favor of the SELLER.

2. Possession to the subject properties shall be delivered by the SELLER to


the BUYER upon full payment of the total consideration and the execution by the
parties of the Deed of Absolute Sale as well as its notarization;

3. The SELLER shall give 5% of the agreed selling price as broker’s commission for
the applicable unit;

4. Real Property Tax prior to the execution of this Contract to Sell, shall be for the
account of the SELLER;

5. Real Property Tax upon the execution of this Contract to Sell, Capital Gains Tax,
Documentary Stamp Tax, shall be for the account of the BUYER;

6. Transfer Tax and all other taxes accruing on the above-described properties after
the execution of this Contract to Sell, shall be for the account of the BUYER;

7. Registration expenses, processing costs and all other miscellaneous fees to


transfer the title, shall be for the account of the BUYER;

8. In case the SELLER could not fulfill any of the obligations stated in this Contract
to Sell, the BUYER shall be entitled to a full refund;
