BANGIYA GRAMIN VIKASH BANK OFFICERS’ ASSOCIATION

RULES AND CONSTITUTION

1) NAME: The Name of the Association shall be “Bangiya Gramin Vikash


Bank Officers’ Association” hereinafter referred to as “The Association”.

2) REGISTERED OFFICE: The Registered Office of the Association shall be


Head Office of the Bank presently situated at BMC House, NH-34, Chuanpur,
PO-Chaltia, Berhampore, Murshidabad, West Bengal, and PIN-742101. Any
change of address shall be duly notified to the Registrar of Trade Unions,
West Bengal within 14 days from the date of change that takes place thereof.

3) AIMS AND OBJECTS : The objects of the Association shall be:


A) To organize the whole body of officers of the Bangiya Gramin Vikash Bank
and foster a spirit of co-operation and comradeship among the members
and staff of the bank.
B) To protect, promote and further the interest of all members of the
Association through constitutional manner.
C) To secure equality of rights and privileges and abolition of any kind of
favoritism and discrimination.
D) To represent the grievances of the members to the authorities of the
bank, including the Central Government, State Government, NABARD,
RBI, Sponsor Bank to regulate the relations and to establish mutual
understanding and control between the employers and officers and
endeavour to settle all disputes in a constitutional manner.
E) To provide funds for :
i) The relief of the needy or distressed members or their dependents in
case of unemployment, sickness, accident or death of such members.
ii) The compensation of members or office bearers of the Association,
whose interest have been damaged by reason of their faithful service
to the Association.
iii) Legal assistance to the members in respect of matter arising out of or
incidental to their employment.
F) To organize benefit funds, clubs, libraries, holiday homes, charitable
trusts, canteens etc. for the welfare of the members and the people at
large and also to organize occasional lectures and social gatherings with a

view to developing an understanding of the advantages and facilities of
organized life.
G) To maintain official organ of the Association.
H) To maintain separate funds as and when necessary for furtherance of the
object of the Association.
I) To borrow or raise funds for Association subject to the provisions of
Indian Trade Union Act 1926.
J) To enter into or defend any suit or legal proceedings and provide fund for
the purpose for securing any legitimate right of the Association or its
members.
K) To purchase, take on lease or in exchange, hire or otherwise acquire any
movable or immovable properties for Association and to sell, exchange or
mortgage or dispose of any property, which the Association may think
necessary.
L) To federate with and affiliate itself to any other unit level/ State level and
/ or National level Association / Federation of employees and officers with
similarity of aims and objectives.
M) And generally, to do such other things as may be considered necessary,
incidental and conducive to the attainments of all or any one of the above
subjects.

4) MEMBERSHIP:
a) Any officer not below the age of 18 years including a temporary officer
and a probationary officer of the Bangiya Gramin Vikash Bank constituted
on 21.02.2007 under a notification of the Govt. of India, Ministry of
Finance, Banking Division dated 21st February , 2007 by amalgamation of
five erstwhile Regional Rural Banks, namely, Gour Gramin Bank,
Mallabhum Gramin Bank, Sagar Gramin Bank, Nadia Gramin Bank and
Murshidabad Gramin Bank, referred to hereinafter as the transferor banks,
shall be eligible for admission as member of the Association on payment
of the prescribed subscription and admission fee and on his/ her
acceptance of the constitutions and rules of the Association. The members
shall enjoy equal rights and privileges.
b) The existing officer of these transferor banks who were members of the
Associations / Unions affiliated to the All India Regional Rural Bank
Employees’ Association as on 21.02.2007 shall automatically become
members of the Bangiya Gramin Vikash Bank Officers’ Association and
shall continue to remit their prescribed monthly subscription through the
existing check-off system operating in the transferor banks.
c) The Executive Committee of the Association shall have the right to refuse
admission to any person at its discretion. Such person shall have the right
to appeal to the General Conference whose decision shall be final.

d) The Executive Committee may take such disciplinary action as may be
considered necessary including expulsion from the Association against any
member found guilty of anti-association activities or corrupt practices. A
member expelled from the Association shall have the right to appeal to
the General Conference whose decision shall be final.
e) The Executive Committee may discontinue membership of a person with
prior notice given to him, if he is in arrear of subscription for three months
or more.
f) In consideration of his past contribution towards the trade union
movement of RRBs and the working class movement at large, any person
may be admitted by the General Conference as Honorary Member
provided that the total number of such Honorary Members shall not
exceed five.

5) ADMISSION FEE: Admission fee for membership of the Association shall be


Rs.20 per member provided that in case of existing members of Unions /
Associations in the transferor Bank as aforesaid, shall not be required to pay
any admission fees anew.

6) SUBSCRIPTION: An officer member shall pay membership subscription @


Rs. 80/- per month as usual. In case of default in payment of subscription for
three consecutive months or more, a member shall have no right to elect or
to be elected as a delegate and / or a member of the Executive Committee
unless he / she clears up his / her dues before the date of election of
delegate.

7) SPECIAL SUBSCRIPTION OR LEVY:


A) In the event of death of any member, members may donate a sum
equivalent to one day’s salary/ or any amount in the manner as may be
decided by the Executive Committee in order to provide relief to the
nearest relative (s) / dependent (s) of the deceased member.
B) Members may be requested to donate voluntarily, for specific purpose in
conformity with the objectives of union as laid down in clause–3 of the
constitution, if needed, subject to the approval of the Executive
Committee.

8) REGISTER OF MEMBERS: A Register showing names and description of age,


address, designation and place of posting of the members shall be
maintained at the registered office of the Association and its concerned
Regional, Zonal and / or District units.

9) FINANCIAL YEAR: The financial year of the Association shall be 1 st January
to 31st December.

10) MANAGEMENT:
A) The Management of the Association shall vest in an Executive Committee
consisting of not less than seven members and not more than thirty-three
members elected in the General Conference in the presence of at least of
1/3rd of the delegates.
B) The Office-Bearers / Secretariat Body of the Association elected at the
General Conference shall be as follows: one President, six Vice-
Presidents, one General Secretary, one Secretary, six Joint Secretaries,
six Assistant Secretaries, one Treasurer and one Assistant Treasurer and
10 Executive Committee members. The Regional Secretary or the
Regional President as decided by the concerned Regional Committee will
be Ex-officio member of the Committee.
C) The elected members of the Executive Committee and the Secretariat
Body shall hold office till next General Conference and fresh election held
in their places.
D) In the event of any vacancy occurring during the year due to resignation,
death or otherwise, it may be filled by co-option of a Delegate by the
2/3rd of the members of the Executive Committee and the arrangement
so made shall be enforced for the remaining period till next General
Conference and fresh election.
E) 10 delegates for 1st. Block of 25 members and thereafter 1
delegate for each block of 5 members or major part thereof shall
be elected by general members in their respective Regional
Conference/Regional Committee Meeting to be held at least 1
month before the date of holding General Conference of
delegates.
F) The Executive Committee shall make detail of rules and guidelines
of functioning of Regional Committees and duties &
responsibilities of the functionaries of Regional Committees and
relevant financial allocations, etc., as also the procedures for
holding Regional Conferences, Conventions and all matters allied
thereto.
G) The Delegates so elected shall hold office till fresh delegates are elected
in their places, and shall attend all Conferences of Delegates.
H) A Delegate shall ceases to be a Delegate if he / she cease to be a
member of the Association.
I) A Delegate, elected from a particular Region and subsequently
transferred to another Region shall represent the members of the
Region from where he / she were originally elected.

J) A member of the Executive Committee shall be an ex-officio Delegate,
and shall have the right to attend the Conferences of Delegates even if he
is not elected as a Delegate. But he shall not have the right to elect or to
be elected as a member of the incoming Executive Committee unless he /
she is elected as Delegate from a particular Region as provided in clause
10 (e) above.
K) Any casual vacancy in the post of Delegates arising out of resignation,
death or otherwise shall be filled up by the Regional Committee with
concurrence of EC by co-option from among the eligible members of the
Region concerned from where the vacating Delegate was originally
elected.

11) POWER AND FUNCTION OF THE EXECUTIVE COMMITTEE:


A) The administration of the Association shall be carried on by the Executive
Committee. It shall manage and conduct all affairs of the association
according to directions and policies framed in the general conference or
special conferences and shall take proper steps for carrying out
resolutions passed in such conferences and also by parent bodies. It shall
conduct the affairs of the Association in particular and the working people
at large.
B) For facility of better co-ordination, connectivity and management of the
Association the Executive Committee may, in consultation with the
members, delegates and office bearers of the concerned area, constitute
Zonal / District Committees and such other committees and sub–
committees as may be deemed necessary and shall define the functions,
rights, responsibilities and financial allocations for them.

12) PRESIDENT AND VICE-PRESIDENTS: The President of the Association


shall preside over all the meetings of the Executive Committee and
Conventions of the Association. He shall have a second or casting vote in
case of tie in any meeting. In absence of the President, one of the Vice-
Presidents, in order of seniority in the Executive Committee, shall exert all
powers and discharge all functions of the President.

13) GENERAL SECRETARY, SECRETARY & JOINT SECRETARIES: The


General Secretary of the Association shall convene all meetings of the
Executive Committee and conferences subject to the rules, take minutes of
all proceedings with the members of the Executive Committee, conduct
correspondence, make representations, arrange interviews and exercise
general supervision over all affairs of the association. He shall scrutinize and
accord sanction to all bills and / or vouchers for any expense incurred by the
association. He shall be responsible along with the Treasurer for submitting

Annual Returns to the Register of Trade Unions, West Bengal in due time
(before 30th April).
In absence of the General Secretary on leave or otherwise the Secretary, and
in absence of both of the General Secretary and the Secretary, the Joint
Secretaries in order of their seniority in the Executive Committee shall exert
all powers and carry on with all the functions of the General Secretary.

14) TREASURER: The Treasurer along with the General Secretary shall be
responsible for sending Annual Returns of the Association to the Registrar of
Trade Unions, West Bengal in due time. He shall be responsible for all money
received by him on behalf of the Executive Committee. He shall make
payment on sanction by the General Secretary and shall keep Accounts of all
receipts and expenditures. A single expenditure above Rs. 5000.00 shall
require to be sanctioned jointly by the General Secretary and the President.
The Assistant Treasurer shall perform the job of the Treasurer in his absence.

15) UNIT ORGANISER: For each Branch / Regional Office / Head Office unit
of the Bangiya Gramin Vikash Bank there shall be one Unit Organizer to be
appointed by the Executive Committee from among the Delegates elected
from the unit. He shall ensure regular collection of subscription, levies and
donations as may be decided by the Executive Committee from the members
of the unit and remittance of the funds so collected to the Bank Account of
the Association. He will maintain regular contact with the members of the
unit and also with other trade union / mass organization of the area in order
to promote the sense of fraternity and goodwill among the members and
others. He will also be responsible for implementing the policies and
programme of the association by the members of the Unit.

16) FUNDS:
A) The funds of the association shall consist of subscriptions, Special
Subscriptions, Levies, and donations collected from members or
otherwise and income from miscellaneous sources including profit and
interest on investment and deposits. All expenses of the Association shall
be met from the general funds.
B) A separate fund may be maintained and spent for the purpose laid down
in section 16 of the Indian Trade Union Act, 1926. The Executive
Committee may invite members to contribute to this fund, provided the
members will not be compelled to donate for such purposes, if any.
C) The Funds of the Association shall be deposited in one or more accounts
with Banks as Executive Committee may think fit.

D) The Bank account of the association shall be operated jointly by any two
of the following Office bearers and in the manner as decided by the
Executive Committee :
i) President
ii) General Secretary
iii) Secretary
iv) Treasurer, and
v) Assistant Treasurer
E) The Executive Committee shall decide the manner of collection and other
dues from the members and will pay 50% of the subscription collected
from any Region to the concerned Regional Committee for its functioning
w.e.f April 2011.
F) The Executive Committee shall make arrangement for inspection of the
Books of Accounts, Membership Register etc. by the members and office
bearers at reasonable time and with prior notice for a minimum period of
15 days.

17) AUDIT: The accounts of the Association shall be audited annually by


person or persons qualified according to Trade Union Regulations. The
Auditor or Auditors will be appointed in the General Conference on such
terms as the conference may think fit.

18) GENERAL CONFERENCE : General Conference of Delegates of members


elected in accordance with clause 10 (e) above shall be held once in every
two years before 31st March of the alternate calendar year for the following
purposes :
(a) To consider Secretary’s Report and audited statement of
accounts.
(b) To elect the office bearers and members of the Executive
Committee.
(c) To appoint auditors and fix their terms and remuneration.
(d) To chalk out general lines and principal Programme of activities
of the Association during the ensuing years.
(e) To consider appeal, if any, against expulsion from and refusal or
rejection of membership and any other matter recommended by
the Executive Committee.
(f) To add, amend, alter or rescind any of the rules of the
constitution.
(g) The quorum of all such General Conferences shall be presence of
the one-third of Delegates elected earlier.
(h)To elect/select delegates of higher bodies.

19) SPECIAL CONFERENCE OR CONVENTION : The General Secretary of
the Association shall call special Conference of Delegates / Convention of
delegates or groups of general members as and when decided by the
Executive Committee. The General Secretary shall also call such conference
on requisition of one-fifth of the total number of Delegates or half of the total
strength of the members of the Executive Committee for transacting definite
business mentioned in the requisition.

If the General Secretary fails to convene the requisitioned conference or


convention within one month from the date of receipt of the requisition, the
President of the Executive Committee may convene the conference so
requisitioned / Convention at the Regional, District and at lower levels may
be held by the Executive Committee/Regional Committee as the case may be
as and when considered necessary.

20) NOTICE OF MEETING: For Executive Committee meeting and meeting of


sub-committees, Regional / Zonal / District committees seven clear days’
notice will be necessary, and for Conference twenty one days’ notice will be
necessary. For emergent meetings of the Executive Committee and other
committees, 24 hours’ notice will suffice.

21) QUORUM: For Executive Committee meeting, presence of one-third of


members shall form the quorum, and for Conference of Delegates presence
of one-third of Delegates shall form quorum.

22) CHAIRMAN OF THE MEETING : The President of the Association, or one


of the Vice Presidents, in order of seniority in the Executive Committee, shall
preside over all meeting of the Executive Committee.
In Conference of Delegates, a Presidium consisting of the President and Vice
Presidents shall conduct the business.

23) AMMENDMENTS AND ALTERATION OF CONSTITUTION: Amendments


and alterations in any form of the constitution shall be made in the General
Conference of Delegates only. No Amendment shall be operative unless
passed by the majority of the two-third of Delegates present in the
Conference. Due notice of such amendment shall be given to the Registrar of
the Trade Unions, West Bengal within 14 days of such amendment.

24) AMALGAMATION / DISSOLUTION:


A) By a resolution carried out in a special general conference convened for
the purpose the Association may be merged or amalgamated with other
association(s) or federation having similar aims and objects, and on such

terms and conditions and in such manner as may be decided by the
special general conference.
B) The Association may be dissolved by a resolution adopted in a special
general conference convened for the purpose.
C) Presence of at least two-third of Delegates as on the date of issuing
notice shall form the quorum of a special general conference convened for
the purpose of merger or amalgamation or dissolution of the Association,
the decision shall be carried out by at least 60% of the total number of
delegates present in favor of such amalgamation / dissolution.
D) Intimation of merger or amalgamation or dissolution shall be notified to
the Registrar of Trade Unions, West Bengal within 14 days from the date
of the special General Conference.
