hereinafter called "AMC CONTRACTOR”
AND
This agreement describes THE CUSTOMER purchases services from AMC CONTRACTOR.
This agreement sets forth the terms and conditions for the Annual Maintenance Contract of SIGN
BOARD/S mentioned in Annexure A of this agreement inclusive of cleaning, preventive maintenance and
breakdown maintenance. (Repair and replacement of defective parts) for an initial term of one year and
shall be renewed for further periods of one year each upon the then agreed mutual terms and conditions.
1 SCOPE OF AGREEMENT:
1.1 The AMC CONTRACOTR expected The SIGN BOARD/S are in good working condition while signing the
contract.
1.2 The contract shall be in force for the period from XX/XX/2019 to XX/XX/2020 and shall cover all those
items as specified in the Annexure A to this agreement. That the commercials as specified in the Annexure
B this Agreement shall not be subject to any escalation.
2. SCOPE OF WORK:
The AMC CONTRACTOR shall provide the following services to keep the SIGN BOARDS in good working
condition.
2.1 The scope of work covers two times cleaning and Preventive Maintenance service during the contract
period. The schedule of Cleaning and preventive maintenance shall be decided mutually by the
CUSTOMER and the AMC CONTRACTOR and which will be incorporated in the Annexure B of this
agreement
2.2 The scope of works also includes FOUR time breakdown / call on maintenance service (Repairs,
replacement of defective parts and other allied works) in case the SIGN BOARD/S covered under the
contract breaks down unexpectedly in between the Scheduled Cleaning and Preventive Maintenance.

2.4 If the number of breakdown service exceeds the stipulated number of FOUR the AMC CONTRACTOR
shall provide break down Maintenance (Repairs and replacement of defective parts) at an extra cost
specified in the Annexure C to this agreement.
2.5 Replacement of defective parts will be at the CUSTOMER’s cost with original spares of the brand/make
of the SIGN BOARD as far as possible. In the event of non-availability of the spare parts, equivalent spares
should be substituted with the CUSTOMER consent. Faulty parts removed from the SIGN BOARD/S belong
to CUSTOMER.
2.6 AMC CONTRACTOR shall ensure provision of contact person/s for service calls in the Corporate Office,
Thrissur from 9:30 to 18:30 hrs on all working days and if required availability over mobile phone on
Saturdays and Sundays /Holidays and also after 18:30 hrs on working days as per the escalation matrix
mentioned under Annexure D of this agreement
2.7 A logbook shall be maintained in which AMC CONTRACTOR shall record all the services made, parts
replaced etc.
2.8 The CUSTOMER undertakes to provide free of charge working space including electrical power, water,
light, ventilation etc., for use by the service team of the AMC CONTRACTOR and free access to the SIGN
BOARD/S covered under this agreement. In case of any difficulty the date should be changed in advance
by mutual consent.
2.9 If the SIGN BOARDS covered under this agreement are not attended for repair within the time frame
mentioned in Annual Maintenance Contract and if such defective SIGN BOARDS would be repaired by
some third party by the CUSTOMER and an equal amount, which we charge for one breakdown service
during four free services period as per Annexure-C, shall be reimbursed to the CUSTOMER.
2.10 All tools, scaffoldings, consumables etc., are in the scope of AMC CONTRACTOR.
2.11 The CUSTOMER shall provide basic help to AMC CONTRACTOR’s service team like storage facility of
tools and equipment, any other incidental assistance, if required etc.
3. EXCLUSIONS
3.1 Electrical work external to the SIGN BOARD or maintenance of switch boards or other devices not
covered under this agreement.
3.2 Any damage of SIGN BOARD/S during scheduled service resulting by periodontitis, corrosion, worn
out of mounting parts etc. The cost of repairs or replacements due to these factors will include charges
for labour as well as charges for parts, which is payable to the AMC CONTRACTOR apart from AMC charges.
3.3 Any work external to the equipment such as maintenance of non-AMC attachment, accessories etc.

5. PAYMENT TERMS
5.1 The total amount of AMC to be made 100% in advance before commencement date by Account Payee
Cheque in the name of OUTVIEW DSIGN. The amount can be transferred to the below account by
NEFT/RTGS also.

5.2 The amount mentioned in Annexure-C is exclusive of GST, which will be extra wherever applicable.
5.3 Customer shall send TDS certificate(s), where any tax has been deducted at source from payment
made.
6.1 This contract will be valid for the period from 07/10/2019 to 06/10/2020 with a provision to extend
the same for a further period of one year or part thereof on the rates, terms and conditions on mutual
consent.
6.2 Either party may terminate the agreement prior to expiry of contract period by giving three months
written notice.
