SERVICE AGREEMENT

This agreement is made between AP Securitas Pvt Ltd (hereinafter referred to as

the “Company”) and Govinda – Training MIS Training & Development (hereinafter
referred to as the “employee”).

This agreement shall be effective from 1st day of June 2015

Declaration:

I, Mr. Govinda – Training MIS Training & Development

Employment

I shall not (without the prior written consent of the Company or such one of its
subsidiaries or associated companies) during my employment, directly or
indirectly be interested in, engage in, be concerned with, or provide services to,
any other person, company, business entity or other organization whatsoever
(whether as an employee, officer, director, agent, partner, consultant or
otherwise) in direct conflict with the Company’s business it being the intention of
the Company or such one of its subsidiaries or associated companies that I shall
devote my whole time and attention to the service of the Company or such one of
its subsidiaries or associated companies. The “business of the Company” shall
mean design, production and installation of systems, marketing of products or
services, components and services for control and automation and any services or
business that the Company engage in from time to time.

Non-Hiring and Non-Solicitation Restrictions

I shall not, during the employment period and including within twelve (12)
months after the date of Separation of my employment with the Company,
recruit, solicit, entice, assist or engage in any activity whatsoever that would result
in any person then or thereafter employed or retained by the Company or
appointed as a representative of the Company, to join me in providing any
services to or be employed by any business activity which will be in direct conflict
of interest with the Company’s business in which I will be involved.

I shall not, during the employment period and including within twelve (12)
months after the date of separation of my employment with the Company solicit,
entice, assist or engage in any activity whatsoever in direct conflict of interest with
the Company’s business that would result in any current Client of the Company or
Client then negotiating with the Company or its affiliates, to join me in any
business services or activities in which I will be involved. The “business of the
Company” shall mean design, production and installation of systems, components
or building services control and automation.

Confidential Information

During the employment period and upon separation of my employment with the
company, I shall keep secret and retain in strictest confidence, and shall not use
for the benefit of myself or others, all confidential matters of the Company, its
affiliates or any other entity that may hereafter become an affiliate of the
Company while I remain an employee or representative of the Company including
without limitation, know-how, trade secrets, customer lists, details of clients,
contracts, pricing policies, operational methods and procedures, marketing plans
or strategies, product development techniques or plans, business acquisition
plans, new personnel acquisition plans, methods of manufacture, technical
processes, inventions and research projects of the Company, its affiliates or any
other entity which may hereafter become an affiliate of the Company while I
remain an employee or agent of the Company learned by me being an employee,
agent, officer or shareholder of the Company or any affiliate of the Company.

Non-Competition

I acknowledge that during the course of my employment with the Company, I shall
become familiar with the Company’s trade secrets and with other confidential
information concerning the Company and its associates and related companies
and that my services shall be of a special, unique and extraordinary value to the
Company. I agree that during the Term hereof and for twelve (12) months
thereafter, I shall not make use of the Company’s trade secrets and any other
confidential information when I am directly or indirectly own, manage, control,
participate in, consult with, render services for, or engage in any business
competing with the businesses of the Company or its associates or related
companies within the Company’s geography of Operations, current or planned for
future. For the purposes of this Agreement, the “business of the Company” shall
mean design, production and installation of systems and components for building
services control and automation marketing of services or products or business
that the Company may engage in from time to time.

Intellectual Property and Copyright

In respect of all original works including but not limited to ideas, sketches,
concept drawings, security drawings, and other original artistic works, invention,
design of an article (whether the design is operational or otherwise), computer
program and related documentation, literary and other work of authorship (all
hereinafter called “Development Works”) produced or to be produced by me
during the term of my employment with the Company, I hereby assign to the
Company all copyright and all my entire rights, title and interest of the above
mentioned original works, hereafter produced or to be produced or conceived
solely or jointly by me, or created or developed wholly or in part by me, whether
or not such Development Works are patentable, copyrightable or susceptible of
other forms of protection, and the Development Works:

(a) relate to the actual or anticipated business or research or development of the

Company or its subsidiaries, or

(b) are suggested by or result from any task assigned to me or work performed by
me for or on behalf of the Company or its subsidiaries.

I acknowledge that the copyright and any other intellectual property right in
designs, security related programs and related documentation, computer
softwares / programmes developed or any development of any kind, created
within the scope of my employment, belong to the Company by operation of law.

I also agree to indemnify the Company and its operations and assigns against all
costs, damages and other losses suffered by them as a result of claims threatened
or brought on the basis the works infringe or allegedly infringe the rights of any
third party of which proven to be a result of my willful act.
I acknowledge that the content of this Agreement is understood & accepted
wholly by myself and I also acknowledge receipt of a copy of this Agreement – In
case of breach of the contract company is liable to take Legal action against me.

I shall hereby agree that I would serve (AP Securitas Pvt Ltd) for a period of 12
months from the date of signing of this document.
