ADDENDUM TO THE ORIGINAL LEASE CONTRACT

executed on April 2, 2019

KNOW ALL MEN BY THESE PRESENTS:

This Addendum to the Original Lease Contract is made and entered into by and between:

GOLDEN HEARTLAND PROPERTIES CORPORATION, a corporation duly organized and


existing in good standing under the laws of the Philippines, with principal office address at
Andres Soriano, Jr. Ave., Cebu Port Centre, (CNRA), Cebu City, represented herein by its Chief
Operations Officer, Ms. Feng Ping L. Cheung, hereinafter called the “LESSOR”;

-and-

GREENTECH LAND DEVELOPMENT CORPORATION, a corporation duly organized and


existing in good standing under the laws of the Philippines, with principal office address at
Unit F1, 123 APM Shopping Mall, A. Soriano Avenue, Mabolo, Cebu City, represented herein by
its President, Mr. Kaiser Christopher Tan, hereinafter called the “LESSEE”.

WITNESSETH:

WHEREAS, the LESSOR and the LESSEE have previously executed a Contract of Lease
dated April 2, 2019 with a lease period of five (5) years, commencing on April 1, 2019 until its
expiration on March 31, 2024.

WHEREAS, the LESSOR and the LESSEE desire to make certain modifications to the
Lease as herein stated:

NOW, THEREFORE, for and in consideration of the mutual covenants and premises
herein contained, and another good and valuable consideration, the receipt and adequacy of
which is hereby acknowledged, the parties hereto agree as follows:

1. LESSOR and LESSEE both acknowledge and agree that the lease is currently in effect
and that neither party is in breach or default of the lease;

2. LESSOR and LESSEE hereby modifies the Lease as follows:

3. Paragraph 12.1 of the specific terms and conditions of the said Contract of Lease
entitled CLOSURE, NON-OPERATION OF BUSINESS, ABANDONMENT provides that
“LESSEE shall not at any time leave the leased premises vacant, but shall in good faith
continuously throughout the term of this lease conduct and carry on in the leased
premises the type of business for which the area is leased, and shall keep the leased
premises open to the public for business during normal business days (including
Sundays and Holidays) and hours….

4. Adding and modifying paragraph 12.1 therein, the LESSOR hereby grants the LESSEE
exclusive exemption from holding office on Sundays and Holidays, as the nature of
their business requires, that it only be opened on Mondays to Saturdays, and from 9:00
o’ clock in the morning until 7:00 o’ clock in the evening.

5. This Addendum takes effect as of the date of the original contract of lease executed
on April 2, 2019, with a validity lease period of five (5) years, from April 1, 2019 until
March 31, 2024 or upon its termination.

6. The parties hereby agree that wherever there is a conflict between this Addendum and
the Original Lease, the provisions of this addendum will control and the original lease
will be construed accordingly.

IN WITNESS WHEREOF, the PARTIES have hereunto affixed their signatures on the date
