THE 2013 CONSTITUTION AND BY-LAWS

OF
CENTRAL BUKIDNON FEDERATION OF
SEVENTH-DAY ADVENTISTS AS AMENDED

PREAMBLE
We, the SEVENTH-DAY ADVENTIST members of this Federation realize our need to
be strong in faith, promote mutual understanding and foster fellowship, do hereby unite
ourselves into a federation and by the help of God, do ordain and promulgate this Constitution.

ARTICLE I-NAME
The name of this Federation shall be known as CENTRAL BUKIDNON
FEDERATION hereinafter referred to as the Federation.

ARTICLE II- LOGO


The Federation has its own official logo. In its logo, it has seven (7) rays representing the
seven member associations of the Federation, to wit: Bright Light, Golden-7, Green Valley,
Hilltop, Kidron Valley, Mountain and Riverside and Salog.

ARTICLE III-RELATIONSHIPS
This Federation is an organization which is a part of CENTRAL MINDANAO MISSION
(CMM) of the Seventh-day Adventist Church. All its purposes, policies and procedures shall be
in accordance with the said Mission and the General Conference of the Seventh-day Adventist
Church. This Federation shall pursue the mission of the Church in harmony with the doctrines,
programs, and initiatives adopted and approved by the CENTRAL MINDANAO MISSION and
General Conference of the Seventh-day Adventist Church.

ARTICLE IV- PRINICPLES, GOALS AND OBJECTIVES


Sec. 1. This Federation shall be representative in form. It shall adhere strictly to the
ideals, teachings and standards of the SDA Church.
Sec. 2. The Goal of this Federation is to teach the everlasting gospel of our Lord and
Savior Jesus Christ as symbolized by the Three Angels Messages of Revelation 14.
Sec. 3. The main objective of this Federation is to uphold unity, fellowship and
cooperation among Seventh-day Adventist association members.
Sec. 4. To help members attain economic self-reliance and maximum social and physical
well-being.

ARTICLE V. THE TERRITORY


The geographical territory of this Federation comprises a portion of Valencia City,
Municipality of Maramag, Municipality of Quezon, Municipality of Kitaotao, and the whole
Municipality of San Fernando, which are under of the sphere of influence of its members.
ARTICLE VI. MEMBERSHIP
Sec.1. The membership of this Federation shall consist the following associations- Bright
Light, Golden-7, Green Valley, Hilltop, Kidron Valley, Mountain and Riverside and Salug as
provided in the logo;
Sec. 2. All Ministers duly assigned by CENTRAL MINDANAO MISSION (CMM)
whether District Pastors/Leaders or Church Pastors are members of this Federation.

ARTICLE VII. RIGHTS


Sec.1. Every member association can participate freely in all Central Bukidnon
Federation activities.
Sec. 2. Every member association can receive information of its affairs, policies and other
useful information.
Sec. 3. Every Association member can propose and discuss during business meetings
important items not previously included in the agenda.

ARTICLE VIII. ASSEMBLY MEETING & SCHEDULE OF ACTIVITIES


Sec.1. Regular Meeting – The Federation shall hold a regular annual meeting at such time
and place as approved by the EXECOM.
a. Schedule of activities shall start on Tuesday and will end on Sunday right after
morning worship.
b. The Execom shall decide the schedule of activities.
c. The cycle of the venue of the Federation rally is as follows: Kidron Valley
Association, Green Valley Association, Hilltop Association, Golden Seven
Association, Mara Association, Bright Light Association and Salug
Association.
Sec. 2. Quorum- At least a simple majority of fifty percent plus one (50%+1) of the
members present shall constitute a quorum for transaction of business.
Sec. 3. Special Assembly Meeting – the EXECOM shall call for a Special Assembly
Meeting at a time and place it deems proper, when:
a. It is deemed necessary by the EXECOM.
b. It is requested by the CENTRAL MINDANAO MISSION
Sec. 4. Voting – There should be no proxy voting and voting procedures provided in the
SDA church manual shall be adopted.

ARTICLE IX. ELECTION AND TERM OF OFFICE


Sec. 1. Term- All officers, department directors and members of the EXECOM of the
Federation shall hold an office for two (2).
Sec.2. Re-election- All officers, department directors and members of the EXECOM of
the Federation can be reelected to serve in the same office that he had been previously elected
but not to exceed three (3) successive terms for the same office.
Sec. 3. Election Procedures – Each association should send four (4) current elders of their
association to become members of the Nominating Committee.
Sec.4. The nominating committee shall convene to determine the qualified persons to fill
up respective offices. Then the nominated names shall be presented to the body for approval.
Sec.5. Nominating Committee Chairman- the chairman will be immediately the Senior
Pastor assigned.
Sec.6. Voting- There should be no voting by proxy and voting procedures provided by
the SDA church manual shall be adopted.

ARTICLE X. QUALIFICATIONS OF OFFICERS AND DEPARTMENTAL


DIRECTORS
Sec.1. The presidents and all vice-presidents shall be current elders of the church upon
the time of their election.
Sec.2. The secretary, treasurer, auditor and all departmental directors that will be elected
must also be the current elected officers and directors of the same office or department in their
respective churches upon their election of office.
Sec.3. All current elders can be elected in any executive and departmental offices as an
exception to the preceding section.
Sec.4. All officers and directors elected shall maintain good moral standing and in
anyway having no connection and affiliation with any organizations officially declared by the
SDA church or Mission to be in contrary or against the policies, standards and views of the
Seventh-day Adventist Church.

ARTICLE XI. REMOVAL FROM OFFICE


Sec.1. Any violations committed by an elected officer or director from the preceding
article shall be a valid ground for removal from office.
Sec.2. Any elected officer or director that had undergone disciplinary actions from his/her
local church board shall be deemed suspended from his office in the federation subject to
further clarification and hearing by the members of the EXECOM.
Sec.3. Any elected officer or director who blatantly and clearly violated Sec.4 of the
preceding Article, despite non-action from his/her local church board shall be subjected to
investigation and clarificatory hearing by the EXECOM to determine his qualification to
continue in holding his Office or Department.
Sec.4. Any disqualification case for holding an office shall be heard and decided by the
EXECOM members and decisions therein shall be based upon the majority vote of all the
members of the EXECOM in a meeting duly called for such purpose.

ARTICLE XII. EXECUTIVE COMMITTEE


Sec.1. The EXECOM of the Central Bukidnon Federation shall be composed of the
President, Vice-president Religious, Vice-president Social, Secretary, Treasurer, Auditor and all
Association Presidents. The president shall act as the chairman.
Sec.2. All District Pastors/Leaders and Church Pastors duly assigned and designated by
the Mission within the territory of this Federation shall be members of the EXECOM.
Sec.3. Delegated Authority - the EXECOM had the delegated authority to act in behalf of
the members between elections particularly in electing officers for vacant offices between
elections.
Sec.4. Administrative authority- the EXECOM shall exercise full administrative authority
in this Federation.
Sec.5. Regular meeting – the EXECOM shall schedule regular meetings at such time and
place.
Sec.6. Quorum – 50% + 1 members of the EXECOM shall constitute a quorum.

ARTICLE XIII. DUTIES AND RESPONSIBILITIES


Sec.1. The President shall act as Chairman of every Federation meeting of the EXECOM
and will work for the general interest of the Federation as the EXECOM may advice. In his
leadership, he shall respect the policies of the higher authorities of the Seventh-day Adventist
Church.
Sec.2. The Vice-President Religious shall be responsible for all religious activities of the
Federation and may take over the responsibilities of the Federation president in his absence,
whether by removal from office or incapacitated.
Sec.3. The Vice-President Social shall be responsible for all social affairs/activities of the
Federation and may discharge the duties and responsibilities of the President and Vice-President
Religious in their absence.
Sec.4. The Secretary shall work under the direction of the EXECOM. It shall be the duty
of the Secretary to keep the minutes of the Federation meeting and the EXECOM meetings and
to furnish copies of the minutes to all EXECOM members.
Sec.5. The Treasurer shall work under the direction of the EXECOM. It shall be his/her
duty to receive all Federation funds and to disburse them in harmony with the actions of the
EXECOM, and to furnish financial statements to member associations if needed.
Sec.6. The Auditor shall act as an Internal Auditor. The Duties and functions of the
auditor as provided in the church manual shall be adopted.

ARTICLE XIV. DIRECTORS OF THE DEPARTMENTS AND THEIR DUTIES


Sec.1. The Directors shall be chosen for the following departments:
Personal Ministry Director
Sabbath School Director
Home, Family Life and Children’s Ministries Director
Dorcas Director
AYS Director
Stewardship Director/Livelihood
Sports Director
Women’s Ministry Director
Health and Temperance Director
Publishing Director
Education Director
PARL Director
ACS Director
Music Director
Communications Director
IEL Director

Sec.2. It shall be the duty of the Directors to promote his/her department and give reports
to the EXECOM and to the general assembly. It shall be his/her duty to organize his/her own
council. All duties and functions should be referred to Church Manual.

ARTICLE XV. FINANCE

Sec.1. Federation Fund


a. A registration fee shall be collected from every member during federation rally
the amount of which will be determined by the EXECOM.
b. The District Pastors/Leaders or Church Pastors assigned within the territory
shall contribute to the Federation fund such amount which shall be determined by the
EXECOM in every federation rally.
c. The Federation shall receive Twenty Five (25%) of the total offerings collected
during the Federation Rally.

Sec.2. The Federation can receive donations and gifts.

Sec.3. The federation shall operate businesses and projects, in accordance with the
principles adhered to by the Federation.

ARTICLE XVI. EVANGELISM

Sec.1. The Federation shall sponsor an evangelism effort within the territory as often as
possible depending on the availability of funds.

Sec.2. The Federation shall request for an assistance for such amount which will be
determined by the EXECOM from the Central Mindanao Mission and from the Southern
Philippine Union Conference as the case maybe.

Sec.3. The Federation can accept donations and gifts for Evangelism Fund.

ARTICLE XVII-AMENDMENTS, REVISIONS AND REPEAL

Sec.1. The constitution of this Federation may be amended, revised and repealed at any
duly called meeting by two-thirds (2/3) votes of the members present and voting provided that it
has been announced and properly circulated at least 15 days for that purpose.

Sec.2. A Constitutional Committee shall be constituted for purposes of amendments,


revisions and repeal of this constitution which shall consist of Two (2) representatives from
each Association members. Such representatives will be chosen by the EXECOM from the list
of nominees which shall be submitted by their respective associations. Said Constitutional
Committee will be then dissolved after the amendment, revisions or repeal of the Constitution
as the case may be, will be ratified by the General Assembly.
ARTICLE XVIII. DISSOLUTION

Sec.1. In the event of dissolution of the Federation, all the assets remaining after all
claims have been satisfied, shall be transferred to Central Mindanao Mission of the Seventh-day
Adventist Church.

Sec.2. In the event that only a member/s Association of this Federation will be removed
as member of this Federation due to some restructuring of territories or other similar changes,
the said Association which will detached from this Federation will be given a proportionate
share of the personal properties of the Federation. As to the real properties, it shall remain under
this Federation.

ARTICLE XIX. SEPARABILITY CLAUSE

If any provisions or part hereof is held invalid, the remainder of this Constitution not
otherwise affected shall remain in full force and effect.

ARTICLE XX. EFFECTIVITY CLAUSE

This Act shall take effect immediately upon its ratification.

This Constitution and By-laws was amended by the Constitutional Committee of 2019-
2020 which convened and presented these amendments before the Executive Committee of the
Central Bukidnon Federation for approval and for its ratification before the General Assembly
of Central Bukidnon Federation.
