4. Creation and organization of the Developer’s organization..

5. Set-up of the Admin and finance Organization and processes.

Periodic Assessments and Adjustments

For the duration of the entire development, the Novo Land will
periodically meet with the Proponent to assess and evaluate the
effectiveness of the Project Management as well as recommended
adjustments where so required.

I. ENGAGEMENT PERIOD

This Project Management/JV Engagement shall take effect upon signing of the
agreement and shall be operable for (1) year. Renewal shall be subject to
mutual consent by both parties.

II. MANAGEMENT FEE, TERMS AND CONDITIONS

For the above services, the Management Fees shall be as follows:

A. Two Hundred Fifty Thousand Pesos (P 250,000.00), VAT and withholding


taxes excluded, shall be paid to _____________________upon signing of the
agreement/contract.

B. _____________________will be paid every 30th of the month of Two Hundred


Fifty Thousand Pesos (P250,000.00) for one year.

C. THE MANAGEMENT FEE is treated as advances from the Company’s shares.
