Independent Contractor Agreement

Parties and Assignment. This agreement (the “Agreement) is made effective as of April 9, 2014
(hereafter referred to as “Start Date”) by and between COMPANY NAME (hereafter referred to as
“Company”), and NAME (hereafter referred to as “Independent Contractor”), who resides at
ADDRESS. The contract is in regards to the services to be performed for the Company.

Work/Description of Services. The Independent Contractor shall perform the following (but not
limited to) tasks/services:

1. Devote the whole of your time, attention and abilities to the duties assigned to you. Please see
Annex A – Job Description;
2. Faithfully and diligently serve the Company and any other special projects or interests the
Company may venture into and use your best endeavors to promote its interests;
3. Obey all reasonable and lawful directions given to you from time to time by or under the authority
of the Company; and
4. Comply with and abide by all the Company’s rules and regulations which it shall be your duty to
study, know and practice, and such other rules, regulations or policies which the Company may
from time to time promulgate in writing.
5. Because of the dynamics of the position, your duties and responsibilities may change from time
to time at management’s discretion according to business needs.

Confidentiality. The Independent Contractor acknowledges that she may be furnished or may
otherwise receive or have access to information which relates to the Company’s past, present or
future products, vendor lists, creative works, marketing strategies, pending projects and proposals,
and other proprietary information which gives the Company an opportunity to acquire an advantage
over its competitors who do not know or use it (the "Proprietary Information"). The Independent
Contractor agrees to preserve and protect the confidentiality of the Proprietary Information and all
physical forms thereof, whether disclosed to the Independent Contractor before this Agreement is
signed or afterward. In addition, the Independent Contractor shall not disclose or disseminate the
Proprietary Information to any third party and shall not use the Proprietary information for his or
her own benefit or for the benefit of any third party. Without limiting the generality of the foregoing,
Independent Contractor shall be prohibited from discussing the Company or the Work with a
representative of the press or media, either directly or indirectly, without the Company’s express
prior written approval. The Independent Contractor shall follow the same level of confidentiality
towards his/her Company assignment.

Attendance and Work Monitoring System. Due to the nature of this business, the Independent
Contractor understands that the Company cannot always physically confirm the attendance of the
Independent Contractor as well as check if the hours worked by the Independent Contractor are
being used productively.

The Independent Contractor grants the Company authority to install an application on the
Independent Contractor’s computer/laptop that will take screenshots during the Independent
Contractor’s working hours. It is also agreed that this monitoring system may be used at the
Company’s discretion as a basis for the Independent Contractor’s attendance that will dictate the
Independent Contractor’s payroll.

The Company has to option to update or change the manner in which attendance is monitored.

Compensation. Company agrees to pay the Independent Contractor the amount of Php 13,000.00
per month for a full time Home Based Assignment. Payroll cutoff is every 15th and 30th (or last day of
the month) day of every month. Payroll payment will be given on the 20th and the 5th respectively.

Upon request of Company, the Independent Contractor may be required to provide evidence of work
performed in order to receive payment for hours worked. The Company reserves the right to refuse
payment in the event the Independent Contractor cannot provide evidence of work performed.

If overtime is requested, Independent Contractor must have written permission to do so before it will
reflect on the Independent Contractor’s DTR for payroll.

Payment terms may change if agreed upon and signed by both the Company and the Independent
Contractor. Additional hourly charges may apply for Time Critical and After Hours Support. The
Company will advise Independent Contractor prior to the commencement of work should additional
charges apply.

Additional Bonus and/or Compensation. Company shall have the ability to pay the Independent
Contractor additional bonuses. This is at the discretion of the Company.

Leaves. The Independent Contractor is not entitled to paid leaves.

Home Based Employment Requirements. Independent Contractors must have the following
minimum system and internet requirements:
Computer Processor: 1 GHz or faster
RAM: 1GB or more
Internet: at least 2MBPS
Headset in good working condition

It is recognized that Home Based connectivity is subject to brown outs and interruptions of internet
service. All time lost during any outage will be made up at a later time.

Termination of Contract. This agreement shall be effective until either party terminates the
agreement. If the Independent Contractor chooses to terminate the agreement when active, they
must give the Company a 30-day notice to find and train a replacement.

However, if Independent Contractor fails to provide satisfactory services or fails to provide services
to Company in a timely manner, violates a company policy, procedure or practice, fails to use utilize
the Attendance and Work Monitoring System as instructed by Company, or is absent or late for work
during scheduled hours without prior approval from Company, Company may terminate the
agreement without notice. The Company is not obligated to pay the Independent Contractor for
hours not worked.

Relationship of Parties. It is understood by both parties that NAME will start out as an Independent
Contractor and is not yet a regular employee of the Company. The Company will not provide
government or non-government benefits, including taxation, superannuation, sick leave or any other
employee benefits for the Independent Contractor.

Independent Contractor should not in any way represent the Company, as well as the external
Company, with other third party (e.g. customers, vendors, suppliers) unless authorized by the
Company and/or external Company.

Non-Compete Clause. The Independent Contractor agrees not to compete with COMPANY at any
time during the course of this agreement. The Independent Contractor agrees not to attempt to
establish a beneficial relationship with any COMPANY Client (previous or current) or vendor directly
outside the services it provides for COMPANY. Any and all such offers made by any 3rd party
Company or vendor should be immediately reported to superior and approved before any work
should commence. Any competing action by the Independent Contractor is subject to a minimum of
PHP10,000 fine per attempt and a minimum of PHP100,000 fine for any realized damages and legal
fees. Upon termination of agreement the Independent Contractor must seek approval COMPANY to
maintain a working relationship with Clients or vendors that it established over the course of
working with Global Office Works.

Confidentiality After Termination. The confidentiality provisions of this Agreement shall remain
in full force and effect after the termination of this Agreement.

Return of Records. Upon termination of this Agreement, the Independent Contractor shall deliver
all records, notes, data, memoranda, accounts, communications, models and equipment of any nature
that are in the Independent Contractor’s possession or under the Independent Contractor’s control
and that are the Company’s property or relate to the Company’s business to the Company.

Entire Agreement. This Agreement contains the entire agreement of the parties and there are no
other promises or conditions in any other agreement, whether oral or written. This Agreement
supersedes any prior written or oral agreement between the parties.

Amendment. This Agreement may be modified or amended if the amendment is made in writing and
is signed by both parties.

Waiver of Contractual Right. The failure of either party to enforce any provision of this Agreement
shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and
compel strict compliance with every provision of this Agreement.

Applicable Law. This Agreement shall be governed by the laws of the Philippines.
