Franchise Agreement

This is the franchise agreement between Rotex Pharma with Mir Hamza Jabarkhil ltd.
Rotax Pharma plot No 206 & 207, Industrial Triangle Kahuta Road Islamabad-Pakistan is
Supplier of this Agreement Represented By its CEO Mr. Khwaja Umar Farooq & Mir Hamza
jabarkhil ltd 3rd Street Karte now Kabul Afghanistan is a Distributer of this Agreement which
is represented By CEO Mr. Mohammad Raees Jabarkhil.
This Agreement is made by 10th march 2019 and it’s Valid for 10 year and shall be renewed
at will of both parties.
In case of any Dispute Between both parties, the Arbitrator shall be appointed at Islamabad
by mutual agreement of both parties to settle the matter.
The rates would be as per enclosed list subject to change as per fluctuation in currency or
any overhead.

Duties & Responsibility of Each Parties:

Rotex Pharma
 Rotex Pharma is desirous of Exporting / Marketing Their Finished Pharmaceutical
Products, manufactured in Pakistan and of Pakistani Origin for the Afghanistan
Markets.
 Rotex Pharma will be paid to Mir Hamza all expenses of Registration & proforma fee
in Afghanistan Ministry of public Health in a three Purchasing Order.
 Rotex Pharma will be paid a salary of one Country Manager Monthly and Literature,
Samples and other Small Promotional Materials like Tissue, Pads, pen, Calendars.
 Rotex Pharma is Responsible of Prepare Stock to Submit to Mir Hamza in Peshawar
Pakistan and the Rent or other Charges & responsibility of this order from Company
to Peshawar is on Rotex pharma.
 Rotex Pharma is responsible of any Kind of Claims related to Quality of products in
the time of Quality Control at Ministry of Health in Afghanistan.
 Rotex Pharma will Supply to Mir Hamza all technical Support and Documents for
Ministry of health.
 Rotex Pharma Can Not Deal with any other person for Afghanistan Tell the contract
is Valid.
 The Orders will be Prepare from 15 Days to 20 Days.
 Mir Hamza Jabarkhil Ltd
 Mir Hamza will be gave quarterly basis Orders to Rotex pharma
 Mir Hamza is as a franchiser of Rotex Pharma in Afghanistan and it has responsible of
Sale & promotion of products.
 Mir Hamza will be paid the payment of Order to Rotex Cash.
 Mir Hamza try to achieve 30 Million PKR per year when achieve this target Rotex
must be paid a bonus to Mir Hamza and the bonus is must be equal to 5% of a total
target.
 Mir Hamza cannot sale the stock in a Pakistan.
