Payment method:
Option 1. Irrevocable Transferable Documentary Letter of Credit (DLC) for the contract period plus a
BG (the bank guarantee will have a validity of thirty-one (31) banking days). The BG will be activated in
monthly basis for the duration of the contract plus one month more than the whole period of the
contract. Payment via MT103 for each shipment against shipping documents.
Option 2. Irrevocable Transferable Standby Letter of Credit (SBLC) for the full value of the cargo,
activated monthly for the duration of the contract plus one month more than the whole period of the
contract. Payment via MT103 for each shipment against shipping documents.

PROCEDURE FOB:
1. The buyer issues company profile and an ICPO including complete bank details and a soft bank letter
confirming financial capacity. Upon acceptance, the buyer completes, signs and seals the Professional
Fee Agreement (NCNDA-IMFPA).
2. The seller issues FCO within 5 days. The buyer accepts or proposes amendments regarding the terms
and conditions of the FCO if required. The buyer writes his initials at the bottom of each page, signs and
seals the last page and sends the FCO to the seller in PDF format.
3. The seller emite draft contract (SPA) to the buyer.
4. The buyer returns the contract draft with possible amendments in word format.
5. The seller validates the modifications proposed by the buyer and returns the final contract in word.
6. The buyer writes his initials at the bottom of each page, signs and seals the last page and returns the
SPA to the seller in word format.
7. The seller signs the final contract and sends it via fax or email to the buyer in PDF format along with the
Proforma Invoice.
8. The seller sends proof of the product (POP) to the buyer
9. The buyer and the seller deposit a copy of the contract (SPA) and NCNDA-IMFPA in their respective
banks.
10. Within 5 business days the buyer's bank sends irrevocable, confirmed, transferable, operative SBLC (Top
Bank 25) to the seller's bank.
11. The seller issues 2% performance bond (PB) to activate the SBLC.
12. Seller arranges product delivery after seller's bank confirms SBLC.
13. The buyer or his representative is authorized to check the quality and quantity of the goods / product
before loading.
14. The seller delivers the product on the ship, terms FOB according to Incoterm 2010 in the port of origin.
15. SGS carry out the inspection (costs borne by the seller).
16. Seller directs B / L and all required documents including Commercial invoice to Buyer and Buyer's Bank.

17. The buyer pays 100% of the total value of the product for MT-103 to the seller's bank account (also
makes payment of professional fees to facilitators according to NCNDA-IMFPA). Against the
documentation of shipment and transfer of the Title of the Certificate of Property in the name of the buyer.
The buyer is responsible for customs clearance at the port of origin and issuance of the export
documents.
18. Subsequent monthly deliveries follow the logistics agreed in the contract.

)
PROCEDIMIENTO FOB:
1. El comprador emite perfil de empresa y una LOI o ICPO incluyendo datos bancarios completos y/o una
carta suave de ACREDITACION BANCARIA. Tras la aceptación, el comprador completa, firma y sella el
acuerdo de honorarios profesionales (NCNDA-IMFPA).
2. El vendedor emite a los 5 dias FCO. El comprador acepta o proponer enmiendas relativas a los términos
y condiciones de la FCO, si se requiere. El comprador escribe sus iniciales en el pie de cada pagina,
firma, sella la ultima pagina y remite la FCO al vendedor en PDF format.
3. El vendedor envía borrador del contrato (SPA) al comprador.
4. El comprador devuelve el borrador del contrato con posibles enmiendas en formato word.
5. El vendedor valida las modificaciones propuestas por el comprador y devuelve el contrato final en word.
6. El comprador escribe sus iniciales en la parte inferior de cada pagina, firma y sella la última página y
regresa el SPA al vendedor en word format.
7. El vendedor firma el contrato final y lo envia a través de fax o correo electronco al comprador en formato
PDF junto con la Factura Proforma.
8. El vendedor envía prueba del producto (POP) al comprador
9. El comprador y el vendedor depositan copia del contrato (SPA) y NCNDA-IMFPA en sus respectivos
bancos.
10. En el plazo de 5 dias laborales el banco del comprador envía irrevocable, confirmada, transferible,
operativa SBLC (Top Bank 25) al banco del vendedor.
11. El Vendedor emite 2% performance bond (PB) to activate the SBLC.
12. El vendedor organiza la entrega de producto después de que el banco del vendedor confirma SBLC.
13. El comprador o su representante está autorizado a comprobar la calidad y cantidad de los
bienes/producto antes de su carga.
14. El vendedor entrega el producto en el buque - FOB según Incoterm 2010 en el puerto de origen.
15. SGS lleba a cabo la inspección (costos a cargo del vendedor).
16. El Vendedor dirige B / L y todos los documentos requeridos incluyendo la factura Comercial al
Comprador y al Banco del Comprador.

17. El comprador paga el 100% del valor total del producto por MT-103 a la cuenta bancaria del vendedor
(igualmente realiza pago de honorarios profesionales a facilitadores según NCNDA-IMFPA). Contra la
documentació de embarque y transfierencia del Título del Certificado de Propiedad a nombre del
comprador. El comprador es responsable por la liberación aduanera en el puerto de origen y emision de
los documentos de exportación.
18. Las entregas mensuales subsecuentes siguen según la logistica acordada en el contrato.
