DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed is made and executed this _____ day of ______ 20___ by and between:

_____________________________, hereinafter referred to
as the “SELLER";

the “BUYER”;

WITNESSETH;

WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell a
condominium unit with the following description:

NOW THEREFORE, for and in consideration of the sum of


________________________________ (PHP ____________________), the SELLER
HEREBY SELLS, TRANSFERS, and CONVEYS unto the said BUYER, his heirs and
assigns, the UNIT subject to the following terms and conditions:

1. The BUYER shall pay the Capital Gains Tax, Real Property Tax, Documentary
Stamp Tax, Transfer Tax and all other taxes accruing on the above-described
UNIT after the execution of this Deed. The Real Property Tax accruing for the
year 2017 up to April 2019 shall be paid by the SELLER.

2. The BUYER shall be responsible for the payment of Registration Expenses,


processing costs and all other miscellaneous fees and expenses necessary to
transfer the title.

3. The SELLER shall execute and/or perform such other documents and/or other
acts necessary, incidental and/or desirable to carry out the purposes of this Deed.
To this effect, SELLER agrees to provide relevant documents which the BUYER
may need in the future.

4. The SELLER shall be released from any obligation arising from this Deed after
the SELLER has executed and forwarded to the BUYERS the key to the UNIT
and all the documents necessary to carry out the purposes of this Deed of
Absolute Sale.

5. The BUYER shall:

a. Receive and/or claim the Condominium Certificate of Title (CCT),


Tax Declaration (TD) and all other relevant documents from SMDC
with regard to the Unit.

b. Make, sign and execute any and all documents which may be
necessary for the release of the said CCT, TD and other relevant
documents.

c. Facilitate payments of taxes and all applicable fees;

d. Follow-up, sign and execute the necessary documents and papers for
the receipt of the title to the aforementioned condominium unit;

e. Do any and all acts necessary to transfer the title in his own name.

6. No term, provision, and/or condition of this Deed shall be deemed to have been
waived by either party, unless such waiver is in writing and duly signed by at least
one of the adverse parties.

7. The parties recognize that this Deed is strictly confidential. As such, the parties
undertake to keep its terms and conditions including the accompanying
documents and records, if any, strictly confidential in all respects and shall not
disclose any terms or provisions hereof to third parties or the public without the
prior consent of the other party.

8. The parties declare that they have read, understood and accepted this Deed and all
the terms hereof and it is mutually agreed that this Deed, its annexes and all
documents executed contemporaneously herewith state the entire agreement
between the parties; neither of the parties shall be bound by any stipulations,
representations, or premises not contained or incorporated herein, and this Deed
shall supersede any prior expressions of intent or understanding with respect to
this transaction.

9. If any provision in this Deed shall, to any extent, be declared illegal or invalid or
unenforceable by a court of competent jurisdiction, the remainder of this Deed
shall not be affected thereby and shall remain valid and enforceable to the fullest
extent permitted by law.
