TERMS AND CONDITIONS

‘‘नियम व शर्ते’’

SECTION 1:

1. Each field in this Direct Seller Application (the “Application”) is mandatory and required to be filled in English
by the applicant himself / herself who wishes to be appointed as Independent Direct Seller (also called
‘Independent Distributor’) of Dynamic Beneficial Accord Marketing Private Limited (hereinafter
“Company”). There is no sign up fees and signing up as Independent Distributor is free of cost.
2. By filing this Application, the applicant undertakes to be abide by the subsequent terms and conditions read with
the policies of the Company and the Direct Selling Guidelines published by the Ministry of Consumer Affairs
(“MCA”) in Official Gazette dated 26th October, 2016 (“Guidelines”) including any further amendments,
modification, or enactment of new legislation by Government of India. I shall sign and submit Independent
Distributor Contract with the Company alongwith my application.
3. This Application constitutes valid offer within the meaning of Section 10 of the Indian Contract Act, 1872, of the
undersigned, addressed to Company to enter into an Independent Distributor Contract with Company under the
subsequent Terms and Conditions specified.
4. The Independent Distributor of the Company understands that he/she is not an employee of the Company Dynamic
Beneficial Accord Marketing Private Limited, and there is no relationship of employee-employer between the
Independent Distributor and the Company. The Independent Distributor of the Company shall be considered as an
Independent Business Person starting the business with his / her free will and consent without any pressure, force
or persuasion from anyone.

खंड 1:
1. इस डायरे क्ट सेलर आवेदि (“आवेदि”) का प्रत्येक फ़ील्ड अनिवायय है, और इन्हें उस व्यनि द्वारा अंग्रेजी में स्वयं भरिा है जो
डायिेनमक बेनिफ़फ़नशयल एकॉडय माके टटंग प्राइवेट नलनमटेड (यहााँ से आगे "कं पिी" के रूप में संदर्भयर्त) के स्वर्तंत्र डायरे क्ट सेलर
(इन्हें ‘स्वर्तंत्र नडस्रीब्यूटर’ भी कहा जायेगा) पंजीकृ र्त होिा चाहर्ते हैं। इसके नलए कोई साइि-अप फ़ीस िहीं है और स्वर्तंत्र
नडस्रीब्यूटर के रूप में साइि-अप करिा पूरी र्तरह नििःशुल्क है।
2. इस आवेदि को भर कर आवेदक कं पिी की िीनर्तयों के साथ पठिर्त अिुवर्ती नियमों और शर्तों के साथ ही उपभोिा मामले मंत्रालय
(“एमसीए”) द्वारा फ़दिांक 26 अक्टू बर 2016 को सरकारी राजपत्र में प्रकानशर्त डायरे क्ट सेललंग फ़दशानिदेशों (“फ़दशानिदेश”) सनहर्त
फ़कसी भी भावी संशोधि, पठरवर्तयि या भारर्त सरकार द्वारा लागू फ़कए जािे वाले िए कािूि का पालि करिे का वचि देर्ता है। मैं
कं पिी के साथ स्वर्तंत्र नडस्रीब्यूटर कॉन्रैक्ट पर हस्र्ताक्षर कर उसे अपिे आवेदि के साथ सबनमट करूंगा/करूंगी।

3. यह आवेदि भारर्तीय संनवदा अनधनियम, 1872 की धारा 10 के अथों में अधोहस्र्ताक्षरी के वैध ऑफर प्रदाि करर्ता है, नजसे निर्दयष्ट
फ़कए गए अिुवर्ती नियमों और शर्तों के र्तहर्त कं पिी के साथ एक स्वर्तंत्र नडस्रीब्यूटर कॉन्रैक्ट र्तैयार करिे के नलए कं पिी को संबोनधर्त
फ़कया गया है।
4. कं पिी का स्वर्तंत्र नडस्रीब्यूटर समझर्ता है फ़क वह कं पिी डायिेनमक बेनिफ़फ़नशयल एकॉडय माके टटंग प्राइवेट नलनमटेड का एक कमयचारी
िहीं है, और यहााँ स्वर्तंत्र नडस्रीब्यूटर और कं पिी के मध्य कमयचारी-नियोिा का कोई संबंध लागू िहीं होर्ता। कं पिी के स्वर्तंत्र
नडस्रीब्यूटर को फ़कसी भी व्यनि से दबाव, बल या अिुिय के नबिा अपिी इच्छा और सहमनर्त से कारोबार शुरू करिे वाले स्वर्तंत्र
कारोबारी व्यनि के रूप में मािा जाएगा।

SECTION 2

1. The Independent Distributor understands that the Company is a direct-selling network marketing company dealing
in ready-made garments, fashion apparel and accessories. There is no membership fee, joining fee or renewal fee

 in the company. The Independent Distributors only pay for products and get a tax-paid invoice against their
purchases.
2. The Independent Distributor of the Company is above 18 years of age and has submitted true information and valid
documents in support of his / her particulars and that the Independent distributor undertakes full responsibility for
the genuinity of Identification Documents being submitted.
3. The Independent Distributor hereby authorize the Company to conduct e-KYC of his / her PAN, AADHAR and
Bank documents as submitted by him with the Company. I also agree and unconditionally authorize the Company
to send communication which will override DND registration.
4. The Independent Distributor of the Company certifies that the details filled in the Online Distributorship
Application (e-Form) on the company’s website for new Independent Distributors have been filled-in correctly and
have been thoroughly verified. Further, he / she takes full responsibility for any errors or omissions in these details.
The responsibility for correctness of these details will be both of the existing distributor as well as the prospective
distributor.
5. The Independent Distributor of the Company shall be liable to run his/ her business with due sincerity and honesty,
fair and in transparent manner in the best interest of both the parties. He/ she shall be further entitled to expand
his/her personal business by legal and ethical means only.
6. The Independent Distributor of the Company shall not indulge in any illegal activity which could cause
harm/damage/loss to the Company and further shall not sway other Independent Distributors by any means,
including by reducing the retail prices of the goods.
7. The Independent Distributor of the Company shall not force any new distributor / prospect to buy the goods from
the Company and shall explain to the prospect the business plan of the Company in the fairest and transparent
manner. He / she shall also educate each prospects about the 30 days’ Return and Refund Policy of the Company.
8. The Independent Distributor of the Company shall not claim himself / herself to be the Director / Officer or
Franchise Owner of the Company. Neither the Independent Distributor of the Company shall claim that he / she
has an agency of the Company and that he / she could make any other person also an agent of the Company.
9. The Independent Distributor of the Company shall not disclose the confidential plans of the Company to any other
adversary or competing Company and shall also not participate in any illegal business transactions or activities so
as to cause loss to the business or reputation of the Company. The Independent Distributor shall also not exaggerate
or manipulate the prices / quality / ranking / perfectness or stock conditions in order to sell the retail goods
successfully.
10. The Independent Distributor of the Company shall ensure complete secrecy of his / her Online Control Panel and
the data contained there-in; also he / she shall not share personal login / password with any third-party, company
or any other un-related individual or party whatsoever.
11. That the Independent Distributor of the Company shall not use company’s name or the name(s) of any of its brands
to advertise through any media (including but not limited to press, television, radio, Internet, etc.), to wrongfully
give an impression that the company provides any kind of regular jobs or accommodation, etc. Further, the
Independent Distributor or the Company cannot use the logo, name, address, etc. of the company or any of its
associated brands or branches for any means whatsoever without prior written agreement with the company.
12. The Independent Distributor of the Company shall not transfer the business supplement to obtain the benefit of
retail store and shall also not sell the goods at a price lower than the retail price in any of the retail stores. Further,
the Independent Distributor shall not list and sell products of the Company through any online / offline platform
such as retain shops or online stores.
13. The Independent Distributor of the Company shall be restrained from relabeling / repackaging the retail goods in
a manner similar to that of the Company and shall not infringe the copyright of the Company or its suppliers in
whatsoever manner.
14. The Independent Distributor of the Company shall not promote the goods of any other Company doing the business
similar to the Company and shall not persuade the customers to purchase products of other such companies and
further shall not sponsor them to approach other Direct Selling Companies.
15. The Independent Distributor of the Company shall not damage the reputation of the Company or its Administrators,
Staff or Distributors and shall not put his/her signatures (forgery) on any document so as to interfere in the
administrative work of the Company.

16. The Company reserves the absolute rights of admission in its premises. While visiting the Company premises, the
Independent Distributors and prospective distributors are required to carry appropriate Identification Documents
at all times and they may be physically frisked by security guards at any time in the company premises.
17. The Independent Distributor of the Company understands that all distributors will be treated equally and at par by
the company, regardless of their Business Volumes, Ranks, etc. Distributors having higher business volumes cannot
seek special privileges or treatment by the company and its staff, etc.
18. The Independent Distributor of the Company shall not claim himself / herself as friend / associate / acquaintance
of the Administrators / Directors / Staff of the Company in order to show special privilege and thus claim to affect
the business prospects.
19. The Independent Distributors of the Company shall not form unauthorized union and defame the Company or other
distributors or sway their distributors or interfere in the working of the system in whatsoever manner. No
Independent Distributor shall cause damage to the market reputation of the Company so as to cause business loss
of the Company.
20. The Independent Distributor undertakes that he / she will not do business with the company under more than one
FCID by falsely giving separate or fake IDs, Address or Age Proofs and / or concealing their identity or by using
different names and shall not run two networks simultaneously.
21. The Independent Distributor of the company declares its ‘Conflict of Interest’, that he / she has no “personal” links,
acquaintance or relations of any kind with any of Company’s staff members or their families / relations. In case
there is an existing relationship or acquaintance, it must be declared prior to starting business with the company,
and the company management will authorize such distributorship requests in its own discretion. Breach of these
terms will automatically terminate the distributorship.
22. The Independent Distributor of the Company shall not restrain any distributor to do business in his/her particular
but legal and ethical way and shall also not restrain him / her from leaving the network or encourage him / her to
leave the Company.
23. That in case of termination of his / her distributorship as per the provisions of Independent Distributor Contract,
the Independent Distributor of the Company shall be entitled to receive his/her bonus in the following month when
his/her distributorship ceases. He/she shall not be entitled to receive premiums, bonuses, royalty or commissions
of any levels generated thereafter, but shall be given the proportional profit acquired prior to the termination of
Distributorship. Any future bonus / profits / royalty / commissions shall be deemed to be cancelled. Further, in case
the termination of a particular Independent Distributor of the Company negatively affects the commission levels,
profits, royalty, etc. of other existing distributors, then any pre-paid additional amount shall be recovered from the
said Independent Distributor(s) as per the business plan, rules and regulations of the Company.
24. The Company shall be entitled to cancel / terminate the distributorship of any Independent Distributor in case it is
proven that he/she has failed to comply with the terms and conditions as set out herein or if there is any case against
the said Distributor of the Company in any Court of Law which may prevent him / her to continue with the business
or which may harm the Company’s reputation or good-will. The final decision in this regard shall solely be vested
with the Company’s Administration / Management. The Company may disable the distributorship of the
Independent Distributor at its sole discretion if the Independent Distributor fails to comply with the terms and
conditions mentioned here or in the Independent Distributor Contract and in such circumstances also, no distributor
benefits, commissions, royalty, etc. shall be provided to the such distributor.
25. The Independent Distributor of the Company will make the purchases from the money belonging to him / her and
not by availing any kind of loan from any person, Bank or financial institution. Further, he / she will not force or
persuade any other new entrant / existing distributor to take loan from any person / Bank / Financial Institution or
assure them that loan can be arranged for them at low interest rates. The Independent Distributors shall make it
sure that the prospective distributors have the permission of their parents / guardians / family before making any
purchases with the Company.
26. There shall be no cash dealings with any third party for and on behalf of the Company on any account whatsoever.
Any products being sold by the Independent Distributor to the customer must be accompanied with proper invoice.
27. Unless agreed otherwise in writing, the business and associated benefits are non-transferrable to any third person.
Effective from February 01, 2019, Business License (“FCID”) of Independent Distributors can be transferred only
to their nominee registered by them with the Company, subject to the terms and condition of ‘Independent
Business Owner’s License Transfer Policy’ of the Company as amended from time to time.

1. स्वर्तंत्र नडस्रीब्यूटर समझर्ता है फ़क कं पिी एक डायरे क्ट-सेललंग िेटवकय माके टटंग कं पिी है जो रे डीमेड कपड़ों, फै शि पठरधािों एवं
एक्सेसरीज़ के क्षेत्र में कारोबार करर्ती है। कं पिी में सदस्यर्ता के नलए, शानमल होिे के नलए या ठरन्यूअल के नलए कोई फीस िहीं है।
स्वर्तंत्र नडस्रीब्यूटर के वल उत्पाद के नलए भुगर्ताि करर्ते हैं, और अपिी खरीद के निनमत्त टै क्स-पेड इिवॉइस प्राप्त करर्ते हैं।
2. कं पिी के स्वर्तंत्र नडस्रीब्यूटर की उम्र 18 वर्य से अनधक है और उसिे अपिे ब्यौरों के समथयि में सही जािकारी एवं वैध दस्र्तावेज़
प्रदाि फ़कए हैं, और यह फ़क स्वर्तंत्र नडस्रीब्यूटर द्वारा प्रदाि फ़कए जािे वाले सभी पहचाि दस्र्तावेज़ों की प्रामानिकर्ता की पूरी
नज़म्मेदारी उिािे के नलए सहमर्त है।
3. स्वर्तंत्र नडस्रीब्यूटर एर्तदद्वारा कं पिी को प्रस्र्तुर्त फ़कए गए अपिे पैि, आधार एवं बैंक दस्र्तावेज़ों की
ई-के वाईसी करिे के नलए उसे प्रानधकृ र्त करर्ता है। मैं कं पिी को नबिा फ़कसी शर्तय एवं मेरे डीएिडी में रनजस्रेशि के पश्चार्त भी,
संचार/सूचिायें भेजिे के नलए प्रानधकृ र्त करर्ता हाँ/करर्ती हाँ।
4. कं पिी का स्वर्तंत्र नडस्रीब्यूटर यह प्रमानिर्त करर्ता है फ़क िए स्वर्तंत्र नडस्रीब्यूटरों के नलए कं पिी की वेबसाइट पर ऑिलाइि
नडस्रीब्यूटरनशप आवेदि (ई-फ़ॉमय) में भरे गए नववरि सही र्तरीके से भरे गए हैं और उन्हें पूरी र्तरह से सत्यानपर्त फ़कया गया है।
इसके अलावा, वह इि नववरिों में फ़कसी भी र्तरह की त्रुठट या चूक के नलए पूरी नज़म्मेदारी लेर्ता है। इि नववरिों की सत्यर्ता की
नज़म्मेदारी मौजूदा नडस्रीब्यूटर के साथ, भावी नडस्रीब्यूटर की भी होगी।
5. कं पिी का स्वर्तंत्र नडस्रीब्यूटर दोिों पक्षों के सवोत्तम नहर्त में पूरी गंभीरर्ता एवं ईमािदारी के साथ निष्पपक्ष एवं पारदशी र्तरीके से
अपिे व्यवसाय को संचानलर्त करे गा। वह के वल कािूिी एवं िैनर्तक माध्यमों से ही अपिे व्यनिगर्त व्यवसाय का नवस्र्तार करे गा।
6. कं पिी का स्वर्तंत्र नडस्रीब्यूटर ऐसी फ़कसी भी गैर-कािूिी गनर्तनवनध में शानमल िहीं होगा नजससे कं पिी को क्षनर्त/िु कसाि/हानि
पहाँचे, ि ही वह अन्य स्वर्तंत्र नडस्रीब्यूटरों पर उत्पादों की खुदरा कीमर्तें कम करिे सनहर्त फ़कसी भी अन्य माध्यम से उि पर दबाव
बिाएगा।
7. कं पिी का स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी िए/भावी नडस्रीब्यूटर पर कं पिी से माल खरीदिे के नलए दबाव िहीं डालेगा, और वह
सवयथा उनचर्त एवं पारदशी र्तरीके से कं पिी की व्यवसाय योजिा के बारे में भावी नडस्रीब्यूटरों को अवगर्त कराएगा। वह प्रत्ये क
भावी नडस्रीब्यूटर को कं पिी की 30 फ़दि की ठरटिय और ठरफ़ं ड िीनर्त के बारे में भी नशनक्षर्त करे गा।
8. कं पिी का स्वर्तंत्र नडस्रीब्यूटर अपिे आपको कं पिी का निदेशक / अनधकारी या फ्रैंचाइजी मानलक होिे का दावा िहीं करे गा। कं पिी
का स्वर्तंत्र नडस्रीब्यूटर ि र्तो यह दावा करे गा फ़क उसके पास कं पिी की एजेंसी है, और ि ही यह दावा करे गा फ़क वह फ़कसी अन्य
व्यनि को कं पिी का एजेंट बिा सकर्ता है।
9. कं पिी का स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी अन्य प्रनर्तद्वंद्वी या प्रनर्तस्पधी कं पिी के समक्ष कं पिी की गोपिीय योजिाओं का खुलासा िहीं
करे गा, और ि ही वह कं पिी के कारोबार या प्रनर्तष्ठा को िुकसाि पहंचािे वाले फ़कसी भी गैर -कािूिी व्यावसानयक लेिदेि या
गनर्तनवनध में शानमल होगा। स्वर्तंत्र नडस्रीब्यूटर खुदरा माल को सफलर्तापूवयक बेचिे के नलए उसकी कीमर्तों/ गुिवत्ता/ रैं किंकं ग/
उपयुिर्ता या स्टॉक नस्थनर्तयों के बारे में बढ़ा-चढ़ा कर िहीं बर्ताएगा या उिमें हेर-फे र िहीं करे गा।
10. कं पिी का स्वर्तंत्र नडस्रीब्यूटर अपिे ऑिलाइि कं रोल पैिल और उसमें निनहर्त डेटा की पूिय गोपनियर्ता सुनिनिर्त करे गा; और वह
फ़कसी भी वजह से फ़कसी भी र्तीसरे पक्ष, कं पिी या फ़कसी अन्य असंबंनधर्त व्यनि या पक्ष के साथ निजी लॉनगि / पासवडय साझा िहीं
करे गा।
11. यह फ़क कं पिी का स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी मीनडया (इसमें प्रेस, टेलीनवज़ि, रे नडयो, इं टरिेट, आफ़द शानमल हैं किंकं र्तु इि र्तक
सीनमर्त िहीं) के माध्यम से नवज्ञापि करिे के नलए कं पिी के िाम या इसके फ़कसी भी ब्ांड के िाम का उपयोग िहीं करे गा, नजिसे
यह गलर्त छनव बिर्ती हो फ़क कं पिी द्वारा फ़कसी भी प्रकार की नियनमर्त िौकरी या आवास व्यवस्था, आफ़द प्रदाि की जार्ती है। इसके
अलावा, कं पिी का स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी माध्यम या र्तरीके से कं पिी के साथ पूवय नलनखर्त अिुबंध के नबिा कं पिी या इसके
फ़कसी भी सहयोगी ब्ांड या शाखा के लोगो, िाम, पर्ता, आफ़द का उपयोग िहीं करे गा।

12. कं पिी का स्वर्तंत्र नडस्रीब्यूटर ठरटे ल स्टोर के लाभ प्राप्त करिे के नलए नबजिेस सनललमेंट को रांसफ़र िहीं करे गा, और ि ही फ़कसी
भी ठरटेल स्टोर में खुदरा मूल्य से कम कीमर्त पर वस्र्तुओं को बेचेगा। इसके अलावा, स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी
ऑिलाइि/ऑफ़लाइि ललेटफ़ॉमय जैसे फ़क ठरटेल शॉप या ऑिलाइि स्टोर पर ि र्तो कं पिी के उत्पाद सू चीबद्ध करे गा और ि ही इिके
माध्यम से बेचेगा।
13. कं पिी का स्वर्तंत्र नडस्रीब्यूटर कं पिी या कं पिी के जैसे ही खुदरा वस्र्तुओं की री-लेबललंग/री-पैकेलजंग करिे के नलए प्रनर्तबंनधर्त होगा,
और वह फ़कसी भी र्तरीके से कं पिी या इसके सललायरों के कॉपीराइट का उल्लंघि िहीं करे गा।
14. कं पिी का स्वर्तंत्र नडस्रीब्यूटर कं पिी के जैसा कारोबार करिे वाली फ़कसी भी अन्य कं पिी की वस्र्तुओं को बढ़ावा िहीं देगा, और ि
ही ऐसी अन्य कं पनियों के उत्पाद खरीदिे के नलए ग्राहकों को प्रेठरर्त करे गा, इसके अलावा, वह उन्हें अन्य डायरे क्ट सेललंग कं पनियों
से संपकय करिे के नलए स्पॉन्सर िहीं करे गा।
15. कं पिी का स्वर्तंत्र नडस्रीब्यूटर कं पिी या इसके प्रशासकों, कमयचाठरयों या नडस्रीब्यूटरों की प्रनर्तष्ठा को िुकसाि िहीं पहंचाएगा, और
ि ही वह फ़कसी भी दस्र्तावेज़ पर (जाली) हस्र्ताक्षर करे गा नजससे फ़क कं पिी के प्रशासनिक कायों में फ़कसी भी प्रकार का हस्र्तक्षेप हो।
16. कं पिी अपिे पठरसर में प्रवेश देिे का पूिय अनधकार सुरनक्षर्त रखर्ती है। कं पिी के पठरसर में आिे पर, स्वर्तंत्र नडस्रीब्यू टर और भावी
नडस्रीब्यूटरों के नलए आवश्यक है फ़क वे पठरसर में अपिी मौजूदगी के दौराि हर समय उपयुि पहचाि दस्र्तावेज़ धारि करें , और
यह भी ध्यार्तव्य है फ़क कं पिी पठरसर में उिकी मौजूदगी के दौराि फ़कसी भी समय सुरक्षा गाडों द्वारा उिकी र्तलाशी ली जा सकर्ती
है।
17. कं पिी का स्वर्तंत्र नडस्रीब्यूटर समझर्ता है फ़क कं पिी द्वारा सभी नडस्रीब्यूटरों के साथ एक जैसा और समाि व्यवहार फ़कया जाएगा,
भले ही उिके कारोबार का दायरा, रैं क, आफ़द कु छ भी क्यों ि हो। नडस्रीब्यूटर नजिका कारोबार अन्य की अपेक्षा अनधक है, कं पिी
या इसके कमयचाठरयों, आफ़द से फ़कसी भी प्रकार की नवशेर् सुनवधा या व्यवहार फ़कए जािे की मांग िहीं रख सकर्ते।
18. कं पिी का स्वर्तंत्र नडस्रीब्यूटर अपिा रौब गााँििे के नलए कं पिी के प्रशासकों/ निदेशकों/ कमयचाठरयों का नमत्र/ सहयोगी/ पठरनचर्त
होिे का दावा िहीं करे गा, और इस प्रकार व्यापार की संभाविाओं को प्रभानवर्त करिे का दावा िहीं करे गा।
19. कं पिी का स्वर्तंत्र नडस्रीब्यूटर अिनधकृ र्त रूप से यूनियि िहीं बिाएगा, और ि ही कं पिी या अन्य नडस्रीब्यूटरों की मािहानि करे गा,
ि ही अपिे नडस्रीब्यूटरों को प्रभानवर्त करे गा, ि ही फ़कसी भी र्तरीके से नसस्टम की काययप्रिाली में हस्र्तक्षेप करे गा। कोई भी स्वर्तंत्र
नडस्रीब्यूटर कं पिी की बाज़ार प्रनर्तष्ठा को िुकसाि िहीं पहंचाएगा नजससे फ़क कं पिी को फ़कसी भी र्तरह की व्यापार हानि हो।
20. स्वर्तंत्र नडस्रीब्यूटर वचि देर्ता है फ़क वह गलर्त ढंग से अलग-अलग या जाली आईडी, पर्ता या उम्र का साक्ष्य प्रदाि कर और/या अपिी
पहचाि नछपाकर या अलग िामों का इस्र्तेमाल कर, एक से ज्यादा एफ़सीआईडी से कं पिी के साथ व्यवसाय िहीं करे गा, और वह
एक साथ दो िेटवकय संचानलर्त िहीं करे गा।
21. कं पिी का स्वर्तंत्र नडस्रीब्यूटर 'नहर्तों का टकराव’ के संबंध में घोर्िा करर्ता है फ़क उसका कं पिी के फ़कसी भी स्टाफ सदस्य या उसके
पठरवार/ठरश्र्तेदारों से फ़कसी भी प्रकार का कोई भी “व्यनिगर्त” संपकय , पठरचय या संबंध िहीं है। अगर पहले से कोई संबंध या पठरचय
मौजूद है र्तो कं पिी के साथ व्यवसाय आरं भ करिे से पहले उसे घोनर्र्त करे गा, और र्तब कं पिी प्रबंधि अपिे स्वेच्छा से, ऐसे
नडस्रीब्यूटरनशप अिुरोधों को प्रानधकृ र्त करे गा। इि शर्तों का उल्लंघि करिे पर नडस्रीब्यूटरनशप स्वर्तिः समाप्त हो जाएगी।
22. कं पिी का स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी नडस्रीब्यूटर को कािूिी और िैनर्तक र्तरीके से स्वयं के ब्यौरे के साथ कारोबार करिे से
प्रनर्तबंनधर्त िहीं करे गा, और वह उन्हें िेटवकय छोड़िे से भी िहीं रोके गा, ि ही कं पिी छोड़िे के नलए प्रोत्सानहर्त करे गा।
23. यह फ़क स्वर्तंत्र नडस्रीब्यूटर अिुबंध के प्रावधािों के अिुसार अपिी नडस्रीब्यूटरनशप समाप्त होिे पर, कं पिी का स्वर्तंत्र नडस्रीब्यूटर
उसकी नडस्रीब्यूटरनशप समाप्त फ़कए जािे के अगले महीिे में अपिा बोिस प्राप्त करिे का हकदार होगा। वह उसके बाद जिरे ट हए
फ़कसी भी लेवल का प्रीनमयम, बोिस, रॉयल्टी या कमीशि पािे का हकदार िहीं होगा, लेफ़कि उसे नडस्रीब्यूटरनशप की समानप्त से
पहले अर्जयर्त लाभ यथािुपार्त दर पर फ़दए जाएंगे। फ़कसी भी भावी बोिस/ मुिाफ़ा/ रॉयल्टी/ कमीशि को निरस्र्त मािा जाएगा।
आगे, कं पिी के फ़कसी नवशेर् स्वर्तंत्र नडस्रीब्यूटर की समानप्त से अन्य मौजूदा नडस्रीब्यूटरों के कमीशि लेवल, मुिाफ़ा, रॉयल्टी, आफ़द

 िकारात्मक रूप से प्रभानवर्त होर्ते हैं, र्तो कं पिी की व्यवसाय योजिा, नियमों और नवनियमों के अिुसार कनथर्त स्वर्तंत्र नडस्रीब्यूटर(रों)
से ऐसे फ़कसी भी पूवय में भुगर्ताि की गई अनर्तठरि रानश की वसूली की जाएगी।
24. अगर यह सानबर्त होर्ता है फ़क कोई स्वर्तंत्र नडस्रीब्यूटर यहााँ उनल्लनखर्त नियमों और शर्तों का अिुपालि करिे में नवफल रहर्ता है , या
अगर फ़कसी भी न्यायालय में कं पिी के उि नडस्रीब्यूटर के नखलाफ़ कोई ऐसा मुकदमा चल रहा है जो उसे अपिा व्यवसाय जारी
रखिे से रोक सकर्ता हो या जो कं पिी की प्रनर्तष्ठा या साख को िुकसाि पहंचा सकर्ता हो, र्तो कं पिी को उस स्वर्तंत्र नडस्रीब्यूटर की
नडस्रीब्यूटरनशप रद्द/समाप्त करिे का अनधकार होगा। इस संबंध में अंनर्तम निियय पूरी र्तरह से कं पिी के प्रशासि/प्रबंधि पर निभयर
होगा। अगर स्वर्तंत्र नडस्रीब्यूटर यहााँ अथवा स्वर्तंत्र नडस्रीब्यूटर कॉन्रैक्ट में उनल्लनखर्त नियमों और शर्तों के अिु पालि में नवफल
रहर्ता है, र्तो कं पिी अपिे पूिय नववेकानधकार में स्वर्तंत्र नडस्रीब्यूटर की नडस्रीब्यूटरनशप को अक्षम कर सकर्ती है, और ऐसी
पठरनस्थनर्तयों में वैसे नडस्रीब्यूटर को कोई भी नडस्रीब्यूटर लाभ, कमीशि, रॉयल्टी, आफ़द प्रदाि िहीं फ़कया जाएगा।
25. कं पिी का स्वर्तंत्र नडस्रीब्यूटर स्वयं की धिरानश से ही खरीद करे गा, ि फ़क फ़कसी व्यनि, बैंक या नवत्तीय संस्था से फ़कसी भी प्रकार
ऋि लेकर। आगे, वह फ़कसी भी अन्य िए/ मौजूदा नडस्रीब्यूटर को फ़कसी व्यनि/ बैंक/ नवत्तीय संस्था से ऋि लेिे के नलए ि र्तो
दबाव डालेगा और ि ही फु सलाएगा, या आश्वासि देगा फ़क वह उन्हें कम ब्याज दरों पर ऋि फ़दला सकर्ता है। स्वर्तंत्र नडस्रीब्यूट र
यह सुनिनिर्त करे गा फ़क भावी नडस्रीब्यूटरों िे कं पिी से कोई भी खरीद करिे से पहले अपिे मार्ता-नपर्ता/ अनभभावक/ पठरवार की
अिुमनर्त ली है।
26. फ़कसी भी कारि से कं पिी के नलए या कं पिी की ओर से फ़कसी भी र्तीसरे पक्ष के साथ कोई भी िकद लेिदेि िहीं करे गा। स्वर्तंत्र
नडस्रीब्यूटर ग्राहक को बेचे गये उत्पाद के साथ उपयुि इिवॉइस जारी करे गा।
27. कं पनी की लिलित सहमलत के लिना, कारोबार और उससे संबंनधर्त लाभ फ़कसी भी र्तीसरे व्यनि को हसतांतरित नहीं ककये जा सकते
हैं। 01 फिविी, 201 9 से सवतंत्र लिसरीब्यूटसस के िाइसेंस ("एफसीआईिी"), सवयं इं लिपेंिेंट लिसरीब्यूटि के द्वािा नामांककत व्यलि
को ही ककया जा सकता है औि ये हसतान्तिण समय-समय पि संशोलित कं पनी की 'सवतंत्र व्यापाि मालिक के िाइसेंस हसतान्तान्तिण
नीलत' के लनयम औि शतों के अिीन होगा |

SECTION 3

1. That the Independent Distributor will not misguide prospective distributors by persuading him / her to purchase
bulk products which he /she is not able to sell in stipulated time or purchase lesser stock & increase the purchase
gradually. He / she isn’t liable to purchase a definite amount.
2. The Independent Distributors shall not mislead any prospective distributors by misrepresenting facts about the
company. He / she will not make any false promises related to making quick and easy money and also not adopt
any mischievous means to bring new prospective distributors. Further, the Independent Distributor of the Company
fully understands that his / her income is earned in the form of discounts / commissions from the company and is
not his / her regular source of income, neither have they been promised or committed any such thing by the
Company, its management, staff, any existing distributors, etc. nor have they been induced so on behalf of them
for making such purchases which would yield them any regular income.
3. The Independent Distributor of the Company fully understands the Cooling Off period available to the Independent
Distributor during which the Independent Distributor can terminate his / her contract with the Company.
4. The Independent Distributor fully understands about the 30 days’ Return and Refund policy available with every
purchase being purchased from the Company and undertakes to be abide by the same. Any product returns would
be accepted strictly within 30 days from the date of purchase, provided they are in perfect saleable condition
(unused, undamaged, sealed in their original packing) with all tags and labels. The return, replacement and refund
shall be governed as per the Return and Refund Policy.
5. The Independent Distributor is fully aware about Return to Origin (RTO) Policy of the Company. He / she
undertakes to accept the delivery of the products ordered by him / her.

6. The Independent Distributor is aware about the Customer Care number, email ID and have all details about the
grievance redressal mechanism of the Company.
7. The Independent Distributor of the Company himself / herself shall be liable for the payment of all taxes / fees,
etc. to appropriate Government authorities, payable in connection with or incidental to upon becoming an
Independent Distributor of the Company.
8. The Independent Distributors shall not be entitled for any costs incurred on new prospects for training, advertising,
social engagements or other such programs. The Independent Distributor of the company shall not pay to or charge
from anyone unofficially in the name of training, promotion in network or for any favour or purpose whatsoever.
Distributorship shall be terminated forthwith in case of breach of these terms.
9. These terms and conditions shall be applicable to all the Independent Distributors of the Company and the Company
shall be entitled to amend the same without any direct personal notice other than an official notification regarding
the said amendments.
10. The Independent Distributors have read and understood these terms and conditions and ensure that the same will
be cascaded to every prospects in clear, crisp, transparent and fair manner in their mother tongue.

खंड 3
1. स्वर्तंत्र नडस्रीब्यूटर फ़कसी निधायठरर्त समय में भावी नडस्रीब्यूटरों द्वारा बेचिे में सक्षम ि होिे पर भी उन्हें थोक में उत्पाद खरीदिे
या कम माल खरीदिे और धीरे धीरे खरीद बढ़ािे के नलए राजी िहीं करे गा। वह एक निनिर्त रानश की खरीद करिे के नलए बाध्य
िहीं है।
2. स्वर्तंत्र नडस्रीब्यूटर फ़कसी भी भावी नडस्रीब्यूटर को कं पिी के बारे में गलर्त र्तथ्य बर्ताकर गुमराह िहीं करे गा। वह र्तेजी और आसािी
से धि कमािे से संबंनधर्त कोई भी झूिा वादा िहीं करे गा, ि ही िए भावी नडस्रीब्यूटर बिािे के नलए फ़कसी हानिकारक माध्यम को
अपिाएगा। आगे, कं पिी का स्वर्तंत्र नडस्रीब्यूटर पूरी र्तरह से समझर्ता है फ़क उसकी आय कं पिी से प्राप्त छू ट/कमीशि के रूप अर्जय र्त
आय है और यह उसकी आय का नियनमर्त स्रोर्त िहीं है, ि ही उसे कं पिी, इसके प्रबंधि, कमयचारी, फ़कसी भी मौजूदा नडस्रीब्यूटर,
आफ़द द्वारा ऐसी फ़कसी भी चीज के नलए कोई वादा या आश्वासि फ़दया गया है, और ि ही इिकी ओर से ऐसी फ़कसी खरीद के नलए
प्रेठरर्त फ़कया गया है नजससे उन्हें (यािी स्वर्तंत्र नडस्रीब्यूटर को) फ़कसी भी प्रकार नियनमर्त आय प्राप्त हो।
3. कं पिी का स्वर्तंत्र नडस्रीब्यूटर पूरी र्तरह से समझर्ता है फ़क उसके नलए कू ललंग ऑफ़ पीठरयड (उपशमि अवनध) उपलब्ध है नजसके
दौराि वह (यािी स्वर्तंत्र नडस्रीब्यूटर) कं पिी के साथ अपिे कॉन्रैक्ट को समाप्त कर सकर्ता है।
4. स्वर्तंत्र नडस्रीब्यूटर कं पिी से क्रय की जािे वाले वाली प्रत्येक खरीद के नलए 30 फ़दिों की ठरटिय और ठरफ़ं ड िीनर्त के बारे में पूरी
र्तरह से समझर्ता है और वह उसका पालि करिे का वचि देर्ता है। फ़कसी भी उत्पाद की वापसी खरीद की र्तारीख से 30 फ़दिों के
भीर्तर ही स्वीकृ र्त की जाएगी, बशर्ते फ़क वे सभी टैग और लेबलों के साथ उपयुि ढंग से नवक्रय करिे योग्य नस्थनर्त में हो (अप्रयुि,
अक्षनर्तग्रस्र्त, अपिी मूल पैकिंकं ग में सीलबंद हों)। सभी वापसी, ठरललेसमेंट और ठरफ़ं ड को ठरटिय और ठरफ़ं ड िीनर्त के अिुसार नियंनत्रर्त
फ़कया जाएगा।
5. स्वर्तंत्र नडस्रीब्यूटर कं पिी की ठरटिय-टू -ओठरनजि (आरटीओ) िीनर्त के बारे में पूरी र्तरह से अवगर्त है। वह स्वयं द्वारा ऑडयर फ़कए गए
उत्पादों की सुपुदग
य ी स्वीकार करिे का वचि देर्ता है।
6. स्वर्तंत्र नडस्रीब्यूटर कस्टमर के यर िंबर, ईमेल आईडी से अवगर्त है और उसके पास कं पिी के नशकायर्त निवारि र्तंत्र के बारे में सभी
नववरि मौजूद हैं।
7. कं पिी का स्वर्तंत्र नडस्रीब्यूटर उपयुि सरकारी प्रानधकाठरयों को उि सभी करों/शुल्कों, आफ़द का भुगर्ताि करिे के नलए उत्तरदायी
होगा जो कं पिी का एक स्वर्तंत्र नडस्रीब्यूटर बििे के संबंध में देय या आकनस्मक है।
8. स्वर्तंत्र नडस्रीब्यूटर प्रनशक्षि, नवज्ञापि, सामानजक सहभानगर्ता या ऐसे अन्य काययक्रमों के नलए िए भावी नडस्रीब्यूटरों पर खचय की
गई फ़कसी भी रानश को पािे का हकदार िहीं है। कं पिी का स्वर्तंत्र नडस्रीब्यूटर प्रनशक्षि, िेटवकय में पदोन्ननर्त के िाम से या फ़कसी
पक्षपार्त या अन्य फ़कसी भी कारि से अिानधकाठरक रूप से फ़कसी भी व्यनि से कोई भी शुल्क वसूल या भुगर्ताि िहीं करे गा। इि
शर्तों का उल्लंघि फ़कए जािे पर नडस्रीब्यूटरनशप र्तत्काल समाप्त कर दी जाएगी।

9. ये नियम और शर्तें कं पिी के सभी स्वर्तंत्र नडस्रीब्यूटरों पर लागू होंगी, और कं पिी के पास व्यनिगर्त रूप से कोई भी सीधी सूचिा
फ़दए नबिा इन्हें संशोनधर्त करिे का अनधकार होगा, नजसकी सूचिा कं पिी अनधकृ र्त माध्यम से प्रकानशर्त करे गी।
10. स्वर्तंत्र नडस्रीब्यूटरों िे इि नियमों और शर्तों को पढ़ व समझ नलया है, और सुनिनिर्त करर्ते हैं फ़क वे प्रत्येक भावी नडस्रीब्यूटर को
उिकी व्यवहाठरक भार्ा में स्पष्टर्ता के साथ नवस्र्तारपूवयक, पारदशी और यथोनचर्त र्तरीके से बर्ताएाँगे।

SECTION 4

I have read and understood the above terms and conditions mentioned in Section 1 to Section 3 and hereby
unconditionally and irrevocably confirm the following:

1. I am providing my personal information and interested in enrolling myself as independent Distributor with
Company and the Sponsor has agreed to use his/her FCID for the same.
2. I am also aware that the Company is not providing any job to me and also understand that the Company deals in
quality products by using direct selling strategy to promote and sale of its products through its Independent
Distributors. I also understand that Company never provide any investment opportunity or offer guaranteed income
or return.
3. I confirm that I am aware about the business opportunities with the Company where I can purchase the products in
multiple tranches as per my own flexibility for self-consumption or resale.
4. I understand that there is no joining, training or renewal fees and I have not paid any sum to anyone including the
Company on account of my joining, training, or renewal as an independent Distributor of Company.
5. I am aware that business incentives shall be payable to me on sales of products and not by enrolling new members.
6. Decision to do business with Company is solely vested in me and by joining Company as independent Distributor
I have not been forced, misled or coerced to make any purchase of the products.
7. I understand that my appointment as independent Distributor of Company will be on principal to principal basis
and I am aware that I am neither employee nor an agent of Company.
8. I have been Provided with and I have undergone free Orientation Program which has provided fair and accurate
information on all aspects of Company’s direct selling operations, about free joining, its incentives system, policies
on Return and Refund within 30 days’, Return to Origin, expected business incentives and related rights and
obligations as governed under the policies of Company read with the Guidelines of Ministry of Consumer Affairs,
as amended or modified from time to time;
9. I further understand that this application and any ensuing Company Distributorship upon acceptance of this
application by Company shall be subject to the above Terms and Conditions, my Independent Distributor Contract
and other applicable policies of the Company including the constituent documents as amended from time to time.
10. I confirm and undertake to keep my details updated with the Company in case of any subsequent change in future.
11. I understand and agree that my information provided in connection herewith shall be used in accordance with
applicable laws in India.
12. I have read and understood the business guidelines and code of ethics of the Company and I shall be abiding by
them.
13. I am signing this application under my own free will and the information are true and correct.
14. I agree to sign each page of the Form and Direct Seller’s Contract for sending it alongwith self-attested copy of
AADHAR, Cancelled Cheque or Bank Passbook, domicile certificate (in case of resident of J&K), to the Company
at address mentioned on application form within 10 days from the date of sign-up.
15. I am aware that the Distributorship with the Company shall be subject to receipt of complete Documents and
successful verification. The Company reserves the right to reject the application for any reason and to terminate or
revoke distributorship for any reasons including but not limited to provision of incomplete, inaccurate, false or
misleading information.
16. I hereby grant my consent to the Company for conducting e-KYC for authentication of my documents including
AADHAR and PAN.

 17. By signing up, I expressly authorize the Company, which will override my DND registration, to send
communications on my mobile.

मैंिे खंड 1 से खंड 3 में वर्ियर्त उपरोि नियमों औए शर्तों को पढ़ और समझ नलया है, और मैं एर्तदद्वारा नबिा शर्तय और अपठरवर्तयिीय रूप
से निम्ननलनखर्त की पुनष्ट करर्ता/करर्ती हाँ:
1. मैं अपिी व्यनिगर्त जािकारी प्रदाि कर रहा/रही हाँ और स्वयं को कं पिी के साथ स्वर्तंत्र नडस्रीब्यूटर के रूप में िामां फ़कर्त करिा
चाहर्ता/चाहर्ती हाँ, और स्पॉन्सर िे इसके नलए अपिी एफ़सीआईडी का उपयोग करिे की सहमनर्त दे दी है।
2. मैं इस बार्त से भी अवगर्त हाँ फ़क कं पिी मुझे कोई िौकरी प्रदाि िहीं करर्ती है, और यह भी समझर्ता/समझर्ती हाँ फ़क कं पिी अपिे
स्वर्तंत्र नडस्रीब्यूटरों के माध्यम से अपिे उत्पादों के प्रचार और नबक्री के नलए डायरे क्ट सेललंग काययिीनर्त का उपयोग कर गुिवत्तापूिय
उत्पादों का कारोबार करर्ती है। मैं यह भी समझर्ता/समझर्ती हाँ फ़क कं पिी कभी भी कोई निवेश अवसर प्रदाि िहीं करर्ती, ि ही
गारं टीशुदा आय या ठरटिय की पेशकश करर्ती है।
3. मैं पुनष्ट करर्ता/करर्ती हाँ फ़क मैं कं पिी के साथ उि कारोबारी अवसरों के बारे में अवगर्त हाँ जहां मैं स्वयं के उपयोग या पुि र्बयक्री के
नलए अपिी सुनवधा के अिुसार एक से अनधक फ़कश्र्तों में उत्पादों की खरीद कर सकर्ता/सकर्ती हाँ।
4. मैं समझर्ता/समझर्ती हाँ फ़क जॉइलिंग, प्रनशक्षि या ठरन्यूअल के नलए कोई शुल्क िहीं नलया जार्ता है, और मैंिे कं पिी के एक स्वर्तं त्र
नडस्रीब्यूटर के रूप में जॉइलिंग, प्रनशक्षि या ठरन्यूअल के नलए कं पिी सनहर्त फ़कसी को भी कोई धिरानश का भुगर्ताि िहीं फ़कया है।
5. मैं अवगर्त हाँ फ़क मुझे उत्पादों की नबक्री पर नबजिेस इन्सेंठटव का भुगर्ताि फ़कया जाएगा और िए सदस्यों को िामांफ़कर्त करके िहीं।
6. कं पिी के साथ कारोबार करिे का निियय पूरी र्तरह मुझ पर निभयर है, और कं पिी में स्वर्तंत्र नडस्रीब्यूटर के रूप में जॉइि करिे के
नलए मुझे फ़कसी भी उत्पाद की खरीद करिे के नलए मजबूर, गुमराह या बाध्य िहीं फ़कया गया है।
7. मैं समझर्ता/समझर्ती हाँ फ़क कं पिी में एक स्वर्तंत्र नडस्रीब्यूटर के रूप में मेरा पंजीकरि (नबिा फ़कसी एजेंट या नबचौनलये के ) प्रत्यक्ष
आधार पर होगा, और मैं अवगर्त हाँ फ़क मैं ि र्तो कं पिी का कमयचारी हाँ, ि ही एक एजेंट हाँ।
8. मुझे एक नििःशुल्क ओठरएंटेशि काययक्रम द्वारा कं पिी के डायरे क्ट सेललंग संचालि के सभी पहलुओं जैसे फ़क नििःशुल्क जॉइलिंग, इसकी
इन्सेंठटव प्रिाली, 30 फ़दिों के भीर्तर ठरटिय और ठरफ़ं ड की िीनर्तयों, ठरटिय -टू -ओठरनजि की िीनर्त, अपेनक्षर्त नबजिेस इन्सेंठटव और
समय-समय पर यथासंशोनधर्त या पठरवर्र्तयर्त उपभोिा मामले मंत्रालय के फ़दशानिदेशों के साथ पठिर्त कं पिी की िीनर्तयों के र्तहर्त
नियंनत्रर्त होिे वाले संबंनधर्त अनधकारों एवं दानयत्वों के बारे में उनचर्त एवं सही जािकारी प्रदाि की है;
9. मैं आगे समझर्ता/समझर्ती हाँ फ़क यह आवेदि और कं पिी द्वारा इस आवेदि की स्वीकृ नर्त पर कोई भी जारी की जािे वाली कं पिी
नडस्रीब्यूटरनशप उपरोि नियमों और शर्तों, मेरे स्वर्तंत्र नडस्रीब्यूटर कॉन्रैक्ट र्तथा समय-समय पर यथासंशोनधर्त घटक दस्र्तावेज़ों
सनहर्त कं पिी की अन्य लागू िीनर्तयों के नवर्याधीि होगी।
10. मेरे नववरि में भनवष्पय में, कोई भी बदलाव होिे पर कं पिी के साथ अपिा नववरि अपडेट करिे का वचि देर्ता/देर्ती हाँ।
11. मैं समझर्ता/समझर्ती हाँ और सहमर्त हाँ फ़क इसके संबंध में प्रदाि की गई मेरी जािकारी का उपयोग भारर्त में लागू कािूिों के अिुसार
फ़कया जाएगा।
12. मैंिे व्यवसाय फ़दशानिदेशों और कं पिी की आचार संनहर्ता को पढ़ और समझ नलया है और मैं उिका पालि करूंगा/करूंगी।
13. मैं इस आवेदि पर स्वेच्छापूवयक हस्र्ताक्षर कर रहा/रही हाँ, और इसमें दी गई जािकारी सत्य और सही है।
14. मैं फ़ॉमय और डायरे क्ट सेलसय कॉन्रैक्ट के प्रत्येक पृष्ठ पर हस्र्ताक्षर करके और इसे आधार, कैं नसल चेक या बैंक पासबुक, निवास
प्रमािपत्र (अगर जम्मू एवं कश्मीर के निवासी हैं) की स्वयं प्रमानिर्त प्रनर्त के साथ इसे आवेदि फ़ॉमय में उनल्लनखर्त पर्ते पर कं पिी को
साइि-अप की र्तारीख से 10 फ़दिों के भीर्तर भेजिे के नलए सहमर्त हाँ।

15. मैं अवगर्त हाँ फ़क कं पिी के साथ नडस्रीब्यूटरनशप, सम्पूिय दस्र्तावेज़ों की प्रानप्त और सफल सत्यापि के अधीि होगी। कं पिी के पास
फ़कसी भी कारि से आवेदि को अस्वीकार करिे, और अपूिय, असत्य, गलर्त या भ्रामक जािकारी के प्रावधाि सनहर्त, किंकं र्तु इि र्तक ही
सीनमर्त िहीं, फ़कसी भी कारि से फ़कसी भी नडस्रीब्यूटरनशप को निलंनबर्त या रद्द करिे का अनधकार सुरनक्षर्त है।

17. साइि-अप करके , मैं स्पष्ट रूप से कं पिी को मेरे मोबाइल पर संचार भेजिे के नलए अनधकृ र्त करर्ता/करर्ती हाँ, जो फ़क मेरे डीएिडी
रनजस्रेशि को ओवरराइड करे गा।
