MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made and entered into by and between:

SAINT JOSEPH INSTITUTE OF TECHNOLOGY, a non-sectarian, non-profit educational institute,


duly organized and exciting under Philippine laws with office business address at Montilla
Boulevard cor. T. Calo Street, Butuan City, represented herein by its CEO/President, DR. LETECIA
C. SALAS, hereinafter referred to as the FIRST PARTY.

and

_________________________, a domestic organization/agency duly organized and existing


under Philippine laws with office/business address at _____________________, represented
herein by ________________, hereinafter referred to as the SECOND PARTY.

Witnesseth:

The parties, acting in their above mentioned capacities, hereby state that:

WHEREAS, the FIRST PARTY shall be responsible for briefing the On-the-job student
trainees who intend to conduct practicum exposure in the SECOND PARTY as a part of the First
Party’s curriculum;

WHEREAS, the FIRST PARTY shall provide the On-the-job student trainee the basic
orientation on work values, behavior and discipline to ensure smooth cooperation with the
SECOND PARTY;

WHEREAS, the FIRST PARTY shall issue an official endorsement vouching for the well
being of the On-the-Job student trainee which shall be used by the SECOND PARTY for processing
the application of the student-trainee;

WHEREAS, the FIRST PARTY shall voluntarily withdraw a student-trainee who is found to
misbehave and/or act in defiance to existing standards, rules and regulations of the SECOND
PARTY and impose necessary FIRST PARTY sanctions to the said student-trainee;

WHEREAS, the SECOND PARTY as the training venue of the FIRST PARTY’s On-the-Job
student-trainees must provide relevant training aligned with his field specialization;

WHEREAS, the SECOND PARTY shall report to the FIRST PARTY any untoward or
undesirable attitude shown by the student-trainee and shall terminate the services of the latter
for causing serious infraction of company policies, rules and regulations;

WHEREAS, the SECOND PARTY shall may or may not grant allowance and/or adequate
insurance to student-trainee in accordance with the SECOND PARTY’s existing rules and
regulations;

WHEREAS, the SECOND PARTY may or may not require the On-the-Job student-trainee
to work beyond his time schedule provided it is not in conflict with the academic schedule of the
student trainee;

WHEREAS, the SECOND PARTY, upon consultation with the FIRST PARTY, may require
qualified students to submit themselves to examinations, interviews, and file pertinent
documents to support their application;

WHEREAS, the SECOND PARTY is not obliged to employ student-trainee upon completion
of the training.

NOW, THEREFORE, for and in consideration of the foregoing premises, the parties hereto
have mutually agreed and by these presents do hereby agree as follows:

1. This Memorandum of Agreement between the first party and the second party shall take
effect upon signature of both parties and implementation will begin immediately and
shall continue to be valid hereafter until written notice is given by either party thirty (30)
days prior to the date of intended termination;

2. The student-trainee shall arrange with the SECOND PARTY for his work schedule and must
comply with the requirements set by the SECOND PARTY;

3. The student-trainee shall perform other related functions and impose related
requirements provide jointly agree by both parties;

4. The student-trainee shall be personally responsible for any and all liabilities arising from
negligence in the performance of his/her duties and functions while under training;

5. There is no employer-employee relationship between the SECOND PARTY and the


student-trainee;

6. The duration of the program shall be equivalent to ______ working hours unless
otherwise agreed upon by the SECOND PARTY and the FIRST PARTY;

7. Any violation of the foregoing covenants will warrant cancellation of the Memorandum
of Agreement by the SECOND PARTY within thirty (30) days upon notice to the FIRST
PARTY.

8. Both parties shall agree to religiously, faithfully and objectively comply with the provisions
of the MOA.
