I.

ORDERS
1. All orders are subject to confirmation by us.
2. Verbal orders are subjected to written confirmation.
3. All orders from the purchaser (hereinafter called as customer) are accepted by Industrial Engineering Instruments at Bangalore
subject to the terms & conditions set out hereinafter.
4. The jurisdiction will be at Bangalore only.
5. Specifications of the supply will be as per quotation only. Literature enclosed will only indicate broad features.

II. DISPATCH/DELIVERY
1. Unless otherwise expressly agreed to by us in writing, delivery will be at our works F.O.R. ex-factory, Bangalore.
2. The goods will be dispatched by rail or by any other suitable means of transport and in one or more convenient lots at our
discretion or as requested by the customer
3. Goods once sold will not be exchanged or taken back.
4. We will endeavour to dispatch within the stipulated period. We do not however accept any responsibility for any loss or damage
resulting from delay or failure in effecting delivery.
5. Delay in delivery shall not be ground for rejection of goods by the purchaser unless this has been previously agreed upon.
6. The customer shall, in addition to the price given on the obverse, pay remote delivery charges for the items, at the rates
prevailing for effecting delivery of the equipment.
7. The dispatch dates are only indicative and will not be binding on us due to Force Majeure, act of God, non-availability of raw
materials, change in policies of the Govt. etc., Delivery dates may be extended till such time it is necessary.
8. The delivery dates are effective from the date of acceptance of order with clear technical and commercial terms.
9. Dispatch time/date mentioned is the date of dispatch of materials from our works. Delivery at your site depends on the transport
mode, distance of customer, volume and weight of component etc and hence delivery date at your site varies depending on the
items ordered.

III. PRICES
1. The prices are subject to change without notice. However the prices ruling on the date of supply will be binding on the
purchaser.
2. All prices are exclusive of Municipal, State & Central Government Taxes.
3. The prices are subject to change depending on any changes in terms requested by the customer.
4. Excise Taxes and Octroi will be charged extra as applicable on the date of supply.
5. Any statutory variation will be on the purchaser’s account.
6. Packing, Forwarding, Freight & Insurance charges will be billed as per our quotation. No supporting vouchers / bill will be
produced.
7. Prices quoted are ex-works for cost of material only. Any services & extra accessories, spares will be provided at extra cost.

IV. TERMS
1. Unless otherwise agreed upon in writing, terms are cash against delivery or presentation of documents of title through bank.
2. Interest at the rate of 24% per annum will be charged on all overdue accounts.

V. INSURANCE
1. Unless otherwise agreed to in writing, goods in transit are at the purchaser’s risk. However at the purchaser’s request and to his
account, the company will arrange insurance.

VI. WARRANTY
1. The warranty is only as per our warranty terms & conditions and will be offered at our works only. The warranty terms &
conditions will be notified at the time of supply. The same can be obtained before hand on request.
2. Unless otherwise agreed to, we endeavour to either repair or replace the defective materials /parts provided that :
a) The purchaser has given written notice of the defect within 7 days of receipt.
b) The defective material is delivered to our works all freight/costs paid.
3. If only a part of the article is defective, repair or replacement of that part only will be considered.
4. We reserve the right to issue credit in lieu of repair or replacement of the materials or parts.
5. The customer is required to bring the equipment to our works freight paid for necessary warranty services / after sales services.

VII. INSTALLATION
1. The company will not undertake installation unless the terms and conditions are previously agreed, the instillation of the
equipment will be done only once at the place agreed previously and only after necessary dues and charges are paid.
2. The customer shall ensure that installation area at the customer’s premises is in accordance with environmental requirements and
the equipment’s siting requirements. Defaults in this regard will be at customer’s risk and responsibility. If any special lifting
devices, tackles or any other services are required in the due course of installation, it will be the responsibility of the customer to
provide the same.
AFTER SALES SERVICE will be done as per warranty, at our works only. In case the service is to be done at the customer’s place, to &
fro charges, lodging, boarding and daily per-diem of Rs.2000/- per person has to be borne by the customer, apart from payment for value of
components used. Company reserves to the right to send more than one person if it deems necessary without notice.
Demonstration at our works provided free of charge or if required at consignee’s place, at extra charges of to & fro traveling expenses,
lodging, boarding and daily per diem of Rs. 2000/-per person has to be borne by the customer. Any other expenses will be to customers
charge.
