“AGREEMENT FOR LEAVE AND LICENCE”

THIS AGREEMENT FOR LEAVE AND LICENCE MADE AT PUNE

BOTH ARE RESIDING AT – KRIPA CHATR, PLOT NO.


181, SECTOR NO. 25, NIGDI, PRADHIKARAN, PUNE –
411 044.

Hereinafter referred to as “the LICENSOR” (Which


expression shall, unless repugnant to the context or
meaning thereof, include its present and future Directors,
successors, executors, administrators, assigns etc.,)

THE COMPANIES ACT,
1956, HAVING ITS REGISTERED OFFICE AT:-
GL & V HOUSE, PLOT NO.2C, SR. NO.162/4A-5A,
OFF D.P. ROAD, AUNDH, PUNE-411 007, (INDIA),
REPRESENTED THROUGH ITS AUTHORISED SIGNATORIES,
MR. ABHAY WARHADPANDE,
AGE ABOUT 59 YEARS,
OCCUPATION – SERVICE

HEREINAFTER referred to as “the LICENSEE” (Which


expression shall, unless it be repugnant to the context or
meaning thereof, be deemed to mean and include its
Directors, authorized signatories, executors, successors,
administrators and assigns);
PARTY OF THE SECOND PART,

WHEREAS the Industrial lands, bearing Plot No. 7,


admeasuring 1,397.50 Sq. mtrs., and bearing Plot No. 8,
admeasuring 1,408.68 sq.mtrs., out of Gat No. 171, 172 & 177
(part), lying, being and situated at village – Dhanore, Taluka
– Khed, District – Pune, together with all appurtenances
thereto along with electricity meter, built-up workshed,
adm. 1,680.80 sq.mtrs., watchman cabin – 3 sq.mtrs., along
with FSI 1:1 out of which consumed only 0.61%, more
specifically described in the Schedule I and II written
hereunder, is the absolute ownership property of the
LICENSOR herein; and hereinafter referred to as the “said
Property”;

AND WHEREAS the LICENSEE being in need of such suitable


Property for the period of 15 months, approached the
LICENSOR and requested the LICENSOR to give it the said
Property on Leave and License basis for 15 months;

AND WHEREAS the LICENSOR has agreed to give the said


Property to the LICENSEE on Leave and license basis for a
period of 15 months on the terms and conditions mentioned
hereunder.

NOW IT IS AGREED BY AND BETWEEN THE PARTIES HERETO
AS FOLLOWS:

1. That in consideration of the stipulations herein


described and the observance of the terms and conditions
on the part of the LICENSEE, the licensor doth hereby grant
permission to the LICENSEE to use and occupy the said
Property along with electricity meter, built-up workshed,
adm. 1,680.80 sq. mtrs., watchman cabin – 3 sq. mtrs., along
with FSI 1:1 out of which consumed only 0.61%, Furniture,
Fittings, Fixtures, for the period from 1st January 2016 to 31st
March 2017., which period is the essence of this Agreement.

2. The LICENSEE has agreed to pay Rs. 8,23,000/-


(Rupees Eight lakh twenty three thousand only ) per month
to the LICENSOR as compensation for the use and
occupation of the said Property, exclusively for industrial
purposes, for the period from 1st January 2016 to 31st March
2017.

3. That the License Fee/Compensation is at Rs.


8,23,000/- (Rupees Seven lakh eighty thousand seven
hundred only ) per month and to be paid by the LICENSEE
before 5th of every month.

4. The LICENSEE shall pay to the LICENSOR applicable


service tax every month against its invoice. The LICENSOR
shall pay to the LICENSEE applicable TDS (tax deducted at
source) every month.

5. All other applicable taxes, levies, duties etc in


connection with the said Property will be to the LICENSOR’S
account.

6. This agreement shall be for a period 1st January 2016


to 31 March 2017, and on the expiry of this Agreement the

LICENSEE shall remove all their Furniture’s, Fixtures and all


things belonging to the said LICENSEE from the said

Property and shall give vacant and peaceful possession
without causing any construction or hindrance whatsoever
to the LICENSOR.

7. That it shall be binding on the LICENSEE to pay


electricity charges, at actual which will be payable during
the said period of 15 months to the concerned authorities /
departments.

8. That period of this Agreement will be counted and


reckoned as per the English / Gregorian calendar.

9. That the LICENSEE shall use the said Property for its
industrial purpose.

10. That the LICENSEE shall keep and maintain the said
Property along with the Furniture and Fittings in good and
clean condition duly and property insured against all risks.

11. That the LICENSEE shall be deemed to be a licensee


for a period of 15 months by virtue of those presents and
shall not make or have any claim to tenancy sub-tenancy or
any other right, title or interest of what so ever nature in the
said Property or any portion thereof. It is agreed between
the parties hereto that the LICENSEE shall not grant a Sub-
license to any other person and shall not keep any other
person in place of the said LICENSEE. Notwithstanding the
above, the LICENSEE shall have the right to assign this
Agreement to its affiliated entities.

12. That the LICENSEE shall not make any structural


changes or alteration in the said Property or any portion
thereof, other than construction of toilet block, inside
renovation like creating office space , lunch room and
painting of walls. The Licensor also permits installation of
some GLV machines . On termination and on expiry of this
Agreement, GLV machines will be removed by the Licensee
from the said property. The LICENSEE is allowed to make

furniture as per their requirement which shall be removed
on expiry and or termination of this Agreement.

13. On the expiry of this agreement, the LICENSEE shall


hand over the vacant and peaceful possession of the said
office to the LICENSOR and on his failure to do so, the
LICENSOR will be entitled to and be at liberty to enter in to
the said Property and retake occupation of the said Property
from the LICENSEE without prejudice to the legal rights and
remedies that may be available to him under the law.

14. The LICENSOR shall not be liable for any injury or


damage to any person whatsoever that may occur during
the term of this Agreement caused by fire, rain, leakage,
breakage, etc., except if it is caused by the negligence or
willful misconduct of the LICENSOR, its employees or
agents. The LISENSOR shall be liable for any structural
problems not caused by the LICENSEE or its invitees,
including but not limited to, leaking roof, failure or
inadequacy in the supply of lighting, power, heating or
plumbing installations, etc. LICENSEE shall not be liable for
any injury to person, damage to property or to LICENSOR’s
business except LICENSEE’s gross negligence or willful
misconduct.

15. That in case, either of party intends to terminate this


agreement, then in such an event, the party, shall have to
give 2 months’ notice in advance to the other party.

16. The original copy of this Agreement shall remain with


the LICENSOR and a carbon copy of the same shall be
retained by the LICENSEE.

17. That the period of this License is of 15 months which


period is the essence of this Agreement. However, after a
period of 15 months, if required, both the parties herein can
extend the Leave and License period for 12 months.

18. Stamp Duty worth Rs. __________/- (Rupees
__________________) is engrossed to this document.

All that piece and parcel of the land, bearing Plot no. 7,
admeasuring 1,397,50 sq. mtrs., bearing Gat Nos. 171, 172 &
177, lying, being, situated at village – Dhanore, Taluka –
Khed, District - Pune, which is bounded as under:-

On or towards East : By Gat No. 170,


On or towards South : By Plot No. 6,
On or towards West : By Internal Raod,
On or towards North : By Plot No. 8,

Along with the benefit of the user of the road and together
with all appurtenances thereto.

SCHEDULE II

(BEING DESCRIPTION OF THE LAND WHICH IS THE SUBJECT


MATTER OF THIS DOCUMENT)

All that piece and parcel of the land, bearing Plot no. 8,
admeasuring 1,408.68 sq. mtrs., with 10’X10’ foundation of
brick & mud, bearing Gat Nos. 171, 172 & 177, lying, being,
situated at village – Dhanore, Taluka – Khed, District - Pune,
which is bounded as under:-

On or towards East : By Gat No. 170,


On or towards South : By Plot No. 7,
On or towards West : By Internal Raod,

On or towards North : By Plot No. 9,

Along with the benefit of the user of the road and together
with all appurtenances thereto.

IN WITNESS WHEREOF the parties to these presents have


hereunto set their respective hands on the day, month and
the year first herein above written.
