CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

This agreement ("Agreement") is made on 02-18-2019

THE FOLLOWING HAS BEEN AGREED:

1. The Discloser is prepared to disclose the material identified below ("the Material") to the
Disclosee upon the terms and conditions set forth in this Agreement.

The Material is as follows:

Definition of Confidential Information and Intellectual Property


Information about the affairs and activities of CGI.
Information about the business practices of CGI , including but not limited to:
• business processes,
• development plans,
• accounting,
• strategic alliances.
Information about clients, client list, and client requirements.
Databases and software programs developed by or for CGI or its clients.
Ideas and development plans for new products and services, including, but not limited
to:
• Logic and process flowcharts,
• Diagrammatic representations of functionality and any other aspect of the product
and/or service,
• Functional specifications.
• Screen layouts and mock-ups.
• Entity-relationship diagrams.
• Formal code and other programming/pseudo-code documents.
• Any other material that describes the ideas, function, operation, outcomes, of any
products and services owned and / or currently being developed by CGI or its
clients.
Information and Intellectual Property (as described above) developed by
students/contractors at the direction of CGI.

Confidential Information and Intellectual Property may be:


Oral, written, electronic or other machine readable form;
Translated from the original, modified, updated, or altered;

Personal Information (customers/clients, other staff), such as (but not limited to):

Name, title, date of birth, address, marital status, gender, phone number, emergency contacts,
bank details, National Insurance Number, salary, bonus, work performance, service dates,
hours of work, base location, unit, division, contract, employment status, holiday entitlement,
car allowance/entitlement, overseas assignment details, staff manager name, work permit,
degree certificates, dates of absences, benefits, pension, registered disabled number.;

2. Save as expressly provided in Clause 5 below, the Disclosee acknowledges and agrees that
the Material is the Discloser's valuable, confidential and proprietary information and the
Disclosee agrees to receive and hold the Material upon the terms and conditions set forth in
this Agreement.

3. The Disclosee will treat the Material as confidential and will neither disclose the Material to any
third party nor utilize any of the concepts or information contained therein except as expressly
authorized by the Discloser under this Agreement.

4. The Disclosee may only utilize the concepts and information contained in the Material for the
purposes identified below:

Disclosee executes the input of the data supplied by the Discloser to the applications of the
Discloser. For that purpose these employees need to access the systems of the Discloser
(hardware and software applications) and may, in that context, have access to the personal
data stored on the systems of the Discloser. The purpose of the Disclosee is therefore not to
process these data (other than this possible access), but to ensure the accuracy and
completeness of the data input to the application.

5. The obligations imposed upon the Disclosee under this Agreement shall not apply to any of
the Material which:

(a) is now in or subsequently enters into the public domain other than by reason of a
breach of this Agreement by the Disclosee; or

(b) is lawfully obtained from a third party who in making such disclosure to the Disclosee
does not breach any duty of confidence to the Discloser; or

(c) the Disclosee can reasonably demonstrate was known by it, under no obligation of
confidence, prior to receipt of the Material by the Disclosee.

6. The Disclosee shall take all practical steps to keep the Material confidential and shall restrict
access to the Material to those employees and agents of the Disclosee to whom disclosure is
necessary in pursuit of the purposes set out in Clause 4 above. The Disclosee shall inform all
such employees and agents of the provisions of this Agreement and the Disclosee shall be
responsible for ensuring compliance with the said provisions by all such employees and
agents.

7. Once the Material is no longer needed by the Disclosee for the purposes set out in Clause 4
above the Disclosee shall return to the Discloser all copies of the Material in the possession or
control of the Disclosee or, at the Discloser's option, shall certify in writing that all copies of the
Material in the possession or control of the Disclosee have been destroyed.

8. This Agreement constitutes the entire agreement between the parties relating to its subject
matter, and may only be varied by written agreement. Nothing in this Agreement confers or
purports to confer on any third party any benefit or right to enforce any term of this Agreement.
