Event Description

Seminar about Drugs with the theme of “Don’t Let Drugs Keep You from Your Dreams” will
be held at Lax, Lipa City. It can also accommodate maximum of 1010 persons. The said
event will be conducted on 6th day of January from 8:00 am to 5:00 pm. January is the
perfect date to market smoothly the said event, since its target is the 1000 Barangay
Officials. There will be known and potent speakers.

Goldilocks Lipa City
Venue Contract

This contract for the rental of a venue is made this day, November 18, 2019, by and
between Lax, Lipa City, here after referred to as the Owner, and El Succeso Company
here after referred to as the renter.

Whereas, the Renter desires temporarily rent, occupy and make use of the Owner’s
venue located along Lipa City.

Whereas, the Owner agrees to such rental, occupation, and use in consideration of
certain payments and covenants herein enumerated.

Now, therefore, the parties agree to the following terms and condition:

1. The Renter should pay to the Owner the sum of Php 35,000.00 no later than
November 18, 2019. Of this amount, Php 35,000.00 is a non-refundable deposit that will
be applied to rental charges upon final settlement of accounts.

2. The Renter shall have access to and use of the venue on January 06, 2020 from 8
am to 5 pm for the purpose of hosting the Renter’s Seminar about Drugs. Owner shall
provide to Renter’s all keys, access control codes, and other items necessary to give
Renter such access no later than January 06, 2020.

3. The full rental fee for the use of the venue described in (2) above shall be Php
35,000.00. The balance of the rental fee due, less non-refundable deposit described in
(1) above, shall be payable to the owner upon expiration of the rental period in 920
above.

4. Within 24 hours of the rental periods’ expiration, Renter shall tender to Owner
the rental fee balance due, and all keys and other access control devices in his/her
possession.

5. Renter shall remove all personal property, trash and other items that were not
present in the venue when Renter took control of it.
6. Upon Renter’s completion of his/her obligations under (4) and (5) above, the
Owner shall return to Renter the security deposit minus any amounts deemed
necessary to repair damages inflicted upon the venue by Renter and/or Renter’s
associates, guests, invitees, contractors and all other persons whatsoever who enter the
venue during the rental period, whether or not such persons did so with Renter’s
knowledge or consent.

7. In the event that Renter fails to pay the balance due within the time period
agreed upon in this contract, interest shall accurse upon the unpaid balance at the rate
of 15% per year until it is paid. Renter shall also be liable to owner for any legal fees,
court loss, and other expenses associated with collection.

8. Renter will be liable for any physical damages, legal actions, and/or loss of
reputation or business opportunities that Owner may incur as a consequences of the
actions of Renter or any of Renter’s guests while Renter is in control of the venue, and
shall identify and hold harmless the Owner against any and all legal actions which may
arise from Renter’s use of the venue.

9. Any disputes arising under this contract shall be adjudicated in the Owner’s local
jurisdiction.

In witness of their understanding of an agreement to the terms and conditions herein


contained, the parties affix their signatures below.

Both parties whose signatures appear below hereby warrant that they are fully
authorized and entitled to enter into this agreement, and do so agree on the dates
written below by affixing their signatures below.

Printing Service Contract

THIS AGREEMENT is made this 6th day of December 2019, by and between WikiPrint,
with its principal place of business located at Illustre, Ave., Lemery, Batangas and El
Succeso Company.
NOW, THEREFORE, in consideration of the promises here in after made by the parties
here to, it is agreed as follows:
1. By this agreement, dated December 6, 2020 between WikiPrint and El Succeso
Company and in consideration of the mutual promises set for herein, the parties agree
to the following terms and conditions.
2. The relationship created by this agreement is that of Client and Independent
Contractor. Nothing in this agreement shall be construed to be inconsistent with this
relationship. Under no circumstances is Independent Contractor to be considered an
employee of the Client for any purpose, and is not entitled to any of the benefits
provided by Client to its own employees. Independent Contractor is solely responsible
to pay all applicable federal, state, and local income and withholding tax obligations or
contributions imposed by Social Security, unemployment insurance, or worker’s
compensation insurance in connection with this agreement on behalf of Independent
Contractor itself or those employees, if any, employed by the Independent Contractor.
3. This agreement shall commence El Succeso Company and conclude on WikiPrint.
Independent Contractor shall provide the services or complete the project as more fully
described below no later than December 22, 2019.
4. Independent Contractor shall perform the following services under the terms and
conditions of this contract [description of work to be performed]:
5. Client shall pay Independent Contractor the total sum of Php. 1,100.00 the completion
of the work to be performed under this agreement.
Client shall report all payments of (Php 1,100.00)

6. Independent Contract shall be responsible for all business and travel expenses
incurred under this agreement and shall furnish all materials, tools, equipment, and all
other items necessary to perform the services set forth in this agreement. No
reimbursement will be offered by Client for any such expenses.

7. In the event that Independent Contractor fails to complete the project or provide the
services by the agreed-upon deadline or in the event of unreasonably slow work
progress, or incomplete or incompetent work product, or unacceptable final result.
Independent Contractor agrees to be financially responsible to Client for any reasonable
costs incurred in obtaining replacement services.

8. In Witness Whereof, the parties have caused this agreement to be executed on their
behalf, to be effective on the date set forth above.
9. If a dispute should arise between the contractor and the contracting bodies over the
payment of such retain ages and final payment, then such dispute shall be arbitrated
under the applicable terms of the contact. If the contract contains no such provisions for
arbitration, then both parties may mutually agree to arbitrate the dispute through the
American Arbitration Association. In any event, either party shall have the right of
appeal from any decision and award as provided by

CONTRACTS:
Memorandum of Agreement

This Memorandum of Agreement is made and entered into this 19th day of December,
2019, by and between EL Succeso Company and 1000 Barangay Officials, Seminar about
Drugs.

ACKNOWLEDGEMENTS

WHEREAS, 1000 Barangay Officials, Seminar about Drugs shall engage the Event
Manager as an independent contractor, and not as an employee, to perform certain
services for the 1000 Barangay Officials, Seminar about Drugs in connection with the
1000 Barangay Officials, Seminar about Drugs.

NOW, THEREFORE, for and in consideration of the mutual covenants contained herein
and for other good and valuable consideration, the receipt of which is hereby
acknowledged, the El Succeso Company and 1000 Barangay Officials, Seminar about
Drugs do hereby agree as follows:

AGREEMENTS
1. Licensed Marks:

A. 1000 Barangay Officials, Seminar about Drugs does hereby grant to El Succeso
Company a limited nonexclusive to use as their venue for the upcoming seminar about
drugs and accompanying logo service marks (the “Licensed Marks” solely in connection
with the promotion and management of 1000 Barangay Officials, Seminar about Drugs,
provided by El Succeso Company complies with the terms and conditions contained in
this Agreement. El Succeso Company will present to 1000 Barangay Officials, Seminar
about Drugs for its approval, prior printing, distribution, publication, display, or use,
any and all promotional materials and scripts of all statements, oral or written, to be
made by El Succeso Company, its agents or spokespersons, which use or refer to said
Licensed Marks. Such materials or statements must be of a high quality, consistent with
the outstanding public image of 1000 Barangay Officials, Seminar about Drugs.

B. The EL Succeso Company shall not use the Licensed Marks for any event or purpose
other than 1000 Barangay Officials, Seminar about Drugs.
C. The authority of El Succeso Company to use the Licensed Marks commences upon the
effective date of this Agreement and terminates upon the expiration of the term of this
Agreement or upon termination of this Agreement, which ever shall occur first.

D. The El Succeso Company shall not sub license, transfer or assign the use of the
Licensed Marks to any person or entity, including sponsors and/or vendors, without the
prior written consent of 1000 Barangay Officials, Seminar about Drugs.

2. Services: EL Succeso Company primary responsibility shall be to plan, direct and


implement all aspects of events of 1000 Barangay Officials, Seminar about Drugs in
accordance with 1000 Barangay Officials, Seminar about Drugs directions, policies and
procedures. Specifically, during the term of this Agreement, as set forth herein, the El
Succeso Company shall, for the benefit of 1000 Barangay Officials, Seminar about Drugs,
provide the services set forth in Attachment “A” attached here to and incorporated here
in for all purposes. In connection there with, El Succeso shall execute a Conflict of
Interest and Disclosure Statement contemporaneously with the execution of this
Agreement. Unless otherwise expressly agreed in writing by the parties hereto, El
Succeso Company shall have no authority to, and shall not, (i) make any statement on
behalf of1000 Barangay Officials, Seminar about Drugs, or (ii) bind or otherwise
obligate to1000 Barangay Officials, Seminar about Drugs to any contract at any time.

3. Term of Agreement: The term of this agreement shall be effective from the date first
set forth above through November, the scheduled date for completion of the upcoming
Seminar about Drugs. However, the EL Succeso financial and certain other obligations
noted herein shall continue in effect until such responsibilities have been completed.

4. Relationship of Parties: The parties to this Agreement are not joint ventures,
partners, agents, nor representatives of each other, and such parties have no legal
relationship other than as contracting parties to this Agreement. The El Succeso
Company shall not act or represent or hold itself out as having authority to act as an
agent or partner of 1000 Barangay Officials, Seminar about Drugs, or in any way bind or
commit the senior high school exhibit to any obligations without the prior written
consent of the 1000 Barangay Officials, Seminar about Drugs.
5. Termination: This Agreement may be terminated (I) by either party upon breach by
the other party of any of the material provisions of this Agreement, which breach
remains uncured for twenty (20) days from the date of receipt of written notice from
the no breaching party to the other party specifying such breach; (ii) immediately upon
written notice by the 1000 Barangay Officials if the El Succeso Company engages in
unauthorized activities including, but not limited to, unauthorized uses of the Licensed
Marks or breach of any of the provisions of this Agreement relating to confidentiality or
activities which jeopardize the tax-exempt status of the 1000 Barangay Officials,
Seminar about Drugs and the El Succeso Company does not cure within five (5) days
upon receiving notice (or without notice or cure period if incurable or the assets of the
1000 Barangay Officials are at risk); or (iii) by the mutual written agreement of the
parties.

6. Confidential Information: The El Succeso Company acknowledges that it and its


employees, agents or representatives may, in the course of performance of this
Agreement, be exposed to or acquire information which is proprietary to our
confidential to the 1000 Barangay Officials, Seminar about Drugs, including, but not
limited to, 1000 Barangay Officials, Seminar about Drugs, donor lists and amounts
donated, plans for upcoming events that have not yet been announced and other
matters. Any and all information obtained by the El Succeso Company or its officers,
directors, employees, agents and representatives in the performance of this Agreement
which relates to the seminar about drugs shall be deemed to be part of the 1000
Barangay Officials, Seminar about Drugs confidential and proprietary information for
the purposes of this Agreement (the “CONFIDENTIAL INFORMATION”. The El Succeso
Company shall cause each of its officers, directors, employees, agents and
representatives to hold all Confidential Information disclosed to it by reason of this
agreement confidential and shall not disclose any such information to any other party.
The El Succeso Company agrees not to use Confidential Information for any purposes
whatsoever other than for the provisions of services to the 1000 Barangay Officials,
Seminar about Drugs hereunder. Upon the expiration or termination of this agreement,
El Succeso shall immediately return any and all Confidential Information, and any all
copies thereof, to 1000 Barangay Officials, Seminar about Drugs. The parties agree that
in the event of a breach of this provision damages may not be an adequate remedy, and
1000 Barangay Officials, Seminar about Drugs shall be entitled to injunctive relief to
restrain any such breach, threatened or actual, with no or minimal surely bond. This
section shall survive the termination or expiration of this Agreement.

7. Cooperation: To the extent that 1000 Barangay Officials, Seminar about Drugs
retains any other entity to engage in activities on behalf of 1000 Barangay Officials,
Seminar about Drugs compatible with El Succeso Company responsivities, El Succeso
Company agrees to cooperate with any such entities with respect to such activities.
8. Entire Agreement: This Agreement supersedes any prior understandings or oral
agreements between the parties regarding the subject matter hereof and constitutes the
entire understanding and agreement between the parties with respect to the subject
matter hereof, and there are no agreements, understandings, representations or
warranties among the parties other than those set forth herein.
