ABSOLUTE DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This deed, made and executed in the Municipality of San Pedro, Laguna, by and between –

GIABELLA FOODS CORPORATION, represented in this act by JILLINA G. BORJA as President,

with business address at MMG Building Magsaysay Road, Barangay San Antonio, San Pedro, Laguna,
hereinafter called the VENDOR,
AND
WILBERTOL B. DE ASIS, of legal age, a resident of MMG Compound Magsaysay Road, Barangay
San Antonio, San Pedro, Laguna, hereinafter called the VENDEE.

WITNESSETH:

WHEREAS, the VENDOR is the rightful owner of motor vehicle registered with the Land
Transportation Office and more particularly described as follows:

WHEREAS, aforesaid vehicle is being offered for sale on an “AS IS WHERE IS CONDITION” and
the buyer has agreed to buy the same and further undertake to drop the Certificate of Public Convenience and
secure the same in his favor.

NOW THEREFORE, for and in consideration of the agreed purchase price of TEN THOUSAND
PESOS ONLY in hand paid by the VENDEE to the full satisfaction of the VENDOR, the latter do hereby
CEDE, TRANSFER and CONVEY by way of SALE unto and in favor of the VENDEE, her heirs, successors
and assigns the above described motor vehicle, free from any and all liens and encumbrances of whatever
nature and kind;

IN WITNESS WHEREOF, the parties have hereunto set their hands at the place first above written
