TECHNICAL DESCRIPTION

- A – RECEIVING, WASHING AND SORTING SECTION

 A.1 No. 1 Receiving and Washing system to receive raw materials like
apples, pears, apricots, peaches plums or strawberries. The system is
composed of a tank equipped with a bar elevator which has been designed
also for red fruits which cannot bear an immersion washing cycle and a
filtration group for the discharging water.

Composition:
- N°1 tank made of stainless steel with shaped metal sheet structure
complete of overflow system to limit the water level in case of
exceeding flow to the tank.
- Support frame made of AISI 304 steel.
- Modular plastic conveyor for the separation of the product from water.
- One elevator transmission with variable speed drive (inverter).
- Series of nozzles to spray drinking water onto the product and get its
perfect washing.
- All metal parts in contact with the product are made of AISI 304
stainless steel.
- N° 1 self-cleaning rotary drum filter equipped with wastes collecting
chute, internal device for drum clearing, safety protections, drum made
in AISI 316 stainless steel.
- N° 1 collecting tank for filtered water made in AISI 304 stainless steel,
complete with weirs, overflow, connecting pipe coupling.
- N° 1 horizontal centrifugal pump to send filtered waters to the using
point.
- N°1 set of piping with different diameters to connect the pump to the
filters and filters to the resending centrifugal pumps.

 A.2 No. 1 sorting table for manual sorting of raw fruit coming from the
elevator of item A.1

Composition
 Plastic material wire net conveyor
 Supporting and service structure provided with platform, steps and
protection railings, made of stainless steel, with non-slip aluminium
catwalk.

- B – ENZYMATIC TREATMENT AND JUICE EXTRACTION SECTION

Complete skid to receive raw fruit coming from the previous section and make
chopping, destoning, pureè extraction and enzyme deactivation. The real
advantage of this system is to make the pureè extraction process just before the
heat treatment process in order to keep the natural color of the fruit, with
instantaneous inhibition of oxidative enzymes, and increase the consistency of the
final natural pureè. The system has been composed of an elevator, an hammer
crusher,a destoning machine, a cold extractor, an enzymatic deactivator and hot
extractor and the screw needed for the evacuation of the wastes

 B.1 No. 1 Bar elevator EF1 to separate the transfer water and raise the
product to the required height to feed the extraction unit.

 B.3 No. 1 Hammer crusher, suitable for fruit and vegetable chopping.
The product is fed by means of a loading hopper, crushed by a set of high
speed rotating hammers and then released through a perforated sheet
plate positioned under the rotor.

Advantages
 The large loading hopper allows to process big sized fruits.
 The perforated sheet plate can be replaced with other having different
perforation, so allowing to change the outlet particles size.

Manufacturing material
 Cylindrical body, hammers, bottom perforated sheet plate and feeding
hopper are made of AISI 304 stainless steel.
 Rotor shaft made of AISI 304 series stainless steel.

 B.4 No 1 destoner mod. GIUBILEO D-XS for separation of the stones


(as a destining machine) of peaches, apricots or plums before the
separation of peels in the next step of extraction. Using the principle of
centrifugal separation by means of some screens, the machine can
eliminate the fruit/vegetable stones.

spacer between the drive and the support.
 One shaft support equipped with bearings in oil bath, transmission
shaft and protection grid.

cleaning operation. The system is operated by electric motor.
 One screen made of stainless steel with 60/10 mm perforations.
 One supporting frame made of AISI 304 stainless steel, equipped with
eye-bolts for lifting in safe conditions.

 B.5 No 1 cold extractor mod. GIUBILEO E-XS for cold extraction of fruit
and vegetables. The cold extraction allows to separate the juice/puree from
seeds, peels, wastes and stems before the thermal deactivation treatment
happens. In this way the risk of transferring unpleasant flavours and
pesticides or unsafe contaminants to the juice/puree is avoided keeping a
high quality of the final product. Using the principle of centrifugal
separation by means of some screens, the machine can eliminate the
fruit/vegetable unwanted parts (i.e. peels and seeds). The juice/puree is
collected by means of a hopper whereas the wastes are pushed towards
the end of the screen where another hopper collects and sends them to the
next treatment.

 B.6 No. 1 Enzymatic deactivator mod. ETS XS for the treatment of


purees of fruit and vegetables by means of the patented “Enzymatic
Thermal Shocker” method. The fast heating time of the inlet cold chopped
fruit has been made by the product (already at the enzymatic temperature)
always recirculating through the heat exchanger.

Plant composition:
 One volumetric pump to recirculate the puree through the heat
exchanger. The pump is supplied with an electric motor controlled by a
frequency converter.
 One tube chest heat exchanger to obtain the instantaneous heating of
the product. The parts in contact with the exchanger are made of AISI
316L.
 Steam group to regulate the steam flow, consisting of:
- manual on-off valve
- steam filter
- safety valve
- manometers, thermometers, and pipe-work
 Support frame for the above-mentioned parts in AISI 304 tubes.
 Condensate group
 Set of pneumatic and modulating valves for the complete control of all
the parameters and all the cycles of the ETS

 B.7 No. 1 Refiner mod. GIUBILEO XS (HOT EXTRACTION) for


refining of chopped fruit and vegetables. The machine, using the principle of

Main parts and functions:


 Cabinet, IP54, made of stainless steel.
 Main switch and protection switches.
 PLC with I/O digital e analog boards.
 Interconnection circuits for power control and pneumatic signals.
 Filtering group and compressed air reduction.
 Personal computer with “touch screen” interface for the plant control
and supervision.
 Plant control function using easily comprehensible coloured codes to
show process steps, working cycles and each valve and drive status.
 Alarm diagnosis by means of three different categories:
- active not recognized alarms
- active recognized alarms
- alarms inactive for long time and consequently not recognized
 The access to menus and to some operation validations occurs by
means of a passwords system.
The process variables and the alarms are recorded on the PC hard-disk for one
year.

- C – CONCENTRATION SECTION

 C.1 No. 1 vertical tank mod. SP1800 to collect refined juice coming
from refiners.

MIXFLOW.

 C.3 No. 1 evaporator MIXFLOW XS-DE for the concentration under-


vacuum of high thickness/consistency products, type with two effects in
series with downward force flow circulation of product in all effects.

Composition of the plant:

 First effect (finisher), consisting of:


- One tube chest heat exchanger, heating the product by means
of boiler steam as heating medium. The technological
characteristics of the product inlet and outlet areas prevent the
formation of scale deposits. Construction: AISI304 stainless
steel.
- One cylindrical vacuum evaporation chamber for the separation
and extraction of vapours from the product coming out of the
heat exchanger. It is made of AISI304 stainless steel and is
supplied with:
o Sight-glasses
o Level transmitters
o Spray-balls for internal cleaning
- One automatic control unit for product level and temperature
in the evaporation chamber.

- One unit for product forced circulation in the heat exchangers.


It is composed of:
o Product circulation piping of AISI304 stainless steel
o One centrifugal pump of stainless steel coupled to a
electrical motor on carbon steel baseplate.
- One unit feeding steam to the heat exchangers
- One support frame of painted carbon steel sections
- One volumetric pump for the extraction of product and for
plant emptying at the end of production
- One digital refractometer for the measurement of solids of
product extracted from the first effect. Range 0-50 °Brix.
 Second effect, composed of:
- One tube chest heat exchanger, heating the product by means
of acid vapours coming out of the first effect chamber as heating
medium. The technological characteristics of the product inlet
and outlet areas prevent the formation of scale deposits.
Construction: AISI304 stainless steel.
- One cylindrical vacuum evaporation chamber for the separation
and the extraction of the vapours from the product coming from
the heat-exchanger. It is made in AISI-304 stainless steel and is
supplied with:
o Sight-glasses.
o Level transmitters.
o Spray-balls for the internal cleaning.
- One unit for the automatic control of product level and
temperature sensing inside the evaporation chamber.
- One unit for product forced circulation in the heat-exchanger.
It is composed of:
o Product circulation piping in AISI304.
o One centrifugal pump in stainless steel coupled with
electrical motor on carbon steel base plate.
- One support frame in painted carbon steel sections.
 Condenser unit:
- One surface condenser to condensate the acid vapours
extracted from the evaporation chambers. Construction in
stainless steel.
 Vacuum creating unit:
- One liquid ring vacuum pump to keep the vacuum in the plant.
Construction in cast iron with stainless steel impeller. Each
pump is equipped with carbon steel frame and electric motor.
 Condensate discharge group
 Piping for the product, acid condensates and acid vapours. All made
in AISI 304 stainless steel.
 Sampling valve on the first and second effect
 Electric panel for the section composed of:

- Control panel with the following functions:


o Control of the plant through a schematic representation
of the status of each valve and each motor through
easily comprehensible colour codes.
o Indication of various operational phases and operation
cycles of the plant to allow a simple plant management.
o Alarm diagnostic through three different categories:
active alarm not recognized, active alarm recognized and
alarms not longer active but not recognized.
o Password system permitting the access to the menu and
the validation of some operations.
o AISI 304 stainless steel structure.
o 17” “touch-screen” personal computer for the control
and supervision of the plant and PLC with I/O digital and
analog cards.
o All process variables and alarms are recorded on PC Hard
Disk. Using a normal printer it is possible to print out a
diagram of the main parameters like the outlet product
brix.
o Interconnection circuits for the control of power,
pneumatic sectors and electric motors management.
o Protection switches.
o Compressed air filtration and reduction
o Solenoid valves and converters for the control of
pneumatic and modulating valves
o Interfaces for the process variables (temperatures,

manual stop valves to extract the screen in production

 A product heating section to reach the desired sterilization


temperature.
Overheated water in counter-current to the product is used as heating
fluid. The product circulates inside the central annular ring, while the
overheated water circulates both inside the internal cavity and the
external one.
All the surfaces in contact with product are made in AISI-316 stainless
steel.
 One group for the preparation of overheated water with indirect closed
circuit system, at the service of the sterilizer.
 One steam group to regulate the steam pressure.
 One aseptic holder, to keep the product coming from the heater at the
prefixed holding temperature for the time scheduled.
 One concentric pipes aseptic cooler to low the product temperature to
the set value.
 Cooling water system.
 One set of pneumatic valves installed at tank inlet.
 One set of end-line valves.
 No. 1 sets of PT100 to monitor the output product temperatures
coming from the different sections.
 One set of piping, elbows and fittings to connect all parts above
described.
 One aseptic tank for product storage before filling.
Actual capacity:100 l
The tank is vertical-cylindrical in shape with 30° conical bottom.
It is complete with:
 spray ball;
 hatch;
 double-diaphragm level transmitter;
 connection for sterile air inlet;
 connection for product inlet;
 connection for product outlet;
 support frame.
Tank is commissioned at a pressure of 5 bar.
All internal surfaces are mirror polished, while the remaining ones are
satin-finished. Construction in AISI-316 stainless steel.
 One sterile air production unit composed of:
 one oil removing filter
 one pressure switch 0-10 bar
 one absolute filter
 one reducer for tank pressure control
 connection piping and valves
 safety valve
 support frame.

 One filling head completely made of AISI 316L stainless steel, kept
sterile by means of steam and a temperature automatic control
system. This head is complete of:
- pneumatic cylinder for vertical movement
- filling valves for 1” fitment
- inductive sensors to control all mechanical movements.
 One adaptors to be inserted into the heads to recover the CIP solutions
coming from the CIP plant and for the sterilization of the machine.
They are complete with pipes for the connection of the filling valve to
the cleansing/sterilization solutions recovery manifold.
 Thermal transfer labelling machine to print adhesive labels in a 104 x
150 mm format (labels are not included in the supply).
 One idle roller conveyors to move the drums during the loading and
outgoing phases, complete with load cells to determine the weight of
the drums.
 The plant can be controlled and managed by reading and modifying
the main variables detected from field instruments.
 The plant is delivered complete with electrical ducts, cables connected
to the instruments, pneumatic piping connected to their respective
valves, and one completely wired and tested control panel.
o Command and control system positioned above the machine to All
process variables and alarms are recorded on PC Hard Disk.

CFT COMPONENTS

The following is the list of the main commercial components adopted by CFT.
Where more possibilities are indicated CFT has the right of using any of them
depending on technical requirements and availability on the market.
Should variations be required to following list, CFT reserves to communicate

RAW MATERIAL, POWER AND FLUIDS

The performance may be valid on condition that the buyer supplies all fluids,
energy, and the requested amounts of personnel.
Fluids and energy must be supplied with the following characteristics:
 Electric energy at 50 Hz, single-phase at 230 V and three-phase at 400 V with
the three phases plus the earth.
 Internet access line for remote assistance. The connections have to be
available close to each electric panel. The connection modes will be agreed
between CFT and the Customer's EDP.
 Dried compressed air, condensation temperature lower than –10°C, without
oil, dustless, and at a pressure constantly above 6 bar.
 Dry saturated steam with pressure constant and higher than the values
indicated for each individual machine.
 The culinary steam, when required, can’t contain substances unaccepted in
foods and has to be distributed with stainless steel pipes.
 Industrial water at a temperature of approximately 20°C, maximum hardness
of 50ppm of CaCO3 and a constant pressure of approximately 3 bar.
 Drinking water at a temperature of approximately 20°C, maximum hardness
of 80ppm of CaCO3 and a constant pressure of approximately 3 bar.
 Tower water at a temperature of 29°C.
 The amount of chlorides or chlorine dissolved in the water can’t be higher than
50 ppm. This is valid for all the types of water.

ASSEMBLY, CONNECTION AND START-UP OF THE MACHINES

 TECHNICAL ASSISTANCE DURING ASSEMBLY


Assembly and installation are to be intended as the positioning and assembly
of all the machinery in the offer at the customer site. The assembly shall be
executed by the buyer’s personnel with the assistance of CFT’s specialised
technicians for a total period of 30 consecutive days of absence from Parma;
the typical working day is up to 8 working hours. The activities will be carried
out under the buyer organizational supervision and direction.
During the above period all means, services, expendable materials, local
skilled and unskilled workers, necessary for the assembly operations, must be
made available by the buyer. In particular, the skilled workers must consist of:
 N° 2 specialised mechanics
 N° 1 pipe welders and fitters
 N° 1 electricians
Upon request, CFT shall provide an indicative yet non-restrictive list of all the
equipment and materials that the buyer must put at CFT’s disposal.
Any delays or slowdown beyond CFT control occurring during
assembly and start-up shall be considered entirely at the buyer’s
expense. CFT reserves the right to invoice €800.00 per person for every
unscheduled day of permanence of CFT’s personnel.
Any working hour exceeding the 8 daily working hours not ascribable to CFT’s
responsibility shall be considered as overtime, and shall be debited according
to the company’s tariffs in force at the time.
The services aforementioned shall be executed within the agreed timeframe
and at the price quoted on condition that all materials and personnel needed
for work progress are made available by the buyer within the agreed terms
and conditions.

 TECHNICAL ASSISTANCE DURING START-UP


Start-up is intended as the operations for the first turn on of the machinery
and the verification of the correct working conditions. Start-up operations
consist of:
 Blank test without water, where the electrical connections, the
functioning of the valves, the correct rotation of the motors etc. are
verified.
 Blank test with water, where the hydraulic sealing of all the
components, the functioning of the pumps and the operations
requested to each individual machine are verified.

 Run test with product, which will take place during its initial period to
verify that everything is operating as planned even with the product to
be processed.
The start-up of the machines will take place immediately after the conclusion
of assembly, and it shall be executed by the buyer’s personnel with the
assistance of CFT’s specialized technicians for a total period of 10 days for the
blank test and 10 days for the run test with product. The activities will be
carried out under the buyer organizational supervision and direction.
The aforementioned periods are to be intended as consecutive days of absence
from Parma; the typical working day is up to 8 working hours.
€800.00 per technician shall be debited for each extra day exceeding
the days agreed upon for the assistance. Any working hour exceeding the
8 daily working hours ascribable to CFT shall be considered as overtime, and
shall be debited according to the company’s tariffs in force at the time.
After installation and immediately after the conclusion of the start-up an
Acceptance Test Report shall be signed by the Seller and the Buyer to confirm
the conclusion of the supply. The acceptance test will be carried out with one
type of product only.
The buyer shall supply at his own expense all the utilities, fluids, materials,
energy, the product and the labour to execute the start-up operations.
In the event of the impossibility of completion of start-up and testing
operations due to causes beyond CFT control, the start-up and testing
shall be considered with a positive outcome once the assembly and
connections have been completed.

 CONNECTIONS AND PIPING


The utilities, such as water, compressed air, steam etc. shall be supplied by
the buyer up to the machines according to CFT’s drawings, thus all relative
piping are at the buyer’s expense.
CFT shall supply the connections for the product (product piping) between the
machinery of this quotation supplied by CFT. All other piping is excluded.
The material used for the implementation of the connections is AISI 304
stainless steel, apart from aseptic machinery connections where the material
used is AISI 316 stainless steel.
The electric and pneumatic connections between CFT panels and CFT’s
machinery are at the buyer’s expense, as well as the electrical connections
between the main distribution panel and CFT panels. If required CFT will
supply a list of the material for electric and pneumatic connections.
The insulation for the piping is excluded and thus remains at the buyer’s
expense.

 ASSISTANCE DURING PRODUCTION


CFT will supply one or more skilled technicians for the Assistance During
Production. The Assistance will start after the plant assembly and start up
have been completed. The daily price for the Assistance During Production is
€800.00 per technician; the typical working day is up to 8 working hours.
Every working hour exceeding the 8 daily hours will be considered overtime
and charged according to the company’s fees in force at the time.

 PERSONNEL TRAINING
In concomitance with the start-up CFT technicians will provide the training for
the buyer’s specialised personnel for maximum 8 hours per day. The buyer’s
specialised personnel will have to be enough in number to run the plant for the
whole working day.
Should the buyer fail to provide the required number of personnel to be
trained during the plant start-up period, CFT will in any case consider the
training completed, and will not provide any further training at a later date.

 TRAVEL, BOARD AND LODGING


Travel expenses are included, but the cost of board, lodging, and any transfer
on site of CFT’s technicians will be considered at the buyer’s expense.
CFT will supply the buyer with all the details concerning the technicians before
the start of the operations.
Travelling is considered one return journey, any other journeys will be at
buyer’s expense.
The days of travel between Parma and the place of installation and vice-versa
are considered as working days.

PACKING, FREIGHT AND DELIVERY

The delivery of the goods will take place according to the FCA (free carrier)
PARMA conditions, as defined by the INCOTERMS 2010 C.C.I.
The delivery terms remain fixed at 150 days from the collection of the
downpayment, the receipt of the order confirmation issued by CFT and duly
countersigned, and receipt of a copy of the eventual layout prepared by CFT duly
stamped and signed by the buyer; any delay in fulfilment of the above, will cause
the delivery terms to be postponed accordingly.
When sales conditions provide for payment terms such as letter of credit, letter of
guarantee, downpayment or Promissory Notes, the terms of shipment will start
from the collection or date of notification in Italy of relevant documents.
Depending on the dimensions of the component or the part of the machine to be
transported, as well as on availability, one or more means of transport in common
use will be utilized.
In general, CFT cannot be held responsible of failure to comply with the agreed
delivery terms as they may be conditioned by external factors or force majeure.
The delivery terms cannot be considered as an essential condition of the contract,
and in no case may any delay in shipment be considered as a valid motive for the
buyer to cancel the contract.
The buyer’s failure to retrieve the goods within the agreed terms does not release
him from the contractual obligations.

GENERAL EXCLUSIONS

Unless otherwise specified in the offer, the supply does not include:
 Insurance from the place of delivery to the final destination.
 All civil works: masonry works, foundations, underground piping,
sheds, coverings of any nature, drainage and flumes, hydraulic
transport, water purification, etc…
 Possible revisions and modifications to the existing equipment not
indicated in the present offer.
 The implementation or the purchase of provisional and non-provisional
equipment that may become necessary during the assembly and the
start up of the machinery on offer, to allow the operation of plants and
machinery owned by the Buyer or third parties.
 Heat insulation and soundproofing are excluded from the selling price.
Should the buyer be interested, he may request CFT to provide a
quotation for such insulations, otherwise the buyer will personally
provide the plants with the aforementioned insulation, or he
will take care of set up areas, buildings or structures for the
installation of the plant with the appropriate technical
precautions, preventing safety related problems from arising.
 In the case of overhauling or modifications to the machines such as to
require a new CE certification, such certification, unless clearly
specified in this quotation, is at buyer’s charge. CFT will not carry
out any installation, start up and/or testing unless this
certification, when required, is missing.
 Protection of the motors against atmospheric agents and accidental
sprays.
 The technical means for the unloading, positioning, moving and
assembly of the machinery at buyer’s site.
 Pipe racks and, in general, all materials for piping support, including
the piping supplied by CFT.
 The electro-pneumatic cabling between the control panels and the
machines included in this quotation.
 All equipment for the production and distribution of utilities, such as
water, compressed air, steam, nitrogen, etc., necessary for the
assembly and start-up, or for the functioning of the machines, unless
expressly indicated in the offer. The distribution includes all the pipes,
valves, pneumatic hoses and related labour.
 The production and the distribution of the electrical power and any
other fuels that might be necessary for the assembly and start-up, or
for the functioning of the machines, unless expressly indicated in the

present offer. The distribution includes the electric cables, raceways,


cable ducts and related labour.
 All the service fluids like oils, nitric acid, caustic soda etc.
 Spare parts of any type unless they are expressly indicated in the
offer.
 Everything not specifically mentioned in this quotation.

All works necessary for the assembly and the operation of the above machinery, if
not quoted in this offer, shall be implemented and made available by the buyer.
The Seller and the Buyer shall agree upon their delivery terms.

SALES CONDITIONS

The “General Conditions of Sale” of the seller will be applied to the present
offer, which the buyer acknowledges and accepts in their entirety, and which must
be intended as stated below.

 PAYMENT
By bank transfer an Italian bank indicated by CFT, stating as follows:
 30% at the order
 70% at the notice of goods ready for shipment

 DOCUMENTATION
One paper copy of the following documentation in English shall be supplied
upon delivery of the machines: operations and maintenance instructions
manual – wiring diagrams – spare parts manual. Data and the quantities
mentioned in the above documentation are purely indicative and may be
subject to variations considered necessary and appropriate due to technical,
constructive or commercial reasons.

 VALIDITY
Due to the continuous fluctuation of the raw materials market, we are
compelled to limit the validity of the present offer to a PEREMPTORY time
limit of 60 days from the date of issue.
The acceptance of any order is subject to a Seller’s written order confirmation.

 COMING INTO FORCE


This contract shall be effective from the date of signature by the parties, but
should the Buyer not comply with the agreed obligations that are his
responsibility, the Seller shall have the right to suspend, in whole or in part,
the activities for the performance of this contract.

The Seller shall have the right to suspend, in whole or in part, the activities for
the performance of this contract, until insurance coverage (if any) by SACE
and/or another equivalent insurance company with regard to the credit claimed
by the Seller towards the Buyer shall have been granted. Should such
insurance coverage be denied, the Seller shall have the right to terminate the
contract without having to bear charges.

GENERAL CONDITIONS

ARTICLE 1 - DEFINITIONS

The terms and expressions used in this Contract shall have the following meanings:

1.1 Seller means CFT S.p.A. having its registered office at via Paradigna 94/A 43122
Parma Italia
1.2 Facilities means the BUYER's facilities
1.3 Documentation means 1 (one) paper copy of the following documentation in the English
language: machine operating and maintenance manual/spare parts
manual/wiring diagram.
All data and quantities indicated on Documentation are indicative only and
may be changed, if necessary or appropriate, due to technical,
manufacturing or commercial reasons.
1.4 Warranty Period means the period of 12 (twelve) months from the putting into operation of
the machinery (but not more than 18 (eighteen) months from the date of
delivery of machinery) during which the SELLER shall warrant the piece of
machinery in accordance with the terms of Article 6 below.
1.5 Consequential means damages suffered by the BUYER indirectly and/or directly connected
Damages with malfunctioning or bad performances of the machinery or impossibility to
use the machinery due to any breach on the part of the SELLER.
1.6 INCOTERMS the parties agree that the meaning of certain terms such as F.O.B., C.I.F.,
EX-WORKS, and similar commercial terms of delivery shall have the
meanings ascribed to them in the version in force as of the date of the
signing of this Contract of the “INCOTERMS” of the International Chamber of
Commerce.
In this regard, given that INCOTERMS are terms elaborated for the
international commerce, the parties agree that in any event such terms shall
be applied to this Contract by way of analogy mutatis mutandis, and as far
as possible.
1.7 Shipment For the purposes of this Contract, the term "shipment" shall mean, as the
case may be, (i) the delivery of the machinery, on the part of the SELLER, to
the first carrier (or to other person designated by the BUYER or chosen by
the SELLER in accordance with the applicable 'INCOTERM' and/or the terms
of the Contract) or (ii) the putting of the machinery at the BUYER’s disposal,
in the case of an Ex-Works delivery.

ARTICLE 2 – BUYER’S OBLIGATIONS

2.1 The Buyer shall, supply the Seller all necessary properly functioning utilities at its own
expense, including telephone lines and fax, internet connections and any other utility
(electric power, water, gas) which, inside the Plant, could be or could become necessary for
the purposes of this supply.

2.2. The Buyer shall at its own expense, make all necessary qualified personnel for the purposes
of the installation and the operation of the machinery available to the Seller.

2.3 The Buyer shall provide the Seller with all the interpreters necessary for the completion of
this supply at its own expense.

2.4 The Buyer shall provide the Seller with accommodation of a quality standard suitable for the
personnel of the Seller in the country of the Buyer, as well as the means necessary for
transport in loco at its own expense.

2.5 The Buyer shall supply the Seller with all the administrative support and the services for
obtaining visas and permits required by the Seller’s personnel, just as any import/export
licence relating to the personal belongings and to the luggage of the above-mentioned
personnel (where necessary) at its own expense.
2.6 The Buyer shall be responsible for the timely obtainment of all licences necessary for
importation, for customs duties, for taxes and for every other documentation and/or
payment at its own expense in order to allow for the importation of the machinery, in the
country of the Buyer, ready for installation.

2.7 The Seller has the right to suspend and/or terminate this Contract with immediate effect, by
way of a mere written communication to the Buyer:
a) if the Buyer fails to regularly comply with its obligations for the payment of the price
(including failure to pay the down payment); as well as
b) if the Buyer is subject to any insolvency proceedings or its financial circumstances change
substantially so as to place the attainment of the consideration in return in evident danger.

2.8 In the event of a delay of more than 45 (forty-five) days of the contractual payments owed
to the Buyer following a notice for readiness of goods, the Seller shall have the right- as an
alternative to terminating the Contract- to re-sell goods which have already been prepared to
third parties (making any changes to the goods themselves to this end) and to restate the
terms of delivery/shipment of these goods and of all the supply agreed in the Contract,
allowing new terms of delivery/shipment (and new terms for the carrying out of the other
obligations of the Seller in accordance with the Contract) to run (from the moment of
communication to the Buyer to make use of this right) not exceeding the duration of the
originally agreed terms, except compensation for any damages. The Buyer shall be
compelled to abide by the new terms which have been reasonably established by the Seller.

2.9 In the event of a serious breach by the Buyer of the obligations established as his
responsibility by this Contract, the Seller has the right to terminate the Contract where the
breach is not addressed within a time frame reasonably determined by the Seller, as well as
considering the amounts paid by the Buyer as an advance payment and/or instalments paid,
whilst in any case, expressly keeping the refundability of further damages.

ARTICLE 3 – DELIVERY

3.1 The delivery of the goods shall take place EX WORKS unless otherwise determined in the
particular conditions of sale.

3.2 The machines shall be delivered using one or more means of transport, depending on the
dimensions of the component or part of the machinery to be transported.

3.3 The BUYER’s failure to collect the goods within the agreed terms shall not relieve the BUYER
of its obligations under the Contract.

3.4 The delivery terms are not essential, it being understood that any possible delay in the
shipment shall not constitute a justifiable reason for the termination of the Contract on the
part of the BUYER.

ARTICLE 4 – PRICES AND PAYMENT

4.1 The prices do not include any storage or other extra costs due to the non-obtaining or delay
in obtaining any required authorisation for the importation of the goods or the supply of
services in the BUYER’s country.

4.2 Any possible claim concerning the performance and the carrying out of this Contract shall not
entitle the Buyer to suspend or delay any payments.

4.3 Payment of the price shall be made by the Buyer to a bank account indicated by the
Seller and the Buyer hereby accepts that with regard to said payment, the Seller shall be
entitled to grant (by means of a simple written communication) an irrevocable mandate in
favour of a third party, which shall be the sole party entitled to receive the payment for the
purposes of the extinction of the above-mentioned debt..

4.4 An unjustified delay in payments when due shall entitle the Seller to debit the
interest payable (at a rate equal to the three month Euribor rate, calculated at the original or
extended expiry date of the credits and increased by a spread of 7 percentage points) for
late payment, without prejudice to every other right due to the Seller.

ARTICLE 5 – RETENTION OF TITLE

5.1 The SELLER shall retain title to the machinery and any other materials or goods supplied
hereunder until such time as the SELLER receives full payment of the price hereunder.
Without prejudice to the terms of this Article 5, the risk of any damage to the machinery and
any other materials or goods supplied hereunder shall pass to the BUYER in accordance with
the INCOTERM agreed between the parties.

5.2 In the light of the above, should the BUYER fail to pay even one instalment of the Contract
price, then the SELLER shall be entitled either to terminate this Contract with effect as of
such time as notice has been given to the BUYER or to declare that the BUYER has lost its
right to pay on an instalment basis and demand the immediate payment of all or part of the
amounts outstanding. In the case of termination of this Contract for reasons attributable to
the BUYER, the SELLER shall be entitled to obtain the immediate return of the machinery and
any other materials or goods supplied hereunder and shall also be entitled to retain any
instalments received from the BUYER by way of compensation for the use of the machinery,
without prejudice to the SELLER’s rights to claim compensation for any further damages
suffered.

5.3 The BUYER hereby acknowledges that the machinery and any other materials or goods
supplied hereunder, even where affixed and/or anchored to the land, may not, in any event,
be deemed as being incorporated into or being fixtures of the land and that such machinery
and any other materials or goods shall not attach to the land itself and accordingly the
SELLER shall retain title to the machinery and any other materials or goods supplied
hereunder until full payment of the price. By signing this Contract, the BUYER declares that it
grants the widest rights possible in favour of the SELLER with regard to the above.

5.4 The BUYER hereby undertakes not to sell or allow use of the machinery and any other
materials or goods supplied hereunder by, third parties, as well as not to remove the
machinery and any other materials or goods supplied hereunder without the SELLER’s prior
written consent.

5.5 Any possible waiver by the SELLER of the terms of this Article 5 must be in writing.

5.6 The BUYER hereby undertakes to take all steps necessary in order to either create a valid
retention of title, in favour of the SELLER, in the country where the machinery is located,
which retention of title is in the widest form permitted under the laws of said country and is
duly enforceable, inter alia, as against third parties or create a guarantee in favour of the
SELLER which has the same legal value and effect as such a retention of title.

ARTICLE 6 - WARRANTY

6.1 The SELLER shall be responsible for the correct and high quality execution of the supply
hereunder in accordance with the terms of this Contract.

6.2 The SELLER warrants that each piece of machinery shall be free from defects in material or
workmanship during its respective Warranty Period.
Such warranty shall not apply:
- if the machinery has been damaged, not stored or maintained by the BUYER in
accordance with the SELLER's instructions;
- if the machinery has been submitted to abnormal conditions (mechanical, electrical or
thermal) during installation or use or;
- to parts which are subject to normal wear and tear;
- if the unfitness or defects of the machinery result from excess usage of maximum
values (temperature limits, maximum voltage) defined by the SELLER or the supplier
of the machinery, or from an incorrect choice of application by the BUYER;
- should any spare parts not supplied by the SELLER be installed in the machinery, and
in any case, should any modifications have been made without the SELLER’s written
consent.

6.3 The warranty consists in either the repair or replacement, at the SELLER’s sole discretion and
at its expense, of the structural parts and other components of the machinery which may
prove to be broken or defective due to manufacturing defects. In this regard, the following is
agreed: (a) with regard to the carrying out of repairs or assembly which, on the basis of the
SELLER’s reasonable opinion, are of moderate difficulty from a technical point of view, then
the BUYER shall carry them out using its own personnel and at its expense and without
involving the SELLER and (b) with regard on the other hand to the carrying out of repairs or
assembly which are of notable difficulty from a technical point of view, the SELLER shall send
a specialized technician to the BUYER’s Facilities who shall be entrusted with the task of
providing assistance in relation to the assembly which shall be carried out by the BUYER’s
personnel and at the BUYER’s expense. The travel and lodging expenses of the SELLER’s
technicians shall also be borne by the BUYER. The SELLER shall replace or repair the
defective parts in the shortest time possible, which shall be calculated on a case by case
basis, and the SELLER shall have the right to request the BUYER to return, at the latter’s
cost, the defective parts which have been replaced or repaired.

6.4 The Warranty Period of each part of the machinery shall run for a period of 12 (twelve)
months as of the date of putting into operation of the machinery, but may not in any event
extend beyond a period of 18 months following the date of delivery. The warranty shall be
subject to the BUYER duly informing in writing the SELLER, within 8 days following the
discovery thereof of the particular defect or lack of quality (failing which the BUYER shall lose
its rights under the warranty in respect thereof) and shall also be subject to the BUYER
making an express request in writing to the SELLER, to provide assistance under the
warranty.

6.5 The SELLER’s obligations arising out of this Contract shall be limited to the replacement or
repair of defective machinery during the Warranty Period, which shall be carried out with all

reasonable urgency (easily available and simple spares: approximately 5 (five) days;
complicated parts: approximately 1 (one) month).
In no event shall the SELLER be liable for costs of procurement of replacement goods, loss of
profits or for any special, consequential, indirect or incidental damages arising out of or in
connection with the sale, use, or performance of the machinery. The warranty provided in
this Article 6 is the sole warranty of the SELLER in respect of the machinery, and all other
warranties, including but not limited to any warranties which may be provided by law, are
hereby excluded.

6.6 The Warranty Period for replaced or repaired parts of the machinery shall commence from
the date of replacement or repair of the defective part in question and shall be for the same
duration as specified for the main machinery of which they form part.
The SELLER shall deliver replacement machinery and parts Ex-Works. In so doing, the
SELLER shall immediately submit a copy of the shipping document confirming dispatch to the
BUYER.
The Warranty Period for each piece of machinery, certain parts of which have been replaced
or repaired, shall be extended from the date of discovery of the defect to the time of its
actual elimination, provided that said defect prevented or limited the use of the piece of the
machinery.

6.7 For a period of 7 (seven) years after expiration of the warranty, the SELLER agrees to
provide the BUYER from time to time with such quantity of production materials, spares and
technical assistance as the BUYER may require at such reasonable prices, delivery and other
terms as the parties shall agree upon at the time of the order thereof.

6.8 It is agreed that liability limitations contained in Article 6 “Warranty” and generally in the
Contract hereof shall be applied also to paid technical interventions (and/or supplies of
replacement parts), unless corresponding sales contracts contain different specific
regulations.

ARTICLE 7 – SELLER’S LIABILITY

7.1 It is agreed that in the event of non-performance or breach on the part of the SELLER of its
obligations under this Contract, the SELLER’s liability shall not exceed a total amount equal
to 5% (five percent) of the Contract price. Said amount pre-determines the maximum
amount of damages payable, subject to the BUYER demonstrating that it has suffered
damages as a result of said non-performance or breach and said non-performance or breach
is not of minor importance, and completely discharges the SELLER from any liability (and any
other remedy or liability to compensate in respect of any other damages is hereby expressly
excluded) and, in any event, any possible liability on the part of the SELLER for damages in
respect of the lack of or a reduction in production, lack of or a reduction in opportunities,
lack of or a reduction in profit, lack of or a reduction in contracts, lack of or a reduction in
use, in addition to any indirect or consequential damages, is hereby excluded.

ARTICLE 8 – SAFETY OF THE WORKS

8.1 With respect to the place where the works must take place, as well as the conditions for the
carrying out of such works, the BUYER shall be in charge of the respect of all safety
regulations with regard to the machines, accident prevention, industrial hygiene, fire and
ecology prevention, and undertakes to adopt the relevant precautions and to hold harmless
the SELLER in relation to any and all damages caused to goods or persons.

8.2 Without prejudice to the above-mentioned terms of this Article 8, the SELLER undertakes to
comply with all regulations relating to the safety and hygiene at work, to the extent that it
falls within its own sphere of competence.

8.3 The Parties mutually agree that the regulations relating to health and safety at work are to
be applied on a territorial basis meaning that state regulations govern the activities carried
out within the territory of the State itself, and thus- according to this Contract- the activities
which shall be undertaken at the site of installation of the goods supplied, shall be subject to
local regulations regarding health and safety at work.

ARTICLE 9 – FORCE MAJEURE

9.1 Force majeure shall mean any act or event which is unforeseeable, beyond the parties’ will
or control and in respect of which a remedy may not be found in a timely manner (such as,
for example, natural catastrophes, acts or provisions of government authorities, embargo,
acts of war, fire, explosions, natural disaster, strikes, inability to procure raw materials,
equipment, fuel, energy, components, labour or transport, risk situations, epidemic,
pandemic or other health threats). Upon the occurrence of any event of force majeure which
is such as to prevent either party hereto from fulfilling its obligations hereunder, then the
time for the party so affected to fulfil its obligations shall be automatically extended for a
period corresponding to the duration of the event of force majeure, without any damages
(including liquidated damages) being payable by said party, save for the BUYER’s obligation
to pay the amounts due by way of the contractual Price, in respect of which the contractually
agreed due dates shall remain in full force and effect.

9.2 The parties hereto are also obliged to give each other notice, within no more than 10 (ten)
days, of the beginning of and of the end of any event of force majeure, failing which the
party in default shall lose its right to rely upon the event of force majeure. Should the parties
hereto be unable to carry out their obligations in accordance with the time schedule provided
hereunder for a period of 6 (six) months or more as a result of an event of force majeure,
then the parties shall meet as soon as possible in order to examine the impact of such
events on the terms of the Contract, in particular, on the prices and on the delivery
schedule, and they shall come to an agreement as regards the terms and conditions for the
continuance of their respective obligations. In the event of a possible disagreement between
the parties or equally in the event that either party refuses to take part in such meeting,
then the matter may be submitted solely to arbitration pursuant to Art. 10 below.

ARTICLE 10 – ARBITRATION AND GOVERNING LAW

10.1 All disputes between the Parties arising out of or in connection with this Contract which
cannot be amicably solved shall be settled exclusively and finally in accordance with the
Rules of Arbitration of the International Chamber of Commerce by a board of 3 (three)
arbitrators appointed in accordance with said rules. The arbitration proceedings shall be held
in Paris, France and shall be conducted in the English.

10.2 By way of partial exception to the foregoing, the SELLER shall be entitled to initiate legal
proceedings before the courts of the location of the SELLER’s registered offices or before the
courts of the location of the BUYER’s registered offices or any other courts which have
jurisdiction vis-à-vis the BUYER, both for urgent and/or precautionary injunction or relief and
for trial/ordinary judgment, upon the condition however that, in the latter case, the BUYER
has not previously initiated arbitration proceedings.

10.3 This Contract shall be interpreted and governed by Italian law.

ARTICLE 11 – CONFIDENTIALITY

11.1 The BUYER shall keep strictly confidential and shall not disclose any technical information
(such as, but not limited to, drawings, schedules, documentation, formulae and
correspondence) received from the SELLER or in any way learnt during the course of this
Contract. Any such information may only be disclosed to third parties with the SELLER’s prior
written authorization.

ARTICLE 12 – ASSIGNMENT

12.1 This Contract shall not be assigned, unless with the written consent of the BUYER and
SELLER.

12.2 The SELLER reserves the right to assign, in whole or in part, its own credit to third parties in
relation to the payment of sums owed by the BUYER in accordance with this Contract,
without the BUYER’s consent being required, and it is understood that, with regard to
providing notice of any such assignment, to the extent necessary so as to ensure a valid and
effective assignment of the credit, a simple written notice thereof to the BUYER shall suffice.

12.3 It is understood that, in the event of assignment of the aforementioned credit, the SELLER
shall have the right to transfer, in whole or in part, to the assignee of the credit also the
rights in the previous Art. 5 (Retention of Title). Should there be no transfer of these rights
to the assignee of the credit, in the event of a breach by the BUYER of the obligations of
payment provided for by this Contract, the rights may be exercised by the Seller, directly or
via an agent.

ARTICLE 13 - MISCELLANEOUS

13.1 All modifications and additions to this Contract shall be valid on condition that that they are
drawn up in writing and signed by the duly authorized representatives of both parties hereto.

13.2 This Contract is the entire agreement of the parties hereto and supersedes any and all other
prior oral and written agreements and correspondence in respect of the subject matter
hereof.

13.3 Any right of industrial or intellectual property in relation to the elements which form the
supply pursuant to this Contract shall remain owned exclusively by the SELLER.

13.4 In the event that the terms provided under paragraph (b) of the preamble to the general
conditions of this Contract are not fulfilled within 180 (one hundred and eighty) days as of
the date of signing of this Contract by the parties, the SELLER shall be entitled to amend the
sale prices and/or to terminate this Contract, even without informing the BUYER.

13.5 The terms of Article 6 of these General Conditions of Sale shall also apply to all future
supplies of spare parts provided by the SELLER to the BUYER, unless otherwise agreed in
writing by the parties by means of an express derogation or by signing agreements
incompatible with the text of said terms.

13.6 The SELLER shall be entitled to suspend or terminate this Contract, by means of a written
communication to the BUYER, even with immediate effect:

a) in the event that the BUYER fails to duly fulfil its obligations of payment of the price (in
particular with regard to the advance payment, the opening of documentary credits, the
issuing of guarantees, the despatch of the credit instruments even in fiduciary deposit
and other operation of financial nature); as well as
b) in the event that the BUYER is subject to a procedure of insolvency, or should its assets
change substantially so as to clearly endanger the ability of the BUYER to carry out its
obligations hereunder.
In relation to possible delays exceeding 45 (forty-five) days in the contractual payments to
be paid by the BUYER following a notice that the goods are ready, the SELLER shall be
entitled – by way of alternative to the termination of the Contract – to resell to third parties
the goods ready for shipment (and to make any possible modifications to said goods for such
purpose) and to re-determine the time schedules for delivery/shipment of said goods and
possibly the entire supply pursuant to this Contract. Said new time schedules for
delivery/shipment (and new time schedules for the fulfilment of the SELLER’s other
obligations in accordance with the terms hereof) shall run from the date of communication to
the BUYER of the SELLER’s decision to avail itself of the above right and shall not be longer
than the time periods originally agreed, without prejudice to the right to compensation for
any possible damages. The BUYER shall be obliged to comply with the new time schedules
determined by the SELLER pursuant to the above provisions and communicated in writing to
the BUYER by the SELLER.

In the event of any material breach by the BUYER of its obligations hereunder, then, the
SELLER shall be entitled to terminate the Contract if a remedy for such breach may not be
found within a reasonable term indicated by the SELLER, and the SELLER shall also be
entitled to retain, by way of liquidated damages, the advance payment made by the BUYER,
without prejudice to the SELLER’s right to claim compensation for any further damages
suffered.

ARTICLE 14 – TAXES AND LEVIES

14.1 All levies, taxes, tributes and charges, even administrative charges, in respect of the
Contract, of the same nature, be they present of future which may be due in the BUYER’s
country (or in any case, in the country where the machinery are installed), shall be borne by
the BUYER, and if needs be, the BUYER shall pay the SELLER any such sum and shall not be
entitled to the return thereof. The BUYER shall be responsible for obtaining any
authorisations which, in accordance with the monetary laws and regulations of the BUYER’s
country, are necessary for the purposes of the regular fulfilment of the obligations provided
under this Contract in relation to the payment terms.

ARTICLE 15 - LEGAL REPRESENTATIVES

15.1 Each of the parties guarantees that the individuals, who will execute this Contract on their
behalf, shall have sufficient powers to bind said parties

Art. 12 (Assignment), Art. 13 (Miscellaneous; industrial property rights; modification of prices

- the terms (in particular, and not by way of limitation, with regard to terms relating to the
limitations of the SELLER’s liability and the BUYER’s possibility to raise objections) pursuant to
the special conditions of this Contract (moreover, the BUYER acknowledges that said special
conditions have been specifically and expressly negotiated).
