CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This contract is made and entered into by and between:

___________________, a company duly organized and existing under the laws of the Philippines
having its principal place of business at_______________________________, herein
represented by its__________,(hereinafter referred to as “LESSOR”),

-and-

____________, a corporation duly organized address and existing under the laws of the
Philippines having its principal address at _______________________represented by its
President,___________________________(hereinto referred to as “LESSEE”)

1. The LESSOR hereby leases to the LESSEE the vehicle (hereinafter the “LEASED Vehicle”) as
described below:

2. A chauffeur shall be assigned by LESSOR to the LESSEE. The chauffeur shall be a

competent, capable and trustworthy person, who may be immediately replaced by the
LESSOR upon request of the LESSEE. LESSOR shall furnish the LESSEE with the chauffeur”s
bio-data prior to or upon deployment.

3. This Contract of Lease shall remain valid and irrevocable for a period of (12 ) consecutive
months from__________________________up to _________________________LESSEE.

4. LESSEE shall pay LESSOR the monthly lease charge of the LEASED
VEHICLE,_________________ ____________________( ______________), within ten
(10) days from LESSEE’S reciept of LESSOR’S payment. The monthly charge shall be free
of VAT and shall include chauffeur salary (except overtime work charges). The LESSEE
shall bear other expenses such as fuel and toll charges. Chauffeur’s overtime charges shall
be billed separately as provided for in paragraph 5 hereunder. After this period , the
LESSEE’s has the option to renew the lease contract for another year upon mutual
agreement by both parties.

The LESSEE’s shall pay one (1) month advance leased charge and (2) monthly as security
deposit. This amount shall be reimbursed to LESSEE by the LESSOR at the end of the leased
period. In case of early termination of this contract, the said two months security deposit
will be forfeited.
5. The LEASED VEHICLE shall not be used for the purposes to:
a) Carry passenger for hire
b) Be subleased or be used by any other third party
c) To tow any other vehicle or trailer
d) To haul and /or carry logs, lumber, sand, gravel, petroleum products and /or any
other inflammable materials.
e) Be operated by a person or persons not possessing valid driver’s license.

6. LESSEE shall provide appropriate parking for the LEASED VEHICLE.

7. LESSOR shall hereby warrants that, on the sole account of the LESSOR, the LEASED
VEHICLE shall be kept and maintained at all times during the term of this contract in as
good operating condition as the time when it was first delivered to LESSEE. The LESSEE
shall also provide all the necessary maintenance work and repair services and shall furnish
any and all parts, mechanism, and devices in an expedient manner as required to keep
the LEASED VEHICLE at its best operating condition.

8. LESSEE shall not make any alterations, additions or improvements to the LEASED VEHICLE
without the prior written consent of LEESOR.

9. LESSOR shall indemnify LESSEE against any and all claims, and actions, suits, legal cost and
expenses, damages and liabilities including attorneys fee, arising out of, in connections
with, or resulting from the lawful, proper and agreed use of the LEASED VEHICLE by
LESSEE.

10. LESSOR shall keep LESSEE free from all levies, liens and encumbrances, ande shall pay
alllicense fees, assessments, registrations fees, charges and taxes (municipal, provincial
and national) which at present or in the future be imposed upon the LEASED VEHICLE.
11. Neither this Contract of Lease nor any interest thereof shall be assignable or transferable
to any third party or person (S) without the written prior consent of both parties hereto.

12. The LEASED VEHICLE is and shall remain to be exclusively owned by LESSOR during the
effective period of this contract.

13. On the date of the cancellation or the termination of this contract, LESSEE shall
immediately return the LEASED VEHICLE to LESSOR at a place to be agreed separately by
the parties hereto.
