Consortium Agreement

THIS JOINT DEED OF UNDERTAKING executed on 25th day of July, Two

Thousand and Nineteen by Mis. Global Energy Consulting Engineers Private Limited
(GECE), a company incorporated under the laws of India and having its
Registered Office at 12-2-823-A-25, Mehdipatnam, Hyderabad -500028, India, (hereinafter
called the ''Party No. l " which expression shall include its successors, executors and
permitted assigns) and Mis Survalent Technology EMEA DMCC (Survalent,) a
company incorporated under the laws of AbuDhabi is a company with its legal address
at 20D, Gold Tower, Cluster I, Jumeirah Lakes Tower, Dubai United Arab Emirates
(Hereinafter called the "Party No.2" which expression shall include its successors,
executors and permitted assigns) for the purpose of making a bid and entering into a
contract (hereinafter called the "Contract"{in case of award)] against the Specification No
TR-30/2019 for Implementation of Real Time Data Acquisition System {RT-DAS) in
Ajmer Vidyut Vitaran Nigarn, having its registered office at Vidyut Bhavan, Panchsheel
Nagar, Makarwali Road, Ajmer.
NOW THIS UNDERTAKING WITNESSETH AS UNDER:

In consideration of the above premises and agreements all the parties of this Deed of
Undertaking do hereby declare and undertake:
1. In requirement of the award of the Contract by the AVVNL to the Consortium
Partners, we, the Parties do hereby undertake that Mis. Global Energy Consulting
Engineers Private Limited, the Party No.l, shall act as Lead Partner and
2. The Party No. 2, shall issue authorisation in favour of Party No. I to sign on all
documents, which shall be binding on both the parties
3. The Party No. I shall incur liabilities and receive instructions for and on behalf of
any and all partners of the Consortium and the entire execution of the contract
including payment shall be done exclusively to the lead member
4. All parties of the consortium shall be liable jointly and severally for the execution
of the contract in accordance with the contract terms
5. In the event of any default by any partner of the Consortium, the other partner shall
accept the liability and execute the contract in full

7. Overall responsibility in respect of the tendered work is with the lead member
8. The Consortium agreement shall not be cancelled or amended unilaterally without
consent of the AVVNL after opening of the bid
Without limiting the generality of the provisions of tender document, Party No. l shall fully
indemnify, hold harmless and defend the AVVNL, its successors and employees
indemnified from and against any and all suits, proceedings, actions, claims, demands,
liabilities and damages which the AVVNL, its successors and employees may hereafter
suffer, or pay by reason of any demands, claims, suits or proceedings arising out of above
arrangement.
