MEMORANDUM OF UNDERSTANDING (MOU)

BETWEEN BUYER AND

ROYAL UNI – TECH PVT. LTD. (AUTHORIZE AGENT FOR ESCON
ELEVATOR PVT. LTD.)

We the above mentioned parties M/S VEGAS CITY ENTERTAINMENT PVT. LTD.
AND M/S ROYAL UNI – TECH PVT. LTD. (AUTHORIZE AGENT OF ESCON
ELEVATOR PVT. LTD.) are pleased to confirm the buy and sell of the proposed
Elevator as per Quotation.

We both are agreed to comply with the terms and condition as stated in the Quotation and
confirm that we (Buyer) will provide the Advance Payment as per the payment terms and
will open the Letter of Credit on behalf of Royal Uni – Tech Pvt. Ltd. Within 5 to 6
working days.

If incase one of us have some amendment to be done on the Terms and Conditions of the
agreed proposal. Then it shall be done by mutual discussion on the raised points and
incorporate the fresh Terms after agreeing by both of us.

Material Price (including of all banking charge, VAT, custom duties,

Installation, transportation up to site Nepal) :- NRs. 66,00,000/-
