This Nondisclosure Agreement is entered into by and between PHILIPPINE HEALTH INSURANCE

CORPORATION, a government owned and controlled, corporation existing by virtue of Republic Act 7875 as
amended, otherwise known as the “National Health Insurance Act of 1995”, with Regional Office Vice-President,
MS. ARSENIA B. TORRES and VIVIAN A. ELIZARDE, MD acknowledges the importance of its legal
obligation to protect the PhilHealth Information and Claims System (PHICS for brevity) and its DATA received
from PhilHealth, In this regard, the HCI hereby agrees to the following nondisclosure policies:

1. For purposes of this Agreement, “Confidential Information” shall include all information or material that
has or could have commercial value in the business in which the HCI is engaged. The HCI given the facility
to use PHICS wherein Confidential Information can be generated in digital form. It shall not give or provide
access to any information received or generated in the course of using the PHICS to any unauthorized
individual.

Confidential Information will not include the following information:

a. Information that is generally known in the course of business HCI;


b. Information that is now or subsequently becomes generally available to the public through no wrongful act
of the HCI;
c. Information that the HCI rightfully had in their possession prior to the installation of PHICS;
d. Information that is independently created by the HCI without direct or indirect use of PHICS; or
e. Information that the HCI rightfully obtains from a third party who has the right to transfer of disclose it.

2. The PHICS shall install only in specific designated computers within its premises the access to which shall
be restricted to persons duly authorized by the hospital and PhilHealth. Any changes in the designated
computers shall be implemented only upon approval by PhilHealth.

3. It shall use the PHICS only for business purpose and will utilize all resources and capabilities available to
prevent any unauthorized access.

4. It shall similarly bind its employees under a binding formal contract wherein the latter shall undertake to
observe the confidentiality and non-disclosure undertaking of the HCI.

5. It shall formulate/implement guidelines and systems to ensure confidentiality and non-disclosure.

6. It shall acknowledge liability of any breach of the non-disclosure agreement by any of its employees.

7. In the event that the HCI is required in a civil, criminal or regulatory proceeding to disclose any DATA of
PHICS, the HCI will give to PhilHealth promptly a written notice of such request so PhilHealth may seek
an appropriate remedy or alternatively to waive the HCI’s compliance with the provision of this Agreement
in regards to the request.

8. Except as otherwise provided in this Agreement, the PHICS will remain the exclusive property of PRO2
and will only be used by the HCI for the permitted purpose. Accordingly, the HCI specifically agrees and
acknowledges that the HCI will have no interest in PHICS and its PROGRAMME DATA, including ,
without limitations, no interest in know-how, copyright, trademark or trade names, notwithstanding the fact
that the HCI may have contributes in the data build up of PHICS. The HCI will not use the PHICS for any
purpose that might be directly or indirectly detrimental to PRO2 and to PhilHealth.

9. This Agreement may not be assigned or otherwise transferred by HCI in whole or in part without the prior
written consent of PhilHealth.

10. This Agreement will automatically terminate on the date that the HCI accreditation expires, is suspended,
or is terminated, as the case may be. Except as otherwise provided in this Agreement, all rights and
obligations under this Agreement will terminate at those times.
