Doosan CARE Maintenance Program Agreement

Ver. 1.1

This Doosan CARE Maintenance Program Agreement (this “Agreement”) is made on the
[MM/DD/YYYY] (the “Effective Date”) by and between:

(1) Doosan Infracore Co., Ltd., a company duly incorporated in accordance with the laws of
Korea and having its registered office at 489 Injungro (Hawsu-Dong) Dong-gu, Incheon, Korea
(hereinafter referred to as “Doosan”) and

(2) [Dealer Name], a company duly incorporated in accordance with the laws of [Country],
having its registered office at [Dealer’s Office Address] (hereinafter referred to as
“Distributor”).

1. General

The Doosan CARE Maintenance Program (the “Program”) is a program to supply the planned
maintenance service to customers under an agreement between Distributor (or its sub-
distributor as the case may be) and a customer, a form of which is attached hereto as Exhibit
“A” (the “Customer Agreement”). The Program includes the marketing activity to visit
customers for introduction of the Program.

Doosan and Distributor shall cooperate to promote the Program to customers in Distributor’s
territory.

Distributor shall make its best effort to promote the Program and encourage its customers to
enter into the Customer Agreement.

The terms and conditions of the Customer Agreement can only be modified and amended by
written consent from Doosan.

2. Definition

a) Distributorship Agreement
i. The term “Distributorship Agreement” shall mean the Distributorship Agreement
dated __________, 2013 by and between the Distributor and Doosan

b) The Program Menu


i. Program Menu is a sub system under Dealer Portal for program management,
and includes following functions:
- Registering Equipments under the Program.
- Scheduling the maintenance visit.
- Inquiring Maintenance Parts List for each model.
- Entering/tracking of service results.
- Settling costs for the Program between Doosan and Distributor (Dealer
Portal Manual shall be provided from HQ).

ii. Access to the Program Menu is permitted upon logging into Dealer Portal.
c) Program Customer and Equipment
i. The term “Customer” shall mean the customer in the Distributor’s territory who is
a participant of the Program.
ii. The term “Equipment” shall mean Doosan’s excavators and wheel loaders owned
by Customer which Distributor (or its sub-distributor, as the case may be)
provides performance inspection and preventive maintenance for according to
the Customer Agreement, and which Distributor properly registered in the
Program Menu.

d) Program Certification & Program Certified Equipment


i. The Term “Program Certification” shall mean the certification that Distributor grant
for the used equipment serviced under the Customer Agreement for at least two
years or 4,000 operating hours consecutively.
ii. The Distributor shall not grant Program Certification in below cases even if the
equipment has been maintained under the Customer Agreement for more than
two years:
- Its performance is not normal due to the inadequate maintenance
- It has not been properly serviced or maintained with Doosan Genuine Parts.
iii. Granting Program Certification is entirely up to the Distributor’s sole discretion
and when the Distributor grants Program Certification, it should be issued within
10 days from the expiration of the Customer Agreement.
iv. The term, “Program Certified Equipment” shall mean the used equipment for
which Program Certification is issued.

e) Program Order (if applicable)


i. The term “Program Order” shall mean the type of parts purchasing order for the
purpose of filling demand under this Agreement and the Customer Agreement.
ii. The parts discount for Program shall only apply to the order for Equipment, if
applicable.

3. Doosan’s Responsibility
a) Compensation to Distributor:
i. Doosan shall reimburse to Distributor for Distributor’s use of Doosan Genuine
Filters (for 3 year or 6000 hour of operation whichever occurs first) listed in
Exhibit “B” for the maintenance purpose for Equipment upon Distributor’s proper
registration.
ii. The reimbursement for Doosan Genuine Filters shall be made two (2) times a
year, on dates selected by Doosan, on the basis of the result of the visit to the
Customer by the Distributor.
iii. Doosan shall reimburse the cost for only for Doosan Genuine Filters used on
Equipment. Due to the difficulty of figuring out the exact Doosan Genuine Filters
used on the Equipment among Distributor’s orders, Doosan shall reimburse the
cost to Distributor based on Doosan’s selling price to Distributor at a date
selected by Doosan. Such date selected by Doosan shall be a date within six (6)
months of the reimbursement date.
The actual reimbursement date and pricing date may be adjusted by Doosan in
its sole and absolute discretion, but in no event shall such a change vary by more
than one year period.

b) Marketing material support


i. Doosan, in its sole discretion, shall supply the Program marketing materials to

Distributor.

c) Service Skill Training


i. Doosan shall provide at least 1 service training session to Distributor’s
servicemen for the Program maintenance procedure and service marketing skills.
ii. Doosan shall provide at least 1 time visit to a customer’s jobsite in association
with Distributor’s servicemen upon Distributor’s written request, and agreement
by Doosan based on Doosan personnel’s availability.

d) Monitoring the Program


i. Doosan, in its sole discretion, may reject or keep the Program support to Distributor
upon quarterly review of the result of registration/Updating/termination in Dealer
Portal.

e) Audit Doosan Genuine Parts


i. Doosan shall perform regular audit to determine whether Doosan Genuine Parts
are used for Equipment, and the Program is carried out properly (according to the
service guidebook).

4. Distributor’s Responsibility
a) Execution of the Program
i. Distributor shall provide the followings to the Ccustomer under Customer
Agreement DoosanCARE Maintenance agreement: Commented [i1]: Please let me know if you meant this
– Providing the Program products listed in Exhibit B to DoosanCARE
Customers at free of charge Agreement or Customer Agreement.
– Replacing of maintenance parts with Doosan Genuine Parts and execution of
inspection items listed in Exhibit C at free of charge. Distributor’s travel cost
shall be solely at Customer’s expense.
– Organize and implement the appropriate human resources and service tools
to provide maintenance and/or repair services that are provided in the Doosan
Operation Manual and Shop Manual (hereinafter the “Manual”).
– Promptly respondreaction to Program service request from the Customer:
Commence services at agreed location(s) by a technician within _____ work
days (on workdays) following the receipt of a service request from the
Customer.
ii. The Program shall be valid for the earlier of below conditions after the Equipment
is first commissioned as reported by the Distributor in the Doosan warranty
system.
– Within a period of three (3) years from the Effective Date of service contract
with DoosanCARE Maintenance customersCustomer Agreement;
– Within of 6,000 operational hours from the “current operation hours” provided
in the DoosanCARE machine registration form; or
– Upon 12 visits by the Distributor (500 hrs x 12 times = 6000 hrs).

b) Exclusive Use of Doosan Genuine Parts


i. Distributor shall exclusively use Doosan genuine or equivalent parts supplied by
Doosan for the Program related services as well as its normal services of Doosan
products.

c) Register Equipment information


i. Distributor shall register Equipment information into Dealer Portal immediately
after Customer Agreement is signed by Distributor and Customer.
ii. Distributor hereby acknowledges that Doosan will not make any
compensation to Distributor for any services performed under this

Agreement on equipment that is not registered in the Dealer Portal.

d) Entering visiting and inspection results into Dealer Portal


i. Distributor shall perform in good faith the services mentioned in the Program

(Exhibit “C”) and register the detailed results, including customer’s comments

into the Program Menu (within 30 days of each visit).


ii. Distributor shall register non-scheduled maintenance detail due to the
unexpected machine failure in Dealer Portal.

Failure by the Distributor to fulfill any of the above responsibilities will be considered a material
breach of this Agreement and will provide Doosan with the option to terminate this Agreement
in accordance with Article 5.

5. Termination
a) This Agreement shall terminate together with the termination of the
Distributorship Agreement.
b) This Agreement shall terminate immediately and automatically in following events:
i. If Distributor does not use Doosan Genuine Parts on the Equipment as described
the Customer Agreement between Distributor and Customer.
ii. If Distributor does not perform the Program services (Exhibit “B” and “C”) on the
Equipment as scheduled (every 500hrs).
iii. If the rate of Customer Agreement termination between Distributor and Customer
is higher than twenty percent (20%).

c) Doosan may terminate this Agreement at any time, for any or no reason, by
providing the Distributor with 30 day prior written notice, in accordance with the
notice provision of the Distributorship Agreement.

Upon termination of this Agreement Doosan will not provide any Program support for new
equipment sold to Distributor. Notwithstanding anything else to the contrary, Doosan shall
provide support for all valid Customer Agreement between Distributor and Customer entered
during the term of this Agreement until end of the then current term of the Customer
Agreement.

6. Others
More detail information and explanation for the Program execution which Distributor
is required to undertake and abide by, are provided in “Doosan CARE Maintenance
Program Guide Book”, which may be amended by Doosan in its sole discretion.

7. Application and Term of This Agreement


a) The terms and conditions related with parts and service in Distributorship
Agreement shall be supplemented and/or replaced by this Agreement.
b) In case any conflict or discrepancy between the Distributorship Agreement and this
Agreement occurs, this Agreement shall prevail.

8. Miscellaneous
a) This Agreement may not be assigned or transferred by the Distributor without the

prior written consent of Doosan. Doosan may assign or transfer this Agreement
without the necessity of consent.
b) For the purpose of interpreting the terms, determining the obligations and rights of
the parties and enforcing the performance thereof, the parties agree to submit to the
exclusive jurisdiction of the courts in Seoul, Korea, applying the laws of Republic of
Korea.
c) The failure by either party to enforce any of the provisions or terms of this
Agreement shall not constitute a waiver of such provisions or such terms or any of
the rights of such party under this Agreement.
