SCOPIST/PROOFREADER AGREEMENT

This agreement pertains to all services provided to _____________________________________________ (the

Reporter) from this date forward: ___________________________________.

I. Subcontracting
The Reporter will be entrusting work to you personally, not to anyone who may be affiliated with you. The Reporter expressly
prohibits your handing over her work, in whole or in part, to any third party, whether for remuneration or otherwise.

II. Confidentiality
In the course of providing services to the Reporter, you may have Confidential Information disclosed to you. The Reporter expressly
prohibits disclosing such information to others. Confidential Information is all information, in whatever form of media, including
electronic and orally received information, which you access or acquire from the Reporter, whether or not identified or marked as
confidential, and includes, without limitation, the items listed below.

 Any and all proprietary or nonpublic information in any form that is identified as confidential or proprietary or that, by the
circumstances surrounding disclosure, ought, in good faith, to be treated as proprietary or confidential.
 The names, addresses, telephone and fax numbers, e-mail addresses, birth data, social security numbers, and personal financial
information of individuals, including bank account, credit card, insurance, and similar information.
 Protected health information and electronic PHI (as such terms are defined in the Privacy Rule and Security Rule of the Health
Insurance Portability and Accountability Act {HIPAA} of 1996).
 Commercial information, such as companies’ financial information, personnel information, trade secrets, intellectual property,
inventions, business plans, and similar information.
 Information about publicly traded companies which could be important to investors or considered “insider information” under
securities laws.
 Information subject to a court’s confidentiality or protective order or a similar agreement between parties to litigation.

Accordingly, you agree to the following:

 Except as it may be necessary to perform your duties for the Reporter, you will not (1) use or disclose any Confidential
Information obtained by or through the Reporter to any third party or (2) possess or retain any Confidential Information
obtained by or through the Reporter. The Reporter expressly prohibits the emailing or posting of any text or audio to others,
even in a private setting.
 You will protect and treat Confidential Information with the same degree of care as you use to protect your own confidential
information of like importance, but with not less than a reasonable degree of care under the circumstances.
 You will immediately report to the Reporter any improper use or disclosure of any Confidential Information, whether intentional
or unintentional, and will assist in any resulting investigation.
 You will cooperate with any policies and procedures the Reporter may have in place to protect the confidentiality of
Confidential Information.
