MEMORANDUM OF AGREEMENT

This Memorandum of Agreement (MOA) entered into by and between:

KOLEHIYO NG LUNGSOD NG LIPA, a locally-funded educational institution, duly

organized and existing under Philippine Laws, with office address at Marawoy, Lipa
City, Batangas represented herein by MARIO CARMELO A. PESA, CPA / College
Administrator, hereinafter referred to as the KLL.

and

BATANGAS II ELECTRIC COOPERATIVE INC. a business organization duly

organized and existing under Philippine Laws with office address at Antipolo del Norte,
Lipa City, Batangas represented herein by Engr. OCTAVIOUS M. MENDOZA, here in
after referred to as the BATELEC II.

WITNESSETH THAT:

WHEREAS; KLLis desirous to engage with BATELEC II, in a MOA the mutually agreed
upon terms, conditions, as provided hereunder;

The following terms and conditions shall govern this agreement:

1. KLL shall be responsible for conducting the preliminary screening of the trainee,
who intend to engage in practicum in the Company, as part of the school
curriculum;
2. KLL shall issue an official endorsement letter for trainee that, shall serve as
reference for the Company for facilitating the application of the trainee;
3. The Company may designate a trainee Practicum Supervisor who may evaluate
the performance of the trainees. Any concern of the Company to KLL Practicum
Coordinator;
4. The Company shall provide an orientation and on-the-job training in the field of
specialization of the trainee;
5. The Practicum Coordinator may be allowed by Company to conduct periodic visit
or regular checking through phone to apprise KLLof the performance and
hereabouts of the trainee;
6. The Company Practicum Supervisor shall evaluate the performance of the
trainee, upon completion of training, by accomplishing the Performance
Evaluation Form, provide the trainee with a Certificate of Completion, and Daily
Time Record, upon completion referred hereof;
7. The Company shall accord ample legal protection to the trainee in accordance
with laws and regulations existing applicable;
8. The trainee shall adhere to Company rules and regulations during the duration of
the training;
9. Both the trainee and the Company shall adhere to the non-disclosure and
confidentiality of rule on all information that KLL may mutually obtained in the
course of this agreement.
10. KLL shall voluntarily withdraw a trainee found to commit any misconduct and/or
act in defiance to existing standards, rules, and regulations of the Company and
dealt with the erring trainee and impose applicable sanctions.

11. Hereunder are miscellaneous provisions in this agreement hereof;

A. The COMPANYshall require the documentary requirements, from the trainee

herein below;

a. Resume with picture

b. Endorsement Letterfrom the school duly signed by the Dean or Chairman
c. Acceptance Form
d. Training Plan
e. Trainees Performance Evaluation Form
f. Notarized Liability Waiver
g. Daily Time Record/DTR

B. The COMPANYshall be willing to accept on-the-job training for a period of

two (2) years, provided that the KLLshall be willing to abide Company rules
and regulations subject renewal upon mutual agreement by both parties,
unless otherwise terminated by either party for violation of the conditions or
causes. However, any of the parties may terminate this contract, for just
causesby giving another party a thirty-day prior written notice;

C. The COMPANYshall not be obliged to hire the TRAINEES,upon completion

of the training;

D. The traineebounds to render THREE HUNDRED HOURS (300 hours)of On-

the-Job Training without compensation from the company;

12. In case of pre-termination of agreement referred in the precedingparagraph, the

trainees shall be allowed to complete their training without prejudice in the
Company.
