Bharti Airtel (Airtel) is one of the leading providers of telecommunications services in India. The
company offers mobile, wire line, broadband and television services. It is also engaged in passive
telecom infrastructure services business through its subsidiary, Bharti Infratel. At the end of FY2009,
it had a customer base of 93.9 million for mobile services and 2.7 million for telemedia services. The
company primarily operates in India. It is headquartered in New Delhi, India and employs about
24,500 people.

The company recorded revenues of INR373,520.8 million ($8,150.2 million) during the financial year
ended March 2009 (FY2009), an increase of 38.3% over 2008. Increase in revenues was mainly
due to strong growth in customer base. The operating profit of the company was INR103,219.3
million ($2,252.2 million) in FY2009, an increase of 36% over 2008. Its net profit was INR78,589.5
million ($1,714.8 million) in FY2009, an increase of 22.9% over 2008.

Business Description

BUSINESS DESCRIPTION

Bharti Airtel (Airtel) is a leading provider of telecommunications services in India. The company
offers mobile, wire line, broadband and pay TV (television) services; it is engaged in related telecom
infrastructure operations and wholesale services. It also offers triple play services including voice,
internet and internet protocol (IP) TV. The company serves retail, carrier and enterprise customers.
At the end of FY2009, it had a customer base of 93.9 million for mobile services and 2.7 million for
telemedia services. The company mainly operates in India and Sri Lanka.

Airtel operates through four business divisions: mobile services, telemedia services, enterprise
services carriers and enterprise services corporate. The enterprise services carriers and enterprise
services corporate segments are grouped into the enterprise services group.

The company’s mobile services segment offers mobile services using GSM technology on 900MHz
and 1800MHz bands. At the end of FY2009, it had 93,923,248 mobile customers, representing a
market share of 24% of the wireless market in India. It offers post-paid, pre-paid, roaming and value
added services through its sales and distribution channel, covering 1,191,323 outlets. These services
are provided under the Airtel brand.

In January 2009, the company also launched services in Sri Lanka. These services have been
launched on 3.5G network. In January 2010, Airtel achieved a presence in Bangladesh by acquiring
a 70% stake in Warid Telecom, a wholly owned subsidiary of the Dhabi Group in Bangladesh offering
mobile services.

The telemedia services segment offers broadband and fixed line services through digital subscriber
line (DSL), direct-to-home (DTH) TV and IPTV services. At the end of FY2009, it had 2,726,239
customers, of which 39.3% were subscribing to broadband/internet services. The segment mainly
focuses on small and medium business enterprises.

The enterprise services group, including enterprise services carriers and enterprise services corporate
segments, offers a portfolio of services to carrier and large enterprise customers, respectively.

The carrier segment provides long distance wholesale voice and data services to carrier customers
as well as to other business units of Airtel. It also offers virtual calling card services in the overseas
markets. The business unit owns a national and international long distance network infrastructure
enabling it to provide connectivity services both within India and connecting India to other countries.
The national long distance infrastructure comprises of 101,337 route kilometers of optical fiber, over
1,500 MPLS (multi protocol label switching) and SDH POPs (points of presence) and over 1,491
POIs with the local exchanges, providing a pan-India reach.

Its international infrastructure includes ownership of the i2i submarine cable system connecting
Chennai to Singapore, consortium ownership of the SMW4 submarine cable system and investment
in capacities across a number of diverse submarine cable systems across transatlantic and transpacific

routes. Additionally, in the recent past, it has announced investments in new cable systems such
as Asia America Gateway (AAG), India Middle East and Western Europe (IMEWE), Unity North,
EIG Europe India Gateway) and Eastern Africa Submarine Cable System (EASSy).

The corporate segment offers end-to-end telecom solutions to large enterprises in India. It provides
a full suite of communication services across data, voice and managed services. It specializes in
providing customized solutions to address unique requirements of different industry verticals including
BFSI, IT, ITeS, manufacturing and distribution, media, education, telecom, Government and retail,
among others.

Its services include internet, MPLS-VPN, domestic and international private leased circuits, satellite
services (VSAT), audio and video conferencing, data centre services, managed network services,
corporate value added services, EPBX, Centrex, contact centre solutions, toll free services, and
mobile enterprise enablement solutions.

Airtel’s other operations include passive infrastructure services. Bharti Infratel, a subsidiary of the
company, provides passive infrastructure services on a non-discriminatory basis to all telecom
operators in India. Bharti Infratel deploys, owns and manages passive infrastructure in 11 circles of
India. Bharti Infratel also holds 42% share in Indus Towers, a joint venture between Bharti Infratel,
Vodafone and Idea Cellular. Indus operates in 16 circles, including 4 circles common with Bharti
Infratel and 12 circles on exclusive basis. Bharti Infratel has 27,548 towers in 11 circles, excluding
the 35,066 towers in 12 circles for which the right of use has been assigned to Indus with effect from
January 2009. During FY2009, Indus Towers built 14,484 towers and had a portfolio of 95,154 towers
including the towers under right of use.

History

HISTORY

Bharti Airtel was established as Bharti Tele-Ventures (BTV) in 1995. The company started operations
in 1996.

In 2001, BTV entered into licenses for four fixed-line circles in addition to existing operations in
Madhya Pradesh. In the next year, the company went for an initial public offering of its shares.

During 2004, the company delisted its shares from the Delhi Stock Exchange, while its shares
continued to trade on the National Stock Exchange and the Bombay Stock Exchange.

Vodafone acquired a 10% stake in BTV for around $1.5 billion in 2005. In the next year, BTV’s name
was changed to Bharti Airtel Limited (Airtel).

In 2007, Bharti Infratel, a subsidiary of the company, announced plans to partner with Vodafone
Essar and Idea Cellular to form Indus Towers, an independent tower company to provide passive
infrastructure services in India. In the same year, it received license to provide telecom services in
Sri Lanka, and facility based operator license in Singapore to operate international carrier facilities
from Singapore.

In 2008, Airtel entered into two fiber-optic submarine cable agreements including one along with
eight companies of the global telecommunications industry to build a high-capacity fiber-optic
submarine cable that stretches from India to France via the Middle East; and another one along with
five international companies to build a high-bandwidth fiber-optic submarine cable linking Asia and
the US. Subsequently, Guernsey Airtel, a subsidiary of the Bharti Enterprise, launched its mobile
services in Guernsey, Channel Islands offering products and services under the Airtel-Vodafone
brand. Later in the year, Airtel entered into an exploratory discussion with MTN Group of South Africa
on the possibility of combining the two emerging market telecom companies. The discussion did not
result in a deal. Also in 2008, Airtel launched its virtual calling card service, Airtel CallHome, to enter
the UK market, and direct-to-home (DTH) TV services, direct TV, in India.

In January 2009, Airtel introduced its triple-play service by launching Airtel digital TV interactive, an
internet protocol (IP) TV, voice and broadband service. In February 2009, the company launched
the world’s first Windows based online desktop-powered by Microsoft and Nivio. This offering gives
access to a personal virtual desktop from any computer connected to the internet for Airtel broadband
customers.

In March 2009, Australia Japan Cable and Airtel entered into a partnership agreement to interconnect
their current and future networks in Guam. This agreement allowed both parties to offer services
from a number of locations including Singapore and the US West Coast to Australia.

In the next month, Airtel and Alcatel Lucent formed a joint venture to manage Airtel’s pan-India
broadband and telephone services and help its transition to next generation networks. In May 2009,

it entered the cloud computing market by launching Airtel Net PC, a low-cost online computer for its
broadband customers.

In August 2009, Airtel created a new terrestrial cable network to Bhutan. As part of this initiative,
Airtel inked a MoU with the Royal Government of Bhutan to extend fiber connectivity. Subsequently,
the company launched a corporate mailing solution for small and medium size enterprises (SMEs),
Airtel Hosted Mail. In the same month, it introduced its global wholesale service portfolio with a
network that will reach 50 countries across the continents of Europe, North America, Africa, Asia
and Australia.

Airtel and Cisco entered into a strategic business alliance in October 2009 to provide a set of unique
products and services including managed data services, hosted unified communications, connected
branch services and Cisco TelePresence. Subsequently, the company launched its ethernet services
in more than 25 global cities across Asia, Europe, North America and Australia.

In January 2010, the company entered into an agreement to acquire 70% stake in Warid Telecom,
a wholly owned subsidiary of the Dhabi Group in Bangladesh offering mobile services. Subsequently,
Airtel announced strategic organizational changes by creating a new dedicated International Business
Group that will be responsible for expanding the company’s operations outside India and South Asia.
In the following month, Airtel launched India’s first mobile app store, Airtel App Central, which includes
1,250 applications across 25 categories for business, games, books, social networking and other
needs.

In March 2010, the company entered the media and entertainment market by launching Airtel Digital
Media Business with the aim of offering content delivery solutions to the sector. Subsequently, Airtel
and Ericsson expanded their strategic partnership with a $1.3 billion network expansion contract.
As part of the contract, Ericsson will expand and upgrade Airtel’s network in 15 of India’s 22 telecom
circles.

In April 2010, Airtel, along with its partners, launched the Unity cable system, a 9,620 kilometer
submarine cable system linking Japan and the West Coast of the US. In the following month, the
company won 3G spectrum in 13 circles for INR122,954.6 million (approximately $2,732 million) in
an auction held by the Indian government.

In June 2010, the company completed the acquisition of Zain Group’s (Mobile Telecommunications
Company) mobile operations in 15 countries across Africa for an enterprise valuation of $10.7 billion.

Decreasing ARPU

The company has been experiencing decline in its average revenue per user (ARPU) in India during
recent years. Despite having one of the world’s lowest tariffs for local and long distance calls, the
company continued to decrease its charges in India to cope up with the competition. As a result,
Airtel’s ARPU decreased from $7.5 at the end of FY2007 to $6.8 at the end of 2008 and $5.02 at
the end of December 2009. Although, the company managed to register revenues growth due to
new customer additions, its overall revenue growth rate and margins continued to decline. As a
result, the company’s future success in India will depends on its ability to attract new customers and

Bharti Enterprises, the promoter and major shareholder in Airtel, has a relatively weak corporate
house image compared to its major competitors. Despite having a strong brand value for Airtel brand,

promoted or manly held by large corporate house such as Tata Group (Tata Communications and

Low penetration rates

The Indian telecom market is one of the less penetrated markets in the world. The Indian market
has low penetrations rates in the mobile, broadband and related services segments. The market
recorded significant growth in recent times to register about 600.7 million telecom customers at the
end of 2009. This allowed it to surpass the US to become the second largest market in the world
after China. Furthermore, the telecom penetration rate in India was 51.1% at the end of 2009 with
a wireless penetration rate of 47.91% and broadband penetration of 0.73%. Low penetration rates
signify potential for growth in coming years. The government of India is targeting 1 billion telecom
customers by 2015 and 20 million broadband customers by 2010. The growth in this market is being
driven by increasing urbanization, rising income levels and a large young population.

Airtel is the leading player in the Indian telecom market. Low penetration rates will allow it to continue
its revenue growth in coming years.

New services

The company has been introducing various new services in recent times. In October 2008, it launched
direct-to-home (DTH) TV services, digital TV, in India. In January 2009, Airtel introduced its triple
play service by launching Airtel digital TV interactive, an internet protocol (IP) TV service combined
with telephone and broadband. In August 2009, it launched corporate mailing solution, Airtel Hosted

In August 2009, it also created a terrestrial cable network for Bhutan. As part of this initiative, Airtel

Airtel continued its acquisition spree by completing the acquisition of Mobile Telecommunications
Company/Zain Group’s mobile operations in 15 countries across Africa for an enterprise valuation
of $10.7 billion. Through this Airtel becomes the sixth largest in-country integrated telecom operator
in the world with a total customer base of approximately 180 million in 18 countries. Further, this
acquisition provided Airtel access to telecom markets in 15 countries of Africa including Burkina
Faso, Chad, Congo Brazzaville, Democratic Republic of Congo, Gabon, Ghana, Kenya, Madagascar,
Malawi, Niger, Nigeria, Sierra Leone, Tanzania, Uganda and Zambia. Further, most of these regions
have a telecom penetration of less than 50% and broadband penetration of less than 10%, providing
significant growth opportunities for Airtel in coming years.

the virtual calling card service in the UK, Singapore and Canada, at a calling rate of 1 cent per minute
in the US on its online calling card service www.airtelcallhome.com. It also made its overseas prepaid
recharge service available online and in over 150 money exchanges in the UAE.

The company’s expanding presence will diversify its operations and enhance its brand image, besides
allowing it to gain economies of scale in the long term.

Threats

Increasing competition

The competition in the Indian telecom market has been increasing in recent time owing to expansion
of existing players and entry of new players. In recent times, the market has experienced launch of
services in new circles by existing players and migration to GSM technology by CDMA players.
Furthermore, mobile players are also entering the enterprise business by launching their national
and international long distance operations.

For instance, Reliance Communications extended its services on GSM, in addition to CDMA, in
December 2008. International players such as Vodafone and NTT DOCOMO also made a direct
entry into the market. Vodafone acquired a controlling stake in Hutchison Essar, which operated as
Hutch brand, and rebranded Hutch to Vodafone. NTT DOCOMO entered the market as TATA
DOCOMO through an alliance with Tata Teleservices, a CDMA service provider operation under
the brand name Tata Indicom and subsidiary of Tata Communications. Additionally, Tata Teleservices
also launched Virgin Mobile services targeting young generation through a brand franchise agreement
with Virgin Group.

Additionally, in March 2009, Telecom Regulatory Authority of India (TRAI) recommended the entry
of mobile virtual network operator (MVNO) in India, further increasing the competition.

An increasing competition may affect the company’s market share in coming years.

Regulations

The telecom regulations in India have been increasing in recent times. The regulations on
communication in India are handled by the Department of Telecommunication (DoT) and TRAI. In
recent times, there have been significant modifications and additions to regulations. For instance,
in March 2009, TRAI released its regulations on quality of service (QoS) for the telecom sector
standards for both wireline and wireless services. For wireline services, TRAI has specified that
billing complaints should be resolved within a maximum of four weeks. For cellular services, the
benchmark for call drop rates has been revised from less than 3% to less than or equal to 2%. Also
in March 2009, TRAI also released QoS DTH operators, mainly concentrating on matters related to
packages and charges.

The regulatory changes may affect the company’s revenues, and compel it to make changes in
organization to adapt to new regulations.

The statement has been taken from the company’s 2009 annual report.

The history of your Company is marked with some memorable years. However, the past year was,
without a doubt, transformational in many respects. Our focus on spreading the benefits of
telecommunications in rural India has yielded particularly gratifying results. With our country-wide
network and targeted initiatives, such as the joint venture with IFFCO, we are touching and
transforming the lives of people and making a positive impact across rural India, in unprecedented
ways.

Even as major economies around the world grappled with a severe recession, India experienced a
relative slowdown but remained a rare oasis of growth. Our 6.5% GDP growth in 2008-09 is the
slowest since 2003, but still robust and remarkable in comparison. The telecom sector continues to
play an important part in the Indian growth story. Your Company, with 100 million customers, is
eminently placed to leverage the benefits of the strong customer trust that we have been able to
build. The addition of new services such as DTH and IPTV will ensure Airtel retains and further
strengthens its brand leadership.

As a first step towards pursuing our international aspirations, we commenced operations in Sri Lanka.
The runaway success of the launch has justified our conviction that the Airtel business model can
be effectively and profitably replicated in other countries. We are determined to pursue our
international strategy going forward. In the near future India is likely to witness plenty of action as
new players and new technologies, including 3G, enter and significantly influence market dynamics.
3G technology has data capability and will play an important role in bridging the digital divide by
taking wireless broadband to even the remotest corners of the country. The government has already
formulated guidelines for the auction of 3G spectrum and your Company will be bidding for allocation
of additional spectrum when the process is finalized.

Employees have always been at the centre of our endeavour. I would like to express my appreciation
for their continuous commitment to our success. During the course of the year, we have undertaken
key apex-level organisational changes in order to manage future growth opportunities, leverage
scale and build the cost synergies of ‘One Airtel’. I believe our management team has the leadership
capability to take Bharti Airtel to the next level.

In the course of running its business, Bharti Airtel touches millions of lives in positive ways. We
remain eager to keep changing lives, even beyond the domain of our business. The Bharti group
has established Bharti Foundation, which is focused on providing quality education to underprivileged
children in rural India. The Foundation is well on its way toward realising its goal of schooling 100,000
children. I am happy to note that an increasing number of our employees are participating in this
programme, both through financial contributions and volunteering.
