LEASE AGREEMENT

THIS AGREEMENT made and entered in to on this day of 2019 Between Mrs
Shakila Prakash W/o Late Prakash Kumar. aged about 65 years residing at No.1128,1st cross,Ashoka
Nagara,Mandya-571401. hereinafter called “the Lessor” (which expression shall mean and include
their legal heirs representative, administers, executors and assigns) on the ONE PART

AND

MAXVALUE CREDITS AND INVESTMENTS LTD, a Non-Banking Finance Company


incorporated under the provisions of the Companies Act, 1956 and registered with RBI, having its
Registered office at bearing No. TC-9/375/6-9, Cee Kay Plaza, Opposite Metropolitan Hospital,
Koorkkenchery, Thrissur-680007 represented by its Sri K.N.Ramamoorthy S/o K.Nanjundan
hereinafter called “the Lessee” (which expression shall unless it be repugnant to the context or meaning
thereof be deemed to mean and include its successors and permitted assigns) of the OTHER PART.
WHEREAS the Lessor is the absolute owner and entitled to and possessed of the building bearing
No.1128, First Floor, 1st cross, Ashoka Nagara, Mandya - 571401.having a carpet area of 950 Sq.ft.
approximately on the First Floor at Ashoka Nagara,Mandya.(here in after referred to as the said
premises)

AND WHEREAS the Lessee is desirous of taking on lease basis and the Lessor shall agree to give the
said premises for running their new branch office at Five+Five Years for the period and terms and
conditions as herein after appearing here under.

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:-

1. In consideration of the rent herein reserved and of the terms and conditions, covenants and
agreements herein contained and on the part of the Lessee to be observed and performed,
the Lessor doth hereby grant permission to the Lessee for the use and enjoyment of the said
premises for a total period of Five + Five years commencing from ……………...

2. The Lessee hereby agrees to pay a rent of Rs.20000 /- ( Rupees Twenty Thousand Only)
plus GST as per government rates per month for the use and enjoyment of the said premises
together with fixtures and fittings therein. Such amount shall be paid by the Lessee after
One month from the date of handing over of the property by the Lessor after
completion of civil works as agreed, if any. The existing rent shall be enhanced @15.%
after every Three years.

3. The monthly rent as aforesaid together with applicable GST, if any shall be paid by the
Lessee to the Lessor’s bank account on or before 10th day of every succeeding month
subject to deduction of tax at source as applicable.

4. The Lessee has paid a sum of Rs120000 /- ( Rupees One Lakh Twenty Thousand Only )
to the Lessor as interest free security deposit for the due performance of this Agreement,
the receipt of which is acknowledged by the Lessor. The said security deposit shall be
forthwith refundable by the Lessor to the Lessee at the expiry of the lease period or on
earlier termination of this lease agreement.

5. In the event, the Lessor fails to refund the said Security deposit to the Lessee, after handing
over the vacant possession of the premises, the Lessee shall continue to occupy the said
premises without paying any rent till the security deposit is refunded by the Lessor. The
Lessor shall be entitled to recover charges from the security deposit for damages; if any;
caused to the leased property.

6. The Lessee shall be at liberty to convert any portion in the demised premises into
(cabin/cabins/counters) and for that limited purpose make necessary alterations such as
fixing wooden and such other fittings as may be necessary within the leased premises.

7. The Lessee shall be at liberty to remove the said fittings etc. fitted belonging to the Lessee
during the lease period or within a reasonable time from the day of termination of the lease.
However the Lessee shall ensure that no damage is caused to the building while removing
the fitted belongings of the Lessee.

8. The Lessee shall use the said premises for office purpose only and shall not use the portion
for any unlawful purpose or carry out any offensive or prohibitive business in the premises.
The Lessee shall not sublet, under let, transfer, assign or part with the possession of the said
premises to any third party.

9. The Lessor shall provide parking space in front of the office or at parking area for exclusive
use of the Lessee.

10. The Lessor shall provide three- phase electricity connection to the said premises at their
own costs. The Lessee shall pay the electricity consumption charges as per the meter
reading. It is clarified that any other charges/deposits etc. shall have to be paid by the Lessor
on his own accord. The power load provided shall be as per Lessee‘s requirement
communicated to the Lessor in writing and electrical wiring till the Distribution Board shall
be done as per requirement of the Lessee at Lessors‘ expense. The Lessor/s agree to remit
any future increase in security deposit related to Electricity /water etc

11. That the Lessor shall provide the facilities of regular, adequate and continuous water
supply, before the Lessee is put in possession of the demised premises and the Lessee shall
pay actual consumption charges thereof.

12. In the event any of the problem faced by the Lessee in getting regular water supply and
electricity, the Lessor shall undertake to rectify the same within two days, failing which,
the Lessor shall indemnify the Lessee against all costs, expenses, and damages
incurred/sustained as a result of such default.

13. The Lessor shall agree to complete the flooring work of the leased premises with good
quality vitrified tiles at his own cost and the Lessor shall provide Toilet with washbasin,
inside the premises for the exclusive possession of the Lessee.
14. The Lessor shall agree to fix rolling shutter at the entrance of the leased premises, at the
cost of the Lessor.

15. The Lessor shall hereby agree to done necessary waterproofing works, if any leakages are
observed from the walls/roof slab any time during the period of lease or extended period,
at the cost of the Lessor.

16. The Lessor shall agree to provide space for installing outdoor unit of the air conditioners,
generator and space for electrical earth pits at suitable locations identified by the Lessee,
free of rent.

17. The Lessor shall construct a Strong room according to the RBI specification at their cost
and the strong room door will be provided by the Lessee.

18. The Lessor shall provide facilities to the Lessee to display prominently sign boards,
nameplates or other signage as may be deemed fit by the Lessee on the said premises. The
Lessee shall be permitted to install glow signboard in front of the building suitably. The
Lessee shall obtain requisite permission/approval from relevant authority for the same.

19. The Lessor shall agree to white wash the premises before handing over the same to the
Lessee.

20. The Lessor hereby agrees to ensure unobstructed movement through the staircase and
pathway/varantha for the use of Lessee as well as his employees and customers.

21. The Lessee shall maintain the premises in good condition. The Lessee further agrees not to
construct or make any additions, alterations, or modifications to the said premises without
the consent of the Lessor. The Lessor hereby consents to additions and/or alterations of any
nature whatsoever that may be required in the said premises including the outer walls and
the terrace, for computerization, including cabling, permission for securing additional
power requirements, installation of Local Area Network (LAN), installation of V-SAT
Antennae on roof top or any other part of the premises, if any, that may be installed now or
at any time with provision for an independent door for being kept open all the 24 hours
(round the clock) all through the year. All periodical maintenance and major repairs to the
premises needed due to reasonable wear and tear shall be the responsibility of the Lessor
and to be carried out at its own cost.

22. The Lessor shall keep the said premises insured against loss or damage by fire in such sum
as the Lessor shall deem to be adequate and in the event of the said premises being
destroyed or damaged by fire during the said term forthwith to lay out in or towards
repairing or reinstating the same in good and substantial manner all moneys received under
or by virtue of any insurance effected thereon and to complete the said work in a reasonable
time. Insurance premium shall be borne by the Lessor. In case the Lessor fails to pay the
premium, the Lessee may in its absolute discretion, but without any obligation to do so,
remit the same and the amount so paid shall be recovered from the future rent payable by
the Lessee to the Lessor.
23. This agreement shall be further renewed/extended after expiry of the same on a mutually
agreed terms and conditions.

24. The Lessee shall pay electricity charges and water charges used for the said premises
directly to the concerned authority as per the bills.

25. The Lessee shall permit the Lessor or representative/s at the convenient hours in the
daytime to enter into the premises for inspection, but given at least 48 hours previous notice.

26. The Lessor as the Owner of the said Premises hereby agrees to pay past, present and future
property taxes and other taxes to the Corporation, Government or concerned statutory
authorities. In the event, during the lease of the said premises, the Lessor fails to pay the
taxes or other dues of Municipal Corporation, Municipalities or other statutory / local
bodies in respect of the said premises occupied by the Lessee, the Lessee shall be at liberty
(but not bound) to pay such taxes / dues to that statutory / local bodies and subsequently
adjust it from the rents payable to Lessor in due course.

27. The Lessor shall doth hereby agree that the Agreement shall not terminate during its tenure
and shall not serve the notice of termination to the Lessee during its tenure of ……. years
of the Agreement, provided the Lessee is not violating any of the condition of the lease.

28. The Lessee shall handover the possession of the premises to the Lessor at the time of expiry
of the agreement in good condition, subject to normal wear and tear.

29. The Lessor shall confirm to the Lessee that there are no outstanding payments or dues
payable by the Lessor towards outgoing taxes, electricity and other dues for the period till
the time of execution of this Agreement.

30. The Lessor shall keep the interest of the Lessee saved and indemnified and protected against
any attachment, seizure or decree of, from or by any competent authority for any dues or
taxes payable by the Lessor.

31. The Lessor doth hereby agrees to indemnify the Lessee against any claims/losses, charges
expenses, fees and any consequences suffered or incurred by the Lessee, or any of its
directors officers, employees, etc. for [i] breach of any representation made by the Lessor
in these presents, [ii] any disputes/claims being made by any person or persons against the
leased premises as a result of which the right of the company to use and occupy the leased
premises is prejudicially affected.

32. In the event the Lessor proposes to sell, assign, dispose or transfer the SAID PREMISES
to another party during the tenure of this lease agreement, the Lessor in such circumstance
and prior to the consummation of such sale, assignation, transfer or disposal, shall give an
intimation in writing to the Lessee and arrange for such prospective purchaser, transferee,
assignee to acknowledge in writing the Lessees rights under and in accordance with the
terms of this agreement including the Lessees right to recover the security deposit, if any,
if the situation so arises, from such other person and if required by the Lessee, the execution
of a fresh lease agreement at his/her /their/its cost and expenses (including applicable
statutory charges if any) in favour of the Lessee on the same terms and conditions as in this
agreement.

IN WITNESS WHEREOF the Parties have signed this lease agreement on the date and year here
in above written.

This agreement is made in two sets, the original to be kept by the Lessor and the copy of the original
to be kept by the Lessee.
