TAXES, LEVIS AND DUTIES

The price(s) quoted herein is/are inclusive of direct taxes at our end, as currently applicable, whether
Levied by the central Government or the State Government. If there should be any amendment or
Variation in the rate or methodology for changing the applicable indirect taxes, and/or, should there be
any new levies imposed in respect of any of the activities or events under this contract, the entire
Burden of any additional levy or indirect taxation shall be payable by you on demand at any time, in
Addition to the price/s stated herein.

Without prejudice to the foregoing clause, it is stated that the contract price is inclusive of:
i) This is a works contract and is invoiced against each installments of the payments received. The
above quoted price is inclusive of GST @18%
ii) The above quoted price is inclusive of transportation, installation and taxes. But it
does not include cost of civil work, Scaffolding, Three Phase power in machine room,
power controller and bulkhead lights, U hook, C channels, checkered plate,earthings, pit ladder & licensing
involved in the installation of the lift. A three phase servo is required to stabilize fluctuating voltage.

2) TERMS OF PAYMENT( Ammended)

The adjustment in price in this quotation may be billed by us as soon as the amount thereof is
ascertainable and shall be payable on demand. Payment shall be made pro rata per lift as follows:
 5% Advance with your acceptance of this proposal
 30% against readiness of 1st stage materials( guide rails, brackets,door frames, etc)
 55% against 2nd stage lift materials( mechanical & electrical equipments) of the contract
value against readiness of the Lift Materials at factory before delivery
 5% on completion of mechanical erection at site.
 5% against commissioning and handing over of the elevator.

The percentage of payment schedule need not indicative of actual work in progress. Any payment
not made by the customer to the company at due date shall bear interest 18% per annum from such
due date till the payment of such amount. We reserve the right to dispose off the equipment or to
discontinue our work at any time until payment shall have been made as agreed and we have
assurance satisfactory to us that subsequent payments will be made as they fall due, provided also,
that this will in no way relieve you of your liabilities and obligations under this contract. The total
days of delay in making payment as per the payment schedule from your end shall delay the supply,
installation & Completion of Commissioning of the lift from our end proportionately.

ANNEXURE III

a) DELIVERY AND ERECTION

1. We shall complete the supply, erection, testing and commissioning of elevator within 8-12 weeks
from the date of handing over of the site complete in all respects including all civil works, shaft
and machine room lighting and necessary staircase for the machine room and provision of
scaffolding as per our requirements. Kindly note that our delivery and installation schedule will
reckon from the date of handing over the lift shaft and also subject to providing the necessary
civil and electrical works from your end as required at various stages of installation.

2. The above completion period is subject to your handing over to us for uninterrupted use a clear
dry elevator pit, shaft and machine room complete in all respects as per approved layout
drawing along with preparatory work and power supply a week before the completion date
indicated in above and subject to you providing continuous civil and electrical works thereafter at
various stages of installation.

3. If during the inspection of site, we observe that there is a delay in non-completion of the elevator
pit, shaft and machine room or non-availability of power supply, we may at our option delay the
transport of material to site so as to synchronize with the hoist way and machine room
completion date. In such an event, a fresh completion date shall be determined depending upon
minimum installation time indicated as above.

4. The Elevators supplied is custom made depending upon your specified requirement. As such
the same will not be taken back under any circumstances.

b) FREE MAINTENANCE AND GUARANTEE:

Our quotation includes for 12 months free maintenance subject to you making full payment of the
contract value upon handing over of elevator. The period of maintenance shall be deemed to be the
date of handing over of elevator to customer.

The materials supplied by us to your site shall have guarantee of 18 months from the date of our
supply or 12 months from the date of installation whichever is earlier. In the event of the elevator is
handled by third party for repairs without our consent in writing, the guarantee provided to elevator
and its parts will cease to have guarantee. If customer does not make full payment of the contract
value upon handing over of the elevator, the elevator and its parts shall have no guarantee.

Maintenance will consist of regular examinations and any necessary adjustment and lubrication of
the elevator equipment by our technicians. The cost of spare parts which covered under guarantee
of the company which require replacement due to normal wear and tear and manufacturing defect
will be borne by us. However, the guarantee offered to the elevator will not be available to the client
or customer if the elevator or any part of it is willfully damaged, damage due to negligence of the
customer or found to be meddled by unauthorized person other than the technicians of the
company. The guarantee is not covered to the elevator if the elevator or any part of it is damaged
due to any power fluctuations and failure due to water leakage and damages caused by rodents…
etc.,

Upon your request of the client, special examination will be made should trouble develop between
regular examinations and the customer / client agree to notify the company promptly of any such
trouble. All work will be performed during our regular working hours of our regular working days
except for emergency, breakdown of the elevators. In such event, the service will be provided
during non-working hours with extra cost.

Upon handing over of the elevator to the client, the possession and control over the elevator will be
exclusively with the client. The company shall have no responsibility except providing free
maintenance during the guarantee period and replacing any part of the elevator if found to be
malfunctioning/ non functioning due to manufacturing defect.

We shall not be liable for any loss, damage or delay due to any cause beyond our reasonable
control, including but not limited to acts of government, strikes, lockouts, fire explosion, theft, floods,
riot, civil commotion, war malicious mischief or act of God. Under the above circumstances we shall
not be liable for consequential damages.

ANNEXURE – IV

Scope of Clients work –Site readiness.

1. The customer shall furnish within two weeks (or sooner if required) from the date of acceptance
of this proposal, all required data for the performance of this contract to the company The
company will furnish a detailed drawing indicating the required shaft dimensions, lift pit,
overhead and machine room requirements to the customer in the general arrangement drawing.
The customer will be solely responsible for keeping the lift shaft ready as per the drawing
without involving the company in any manner.

2. The Customer shall design and furnish a properly framed and enclosed lift shaft as per the
drawing furnished by the company. If necessary, the customer shall provide extension of the lift
shaft above the roof to withstand the forces and loads resulting from use of the lift. The
customer shall arrange for keeping the lift shaft illuminated, treated and painted to minimize the
accumulation and circulation of dust.

3. The customer shall furnish a lift pit as per drawing furnished by the company below the lowest
landing. The customer shall provide suitable drains and waterproofing. In addition, the customer
shall also provide a steel ladder to access the pit.

4. The customer shall furnish a properly illuminated and ventilated fireproof machine room to the
company as per the drawing furnished by the company. The customer shall also furnish a
proper stair case with handrails to access the machine room along with flame proof door
opening to outside as per the fire safety norms.

5. The customer shall get the machine room walls, floor and ceiling treated and painted to
minimize accumulation and circulation of dust. The customer shall get the above works as
narrated in points 1 to 5 before commencement of installation of the elevator.

6. As the installation of the elevator by the company will have different stages, the customer shall
furnish and install necessary lift shaft door frames, architraves, brick fascias/ steel fascia plates.

7. The customer shall provide a continuous sill bearing area for lift shaft entrance of such
constructions as to assure secure anchorage and support for each sill.

8. The customer shall get all cutting of walls, floors or partitions together with any repairs done at
appropriate stages of installation of elevator including grouting of all bolts, sills, members
indicator and button boxes etc. in position.

9. The customer shall provide required power at the machine room terminating in suitable electrical
panel board as per the drawing provided by the company along with two independent earthing
terminated in the machine room of appropriate standards before testing the elevator equipment
by the company.

10. The customer shall provide bulkhead light fitting at every landing level and a 5A socket along
with control switch and a light point in the pit as per our drawing.

11. The customer shall provide during the erection of lifts, electrical power of the necessary
characteristics to provide illumination and for operation of tools and hoists if required and three
phase power supply for starting, testing and adjusting the lift.

12. The customer shall make arrangements to guard and protect lift shaft and machine room during
lift installation.

13. The customer shall provide all civil and electrical works done at different stages of installation of
elevator to complete the installation within the time stipulated in the contract. Any delay from the
customer in providing the civil and electrical supporting works at different stages of installation
will delay the completion date of installation of elevator agreed in the contract.

14. The customer shall get the required permission from the concerned authority for installation of
elevator before commencement of the installation and handover the copy of the same to the
company. The time for completion of the installation and handing over of the elevator shall be
reckoned from the date of handing over of the required permission to the company by the
customer apart from other conditions to be complied by the customer as mentioned above.

15. Upon completion of the installation and commissioning of the elevator, the customer shall make
arrangements to get the lift inspected by the proper authority and for obtaining necessary
license from the proper authority for operating the elevator.

16. If the customer desires to use the services of the company for obtaining the permission for
commencement of the installation and for obtaining the operating license after installation of the
elevator, the same shall be informed by the customer to the company in writing at the time of
entering into the contract. If any such requests made by the customer to the company in writing,
the company will provide such services to the customer at extra cost apart from the contract
value. The company will not assume/accept any responsibility for non-granting of the operating
license from the Lift Licensing Authority for violation of the building byelaws or any violation/s of
the sanctioned plan by the customer.
17. The customer shall provide scaffolding in the lift shaft as per the requirements of the erectors of
the company during the erection period and to remove the same thereafter. If the height of the
lift shaft is more than 40 meters, the customer shall provide steel scaffolding.

18. The customer shall provide suitable weather proof lockup storage accommodation of
approximately 50sq.m per lift for lift materials at the ground floor level near the hoist way. This
should be available well before the arrival of the materials.

19. The customer shall provide adequate safety and security measures to prevent any damage,
theft or pilferage of material during storage, erection period and until the elevator is handed over
to the customer. It is the sole responsibility of the customer to ensure the safety and protection
of the materials in his custody.

20. The customer shall provide hoisting beam or hoisting hooks in the machine room ceiling and
rolled steel sections with bearing plates for support of the machine, if required.

21. The customer shall provide living accommodation (complete with illumination, running water and
sanitary facilities) for the installation staff of the company at or near to the site.

22. The customer shall indemnify and keep the company harmless against all liability arising out of
failure of the customer to carry out any of the foregoing.

23. The customer shall furnish and install M S channel/ RS Joints and fixing guide brackets in the lift
shaft, if required, as per design of the company.

ANNEXURE – V
CONDITIONS OF CONTRACT

1. This contract shall be valid for a period of 12 months from the date of signing the contract. Any
delay beyond the period of contract resulting due to either delay in shaft readiness, delay in
releasing the payment as per the payment terms by the customer and changes in the price of
the materials, the parties agree to enter into a revised contract incorporating the necessary price
revision and also the fresh commitment dates for the supply and installation. In the event of
customer refusing to execute the revised contract within 4 weeks of intimation of the preparation
of the revised contract to the customer, the company shall be at liberty to treat the contract as
cancelled by the customer and forfeit/claim the amount as mentioned in clause no 3 of this
contract from the customer.

2. In the event of cancellation of contract by the customer, the company is entitled to forfeit the
amount paid by the customer to the company or claim compensation in the following manner:

(a) 10% of the contract value if the order is cancelled before approval of
Drawing.
(b) 25% of the contract value, if the contract is cancelled after the approval of general
arrangement drawing,
(c). 55% of the contract value if the order is cancelled after 60 days from the date of
approval of general arrangement drawings but before delivery of
materials.
(d) 90% of the contract value if the order is cancelled after delivery of materials at site.

3. The customer shall provide a safe working condition for the workmen of the company in the site
for installation of elevator. The company reserves the right to discontinue the work in the site if
the customer fails to provide adequate safety requirements.

4. Unless otherwise agreed, it is understood that the work will be performed during the regular
working hours on the regular working days of the company.

5. The company will not be liable for any loss, damage or delay due to any cause beyond its
reasonable control, including, but not limited to, lack of shipping space, embargoes, acts of
Government, strikes, lockouts, fire accidents, explosion, theft, flood, riots, civil commotion, war,
malicious mischief, delay in supplies of raw materials and components either at its suppliers
works or at its works due to any or all the reasons such as energy crisis, electricity cut, rail/ road
transporters strike, go slow, bandhs, non-availability of essential raw materials (iron and steel,
pig iron, aluminum, copper, silver, brass, stainless steel, various alloys electrical grade steel
etc.,) act of God or of the State’s enemies or act of third party. Should damage occur to its
material, tools or works on the premises from any such cause, the customer shall compensate
the company thereof The elevator supplied in its entirety to the customer shall be the exclusive
property of the company until the complete payment of the contract value is cleared and the
elevator possession is taken over by the customer by signing handing over document.

6. The equipment offered by the company is covered by guarantee for one year from the date of
handing over of the lift in good working condition and the liability of the company under this
guarantee include factored items repair or replacement of all defective parts if any, which may
prove faulty during this period including such parts as may be rendered inoperative by wear and
tear but exclude consumables like lights, fans and batteries …etc and shall not include such
parts as may be rendered inoperative by water seepage and leakage and mishandling by the

customer or any negligent acts of the customer or any damage caused due to meddling of the
equipment by any third party.

7. The company shall not be required to install or alter any equipment requested by government
authority at their discretion and not specifically incorporated in the local codes as on the date of
this proposal. Such charges, if feasible can be undertaken at extra cost.
8. This contract being for supply and erection any packing cases, or left over materials tools,
tackles, instruments etc. brought site are and shall remain our property.

9. The contract is deemed to be concluded at BANGALORE and only Courts in this place shall
have jurisdiction in the event of any dispute whatsoever.

10. If any drawings, illustrations or descriptive matter are furnished with this proposal they are
approximate and submitted only to show the general style, arrangement and dimensions of the
machinery offered. In case of any variation between your specification terms and conditions and
our quotation/ correspondence, the latter will prevail.

11. The company will provide technical assistance to the customer for getting approval from the
Electrical Inspectorate. This includes for all electrical layout drawings concerned with the lifts
and also general arrangement drawings. However, the application and fees for inspection and
any incidental expenses thereof or approval will have to be submitted by the customer. Suitable
guidance will be provided by the company. The Customer further agrees not to use the elevator
until the clearance/license is obtained. Any liability arising out of using the elevator / escalator
without proper clearance/license shall be that of the customer.
