DEED OF GIFT

THIS DEED OF GIFT is made and entered into at

Mumbai, on this day of JUNE 2010, BETWEEN

SHRI ARUNKUMAR NAHAR SINGH, Hindu, adult,

Indian Inhabitant, Residing at, Nahar Niketan, Ram-

Mandir Road, Goregaon (W),Mumbai-400 104

hereinafter be referred to as “THE DONOR ” (which

expression shall unless it be repugnant to the context or

meaning thereof, mean and include his legal heirs, legal

representatives, executors, administrators, and assigns,

etc.) of the FIRST PART AND MR. DIGVIJAY

ARUNKUMAR SINGH Hindu, adult, Indian Inhabitant,

Residing at, Nahar Niketan, Ram-Mandir Road,

Goregaon (W),Mumbai-400 104 hereinafter be referred

to as “THE DONEE” (which expression shall unless it

be repugnant to the context or meaning thereof, mean

and include his, legal heirs, legal representatives,

executors, administrators, and assigns, etc.,) of the

SECOND PART;

WHEREAS the Donor and Donee both are blood

relative i.e. the Donor is the father of the Donee;

AND WHERAS the Donor herein absolutely seized

and possessed of and lawful owner of Indusrtial Gala

being Gala No.305, adm. 315 sq.ft. (Built up Area) on

the Third Floor of the building known as Tapo

Commercial Centre, Ram-Mandir Road, Off S.V.Road,

Goregaon (W), Mumbai-400 104 lying, being and situate

at C.T.S. no.64, Corresponding to Survey No,3 Hissa

No.1 Of Village: Pahadi Goregaon, Taluka : Borivali more

particularly described in the Schedule hereunder written

and hereinafter referred to as “THE SAID PREMISES”

for the sake of brevity;

AND WHEREAS the Donor desire to transfer , all his

share, right, title and interest in the said premises, to

the Donee to enjoy the said premises alone or deal with

it as he likes;

AND WHEREAS The Donor, therefore desires to grant

and transfer his Ownership right in the said premises to

the Donee as gift in consideration of natural love and

affection as hereinafter mentioned;

AND WHEREAS the Donee has agreed to accept the

Ownership right as gift as is evidenced by this executing

these presents;

NOW THIS DEED WITNESSETH that the Donor,

without any monetary consideration and in

consideration of natural love and affection which the

Donor bears to the Donee doth hereby grant and

transfer by way of gift his ownership right, share, title

and interest in said premises situate at and more

particularly described in the Schedule hereunder written

together with all the liberties, privileges easements and

advantages appurtenant thereto And all the estate,

right, title, interest use, inheritance, possession, benefit,

claims and demand whatsoever of the Donor To Have

And To Hold the same unto and to the use of the Donee

absolutely but subject to the payment of all taxes,

rates, assessments, dues and duties now and hereafter

chargeable thereon to the Government or Municipality

or other Local Authority;

AND he the Donor doth hereby covenants with the

Donee;

(a) That the Donor has in himself, good right, full

power and absolute authority to grant his

ownership right in the said premises and other

the premises hereby granted as gift in the

manner aforesaid;

(b) The Donee may at all times hereafter peaceably

and quietly enter upon have occupy, possess

and enjoy the said premises his own use and

benefit without any suit, lawful eviction,

interruption, claim or demand whatsoever from

or by the Donor or his heirs, executors,

administrators and assigns or any person/s

lawfully claiming or to claim by, from, under or

in trust for the donor;

(c) That the said premises is free and clear

freely and clearly and absolutely and forever

released

and discharged and otherwise by the donor and

well and sufficiently saved kept harmless and

indemnified of and from and against all former

and other estate, titles, charges, and

encumbrances whatsoever, had made, executed,

occasioned or suffered by the Donor or by any

other person/s lawfully claiming or to claim by,

from, under or in trust for the Donor;

(d) AND FURTHER that the Donor and all persons

having or lawfully claiming any estate or interest

whatsoever to the said premises or any part

thereof from under or in trust for the Donor or

his heirs, executors, administrators and assigns

any of them shall and will from time to time and

at all times hereafter at the requests and cost of

the Donee do and execute or cause to be done

and executed all such further and other acts,

deeds, things, conveyances and assurances in

law whatsoever and better and more perfectly

assuring the said premises and every part

thereof unto and to the use of the Donee in the

manner aforesaid as by the Donee, his heirs,

executors, administrators and assigns or

counsel in law shall be reasonably required;

IN WITNESS WHEREOF, the parties hereto have

set and subscribed their signatures on the day,

month and year as mentioned hereinabove;

SCHEDULE AS HEREINABOVE REFERRED TO

Gala No.305, adm. 315 sq.ft. (Built up Area) on

the Third Floor of the building known as Tapo

Commercial Centre, Ram-Mandir Road, Off S.V.

Road, Goregaon (W), Mumbai-400 104 within the

Registration District and Sub District of Mumbai

City and Mumbai Suburban lying, being and

situate at C.T.S. no.64, Corresponding to Survey

No,3 Hissa No.1 Of Village: Pahadi Goregaon,

Taluka : Borivali;
