1,甲方情况介绍 Party A's situation：FAS FIDELITY SDN BHD is besed in Sg Buloh Peninsular
Malaysia that promoting the Biomass Feedstocks materials from the plantations and farmers in
Agriculture. are looking into the Palm Oil Trees byproducts such as the oil palm fronds that plenty
harvested from the plantations itself here.
2,乙方情况介绍 Party B's situation：HENAN FLOURISHING IMP&EXP.,LTD mainly supply
the pellet product line, be in charge of produce the pellets, and buy back the pellets,

3,双方拟从事的交易情况简介 Brief introduction of the transactions to be carried out by

both parties ：Party B supply the 2000-2500 tons per month pellets product line to Party
A, arrange three engineers to be in charge of produce the pellets, be responsible for the easy parts
and machine problem, produce the pellets cost is 25-30usd per ton, need pay it end of monthly,
buy back the pellets at the market price.

4，双方希望通过本备忘录记录本项目的状况，本项目具体内容经过随后谈判由双方签署
的项目合同最终确定 Both parties hope to record the status of this project through this
memorandum. The specific content of this project will be finalized after the negotiation of
the project contract signed by both parties.

基于上述事实，双方特达成协议如下 Based on the above facts, the two parties reached

an agreement as follows：
1， 双方已达成初步谅解的事项 Matters between the parties that have reached an initial
understanding
（1） supply the 2000-2500tons pellets plant per month,be in charge of produce the
pellets,include the easy parts and three engineers of china, product pellets cost
is 25-30usd per ton, pay it end of monthly, buy back the pellets by the market
price.
（2） Before ship out the pellets plant, Party A will pay the 70% of machines cost by LC,
rest 30% pay by pellets , Party B begin to buy the pellets after the plant to produce the
pellets second month by LC,FOB or CIF of payment terms. and prepaid one month
product pellets cost,(2000-2500tons) when JUCHANG ceo(yugang) and engineers team
got party A factory .
 2,双方需要进一步磋商的事项 Matters requiring further consultation between the two parties
（1） if also need produce the feed pellets, how many tons feed pellets per hours ?
(2) Party A provide enough raw material, electric power, if the raw material and electric power
is problem, cannot produce half of design capacity, Party A still need pay cost by half of design
capacity.
(3) Due to the machines problem, cannot produce the pellets by half of design capacity ,the
Party A do not need pay anything in the end of the month.

3, 双 方 签 订 备 忘 录 以 后 应 采 取 的 行 动 Actions to be taken after the two parties sign the

memorandum
sign the equipment purchase contract and pellets sales contract. After the signed the
memorandum in one month.

5,本备忘录的生效与终止 Entry into force and termination of this MOU

本备忘录经双方签字生效，至下列日期终止 This memorandum was signed by both
parties to terminate the following dates ：
A 双方用项目合同或本备忘录标的事项进一步的协议取代本备忘录 The two sides to
replace this with a further memorandum of agreement the project contract or subject
matter of this memorandum
B 任何一方无须提供任何理由，提前一个月书面通知另一方终止本备忘录；或本备忘录签
署 60 天 后 。 Neither party shall notify the other party in writing to terminate this
memorandum one month in advance without giving any reason; or 60 days after the
signing of this memorandum.

6，使用法律和仲裁 The use of legal and arbitration

本备忘录使用马来西亚法律，双方意见由于本备忘录产生的任何争议，应在 30 天内，通
过友好协商解决，如果未能解决，任何乙方可以将争议提交马来西亚法律和中国法律以英
语 进 行 仲 裁 。 This memorandum uses Malaysian law. Any dispute arising from this
memorandum shall be settled through friendly negotiation within 30 days. If not resolved,
any Party B may submit the dispute to Malaysian law and Chinese law for arbitration in
English.

双方正式授权代表已于文首所载日期签署本备忘录，特此证明。The memorandum and

officially authorized representatives of both parties have signed this memorandum on the
date of the first article.
