This has reference to the discussions we had. We are pleased to present the offer as under:
Radio Mirchi is a nationwide network of private FM radio stations in India. It is owned by the
Entertainment Network India Ltd (ENIL), which is one of the subsidiaries of The Times Group.

It's the largest private FM Radio operator in the country in terms of number of operational

Radio Mirchi 98.3 FM Tops FM Rankings

Radio Mirchi is the Rajah of the Indian FM radio waves. According to the Indian Readership
Survey (IRS) Round 2 (R2) conducted by Media Research Users' Council (MRUC) and Hansa
Research, Radio Mirchi attracted a listener ship (yesterday listener ship) of 16.34 million
(nationally) during the period July 2007 – June 2008, taking it to the top of the heap of the FM
radio sweepstakes.
Also, as per the recently declared Indian Readership Survey 2008 (Round II) results, Radio
Mirchi 98.3 FM has been rated as the only private FM player that reaches out to more than 16
million people. Moreover, as per the RAM (Radio Audience Measurement) score card for average
of 52 weeks, Radio Mirchi has also acquired the No.1 position in terms of total listener ship
across Delhi and Bangalore in CUMES and TARP (Target Audience Rating Points). Furthermore,
Radio Mirchi has also been No.1 in Kolkata for 20 weeks. This has allowed it to maintain its
position of being the most preferred radio station amongst listeners.

Radio Mirchi in Andhra Pradesh


In Andhra Pradesh we have operations in three cities (Hyderabad, Vishakapatnam and
Vijayawada); in Hyderabad we started operations in April 2006. Within one year of launch we
established ourselves as the number one FM channel in Hyderabad, with listnership base more
than 25 lakh people (Indian Readership Survey 2008 Round II). This has been primarily
because of superior understanding of local market and giving listeners entertainment to the
best of their choices. While in Vizag and Vijayawada the operations were started in November
2007.

For a 3rd year in a row, Radio Mirchi Hyderabad, once again, thwarts competition & comes out
as the clear Number One Private FM Channel in the city in the recently conducted Indian
Readership Survey (IRS) Round 1 (R1), which is an independent research done by Media

Station among all other Private FM stations in the city.

Indian Readership Survey or IRS is one of the largest independent readership survey conducted
in India. Conducted by Hansa Research for Media Research User's Council (MRUC), IRS covers
readership for newspapers, internet usage, television viewer ship and now Radio Listener ship.

Established in 1995, IRS data is widely used by media planners for finalizing the media strategy.
Besides, IRS also provides valuable insights into the consumption habits of the Indian consumer.

Terms & Conditions for booking advertisements on Entertainment Network (India) Limited – For Advertiser (“Terms and
Conditions”)
1. These Terms and Conditions shall be deemed to form an integral part of the Sales Proposal and the Release
Order between Entertainment Network (India) Limited (ENIL) and the Advertiser.
2. ENIL owns and operates its Radio stations under the popular brand and registered trademark “Radio Mirchi®”.
3. All words and expressions not defined herein shall have the same meaning as assigned to them in the Sales
Proposal and the Release Order.
4. The Advertiser represents that they have the authority to enter into this deal without further reference to any
other entity/person and that they do not suffer from any legal disabilities and infirmities.
5. All bookings made will be on the basis of the ENIL Rate Card effective from the 1st day of April, 2009
6. All bookings must be sent to ENIL on the letterhead of the Advertiser in original signed by the Authorized
Signatory as per the format attached to the Sales Proposal. The Advertiser agrees that email or fax will not be
accepted as a Release Order.
7. All rates are subject to change at the sole discretion of ENIL. However ENIL will endeavour to notify the
Advertiser at least 24 (twenty four) hours in advance of the change in rates offered by ENIL.
8. In accordance with ENIL’s policy, booking commitments once made cannot be cancelled.
9. All bookings are subject to availability. The content for the Advertisements must be provided by the Advertiser
at least five (5) days prior to the Commencement Date of the Campaign. The Content for the Advertisements
and the Campaign for an ENIL Programme that is being sponsored on ENIL, must be sent at least two (2)
weeks prior to the Commencement date of any such Sponsored Programme.
10. The timing, manner and mode of the Advertisements/Campaign/Sponsored Programme to be broadcast on
ENIL’s Radio Stations will always be at the sole discretion of ENIL. Advertisements of less than ten (10) seconds
will not be accepted by ENIL.
11. At the sole discretion of ENIL, if any Programme/Campaign on ENIL’s Radio Station that has been offered to the
Advertiser to be sponsored by clients is discontinued for any reason whatsoever then in that event the
Campaign and the content for the Sponsored Programme will automatically be transferred to the new
Programme. The Advertiser shall have no objection to the same.
12. The Campaign will be broadcast on a best effort basis as per inventory available. In case a particular
advertisement has been dropped from the Campaign for any reason whatsoever, ENIL will broadcast the
dropped advertisements on some other day at the time ENIL deems fit.
13. At the end of 15 (fifteen) days, ENIL will raise an Invoice for the amount due and payable by the Advertiser for
the preceding days. All such Invoices must be paid by the Advertiser without contestation and demur within the
agreed credit terms from the date of the Invoice through account payee cheque payable at par, failing which
Advertiserwill be liable to pay ENIL in addition to the amounts mentioned in the Invoice an interest of eighteen
percent (18%) per annum from the date of the Invoice till payment thereof. It is clarified that the Invoices will
be raised by ENIL on the 15th and 30th / 31st of every month.
14. All taxes including but not limited to Service Tax, cess, duties etc as may be applicable from time to time, would
be borne by the Advertiser only.
15. Whilst attempts will be made to give a Broadcast Certificate (which will not include Radio Jockey mentions,
Sponsorships, Contests etc.), Invoice once raised will be the final proof of broadcasting of the Campaign and no
further proof of broadcast will be provided. Monitoring reports from any independent agency that contradicts

the broadcast will not be entertained. The decision of ENIL shall be final and no communication shall be
entertained in this regard.
16. No deduction(s) will be made by the Advertiser while paying the Invoice raised by ENIL.
17. All content provided by the Advertiser is subject to Standard Practices prevalent in the radio Industry in India;
clearance and technical checks and will conform with applicable content standards of India and all applicable
laws, rules and regulations pertaining to private FM radio broadcasting in India including but not limited to
Broadcasting Code for AIR, Ministry of Information and Broadcasting etc
18. The Advertiser hereby further declares, affirms and assures that they have obtained all consents, approvals,
permissions, licenses etc. to broadcast the Advertisement/Campaign, from relevant third parties including but
not limited to Phonographic Performance Limited (PPL), The Indian Performing Right Society Ltd. (IPRS),
respective Music/Film Companies/ Producers etc., as applicable and are also solely responsible for paying
directly to PPL, IPRS, the respective Music/Film Companies/ Producers etc. all related/ associated payments of
usage of the content / music / underlay etc for such Advertisement/Campaign to be broadcast by ENIL.
19. The Advertiser represents, warrants and undertakes that the commercials or content are not obscene, indecent
and/or immoral, defamatory or libelous and will not hurt religious feelings or sentiments of any listeners or any
third party. All representations and promises made in the Advertisements/Campaign will be made on behalf of
the Advertiser and ENIL accepts no liability for the same.
20. The Advertiser represents, warrants and undertakes that ENIL shall not be responsible for any product or
service liability of any kind. It is clarified that ENIL is a mere broadcaster of the Advertisements.
21. The Advertiser represents, warrants and undertakes that the contents of the Advertisements to be broadcast
are in conformity with all the applicable laws prevailing in India and have been duly censored by the
Appropriate Authority (ies).
22. The Advertiser represents and warrants that it is, and shall continue to have the permission from the original
copyright owner of the advertisement/campaign/sound recording/songs/works(as defined in the Copyright Act,
1957) and assures ENIL that the use of the content of the Advertisements /Campaign/sound recording/songs/
works(as defined in the Copyright Act, 1957) pursuant to the Sales Proposal and Release Order shall not result
in breach of any intellectual property rights or other rights of any third party of the Advertiser;
23. The Advertiser represents, warrants and undertakes that it will not infringe the intellectual property rights or
any other rights (including any right of privacy or confidence) of any third party/person and agrees that ENIL
may with prior intimation to the Advertiser refuse to broadcast any Advertisement if ENIL reasonably believes
that such Advertisement infringes any third Party’s intellectual property rights, violates the content standards
and regulations of India and/or violates the relevant laws of any distribution territory /applicable laws, rules and
regulations pertaining to private FM radio broadcasting in India.
24. The Advertiser has no right to the Creatives, ideas, and the entire of the Advertisements /Campaign created by
ENIL. All intellectual property rights or any other rights in the aforesaid shall vest with ENIL in perpetuity to the
exclusion of all others.
25. ENIL reserves the right to alter, abbreviate or drop Advertisements/Campaign either in part or as a whole if they
appear to be conflicting with the policies of ENIL or inter-alia illegal, objectionable, or defamatory and for any
reason whatsoever, and in this regard ENIL’s decision shall be final and binding. Any such alteration,
abbreviation or dropping, or the like shall not invalidate the Release Order, nor shall ENIL become liable for any

loss or damage including any consequential damage for loss of goodwill, business or otherwise due to the
aforesaid conduct or steps taken by ENIL to the Advertiser or the Client.
26. The Advertiser agrees that ENIL shall not be liable for any errors or omissions, whether on behalf of itself or
third parties and further that ENIL shall not be responsible for any computer/ systems/ or any other related
breakdowns/failures which might result in no broadcast or delay of broadcast.
27. The Advertiser agrees that ENIL shall not be liable for delay or failure caused by acts of God, suppliers,
contractors, distributors, any government, flood, insurrection, embargo, strikes whether legal or illegal or other
contingencies or any Force Majeure conditions beyond ENIL's control.
28. The Advertiser shall indemnify ENIL and keep ENIL indemnified against all losses, damages, expenses
(including legal expenses), charges or other costs (including any settlement payments) suffered or incurred by
ENIL as a result of a breach, or alleged breach, of any of the representations and warranties or infringement of
any intellectual property rights of any party by the Advertiser.
29. In the case of any dispute, breach or claim arising out of or in connection with or relating to these Terms and
conditions, the Parties shall attempt to first resolve such dispute or claim through discussions amongst
themselves. If the dispute is not resolved through discussions, then the dispute or claim shall be finally settled
by arbitration through a sole arbitrator, who shall be appointed by ENIL. The arbitration proceedings shall be
conducted in accordance with the Arbitration and Conciliation Act, 1996. The venue of arbitration shall be in
Mumbai and the proceedings shall take place in English.
30. All disputes are subject to the jurisdiction of the Courts at Mumbai only.
31. The Terms and Conditions of the Sales Proposal shall be valid till such time as the Total Consideration for the
Campaign is received by ENIL.
32. None of the provisions of these Terms and Conditions shall be deemed to constitute a partnership or agency
between the Advertiser and ENIL and the Advertiser shall have no authority to bind ENIL in any manner
whatsoever. This shall be treated as a Principal to Principal relationship vis a vis ENIL and the Advertiser.
33. ENIL reserves the right to change any or all of the Terms and Conditions, without giving prior intimation/notice
of any kind to the Advertiser and will not be liable for inter alia any losses consequential losses/damages etc.
34. The Terms and Conditions along with the Sales Proposal and the Release Order shall form the entire agreement
between the Advertiser, the Client and ENIL. Incase of a conflict between any of the above these Terms and
Conditions shall prevail and be binding on the aforesaid Parties.
35. The Advertiser acknowledges that they have read, understood and hereby irrevocably and unconditionally agree
to the Terms and Conditions.
We have read, understood and agree that we will abide by the Terms & Conditions and Sales Proposal and
Release Order.
