DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale made and entered into by and between:

Ceferino M. Catubag, of legal age, Filipino, married,

and a resident of Accusilian Tuao, Cagayan,
Philippines, (hereinafter referred to as the
"VENDOR");

- and -

Ricardo G. Catubag, of legal age, Filipino, single, and

a resident of Accusilian Tuao, Cagayan, Philippines,
(hereinafter referred to as the "VENDEE");

WITNESSETH:

Whereas, the SELLER is the registered owner of a house, located at

Accusilian Tuao, Cagayan and whereas, the BUYER has offered to buy and the
SELLER has agreed to sell the above mentioned property for the amount of
One Hundred Fifty Thousand Only (P 150,000.00) Philippine Currency;

NOW THEREFORE, for and in consideration of the sum of One Hundred

Fifty Thousand Only (P 150,000.00) Philippine Currency, hand paid by the
vendee to the vendor, the SELLER DO HEREBY SELL, TRANSFER and CONVEY
by way of Absolute Sale unto the said BUYER, his heirs and assigns, the certain
house, free from all liens and encumbrances of whatever nature including real
estate taxes as of the date of this sale.

The SELLER would defend the title and rights of the BUYER from any
claims of whatever kind or nature from third persons.

Capital gains tax, transfer tax and other taxes, fees and charges that may
be imposed on the transfer of title in favor of the VENDEE shall be for the sole
account of the VENDEE.

This Agreement shall be valid and binding not only on the parties herein
but also on their heirs, agents, representatives, successors and assigns.

_____________, personally known to me (or whom I have identified through competent evidence
of identity) and who represented to me that his signature on the foregoing instrument was
voluntarily affixed by hi for the purposes stated in the instrument and who declared that he has
executed the foregoing instrument as his free and voluntary act and deed.
