EMPLOYMENT CONTRACT

This Employment Agreement, dated DD-MMM-YYYY, is between << Name of the Trust>>, a Public
Charitable Trust with an address <<Regd Address>>, hereinafter known as “The Trust”

AND

_________________ aged ______ years, son/daughter of ____________, residing at


________________________, Known as “The Employee”

The Regulations and Conditions of Employment as set out herein will be deemed to constitute a
“Contract of Employment”, in fulfilment of current employment legislation.

1. TERM

1.1 The Agreement is for the duration until mutually terminated with the
consent of the parties.

1.2 There will be a probationary period of 3 months. At the end of this period the position will be
reviewed and if satisfactory the continuation of the employment will be confirmed. It is within the
exclusive discretion of the Trust to determine if the service is satisfactorily performed.

2. JOB DESCRIPTION

2.1 Upon the execution of this Agreement, the Employee’s post (or position) is << Designation>> at <<
Location>>

2.2 During the term period of this Agreement, the Trust may change the employee's above mentioned
post (or position) or location based on the Trust's production, operation or working requirements or
according to the employee's working capacities and performance.

2.3 The employee agrees that the Trust will assign work to the employee according to its requirements
during the term of this agreement, and employee must complete the required quantity of work and
reach the quality target. While performing her obligations under this agreement, the employee shall not
exceed the scope of authority assigned by the Trust. The employee has agreed that during the term of
this Agreement, the employee:

(a) Shall comply with the provisions herein, relevant laws and regulations and all of Trust's rules
and regulations;

(b) Shall work during the prescribed work hours, viz. 9.30 AM to 5.30 PM and exert all efforts
and capabilities to perform her obligations under this agreement and commit best efforts to
assist the Trust to meet its purposes;

(c) Shall keep all the information confidential;

(d) Shall not engage in activities which may harm the Trust's interests, nor try to obtain
private profit either personally or for friends, relatives or other beneficiaries, using the
position or authority obtained as an employee and at the expense of the Trust.

3. WORKING HOURS AND PAID HOLIDAYS

3.1 Upon execution of this Agreement, and subject to the requirements of the employee's post or
position, the employee shall work for 5 days a week and 2 or 2.5 Saturdays a month (depending on the
number of total Saturdays in a month)

3.2 The employee shall be entitled to take paid leave per year. This leave is accrued at the rate of 0.5
working day per month during the probationary period and then at the rate of 1.5 day per month.

3.3 Employees on probation may not be entitled to leave without pay. Employees cannot take leave
without pay unless they have exhausted all their other leaves. If leave without pay is sanctioned by the
Trust, the loss of pay will be calculated on a pro-rata basis. If the employee remains on leave for a period
longer than sanctioned by the Trust, the Trust shall have all rights to Terminate the employment of the
Employee.

3.4 The employee is entitled to a maximum of 12 sick leaves per year. Sick leave is accumulated at the
rate of 1 day for every full month worked.

4. REMUNERATION

4.1 The employee shall be paid a gross salary on scale as mentioned in the supporting Annexure

4.2 The Salary aforementioned shall be the “Cost to Company” per employee and shall comprise basic
pay, housing rent allowance, conveyance allowance, medical allowance, provident fund and any other
allowance deemed fit, at the sole discretion of the Trust.

4.3 During the term of this Agreement, the employee’s salary shall be paid by means of bank transfer or
any other method convenient to the Trust and consented by the employee by the 5 th of the following
month.

4.4 The employee will be given, in addition to monetary compensation, payment of program related
expenditure incurred, including but not limited to, travel, telephone bills and internet bills.

4.5 The employee shall abide by the Trust’s privacy rules related to employee’s compensation or
remuneration and shall not publicly disclose any information through any unauthorized channels. If the
employee decides to appeal against the Trust’s compensation and remuneration, the employee may do
so through the Trust’s management.

5. SOCIAL INSURANCE AND WELFARE

5.1 When statutorily required, the Trust and the employee shall contribute to employee benefit
schemes and perks. These will be updated to reflect in Clause 4.2 of this Agreement, when applicable.
The Trust shall withhold the portion which should be paid by Employee from its salary as per the
relevant Trust rules and laws and regulations.

6. WORKING CONDITIONS, LABOR PROTECTION AND OCCUPATIONAL HAZARD PREVENTION

6.1 If the employee suffers from any work-related injury or occupational disease, the employee shall be
entitled to compensation and treatment pursuant to relevant provisions of applicable laws and
regulations, if any.

7. TERMINATION

7.1 During probation period, the employee’s services can be terminated with one day’s notice by either
party

7.2 After the completion of probation, the Agreement may be terminated by the Trust or Employee on
giving 30 days prior notice, through e-mail.

7.3 The Employee may also be terminated upon absenting work for a number of days, vide the
operation of Article 3.3 of this Agreement.

7.4 Upon dissolution or termination of this Agreement by the parties for any reason, employee shall
immediately cease all activities conducted in the name of the Trust, complete outstanding business as
per the Trust's requests, settle all accounts, carry out work, handover, and return all of the Trust's
properties and other information.

7.5 Upon expiration or termination of this Agreement, the employee shall follow the termination
procedures prescribed by the Trust and carry out work handover (including returning properties).

7.7 Any liabilities borne by the Trust related to the work performed by the Employee shall be paid to the
Trust by the Employee at the time of the work handover. 

8 OTHER TERMS

8.1 Any dispute in relation to or concerning the terms of this agreement shall be referred first to
arbitration or other modes of alternative dispute resolution. In case the dispute is being referred to
arbitration, the proceeding shall be presided over by a single arbitrator appointed by the employer. In
case the employee has an objection to the single arbitrator so appointed, a panel of three arbitrators

shall be constituted, with a single arbitrator each being appointed by the employer and the employee,
and a third arbitrator being appointed by the two aforementioned arbitrators.

8.2 No Waiver, Cumulative Remedies: A party's failure to insist upon strict performance of any provision
of this Agreement is not a waiver of any of its rights under this Agreement, except if expressly stated
otherwise. All remedies under this Agreement, at law or in equity, are cumulative and nonexclusive.

8.3 Severability: If any portion of this Agreement is held to be unenforceable, the unenforceable portion
must be construed as nearly as possible to reflect the original intent of the parties, the remaining
portions remain in full force and effect, and the unenforceable portion remains enforceable in all other
contexts and jurisdictions.

8.4 Notices: All notices(other than to terminate this Agreement), including notices of address changes,
under this Agreement must be sent by to the address set forth in this Agreement by each party in
writing.

IN WITNESS WHEREOF, the parties execute this Agreement. Each person who signs this Agreement
below represents that such person is fully authorized to sign this Agreement.
